History

(Prospects) seeking to join a board of directors/trustees, advisory
board, or committee, together with private, public and non-profit
entities (Boards) seeking individuals for Boards and Prospective

• The traditional board recruitment system creates homogenous boards overlooking
the need for independence and diversity.
 Women and minorities continue to be underrepresented in the boardroom. 2011 proxy year
produced 294 new directorships, 21% women and 14% minorities. Of S&P 500 boards, nine percent
