Contract Terms and Conditions
I
acknowledge
and
agree
with
GreenPlus
as
follows:


1. EnIre
Agreement
‐
These
Terms
and
CondiLons
and
the
ApplicaLon
Form
together
make
up
the
agreement
with
GreenPlus
(my
“Agreement”)
who
is
licensed
by
the
Ontario
Energy
Board

to
market
electricity
in
Ontario
under
license
number
ER‐2009‐0390.


2. Appointment
as
Agent
and
Supplier
–
I
hereby
appoint
GreenPlus
to
be
my
sole
and
exclusive
electricity
supplier
for
all
purposes
relaLng
to
arranging
electricity
supply
on
my
behalf,

including
advising
my
current
electricity
distributor
(my
“ULlity”)
that
I
wish
to
change
my
electricity
provider
to
GreenPlus.
My
ULlity
is
enLtled
to
rely
upon
all
acLons
taken
or
documents

signed
by
GreenPlus
in
connecLon
with
this
agency
appointment
as
though
I
had
taken
such
acLon
or
signed
such
document,
including,
without
limitaLon,
any
supply,
transportaLon,
delivery

or
billing
arrangements.

3. SoL
Launch
Period
–
For
a
short
period
of
Lme
prior
to
the
commencement
of
retail
operaLons,
the
GreenPlus
management
team
will
approach
a
select
set
of
individuals
for
iniLal
interest

(the
“Sok
Launch
Period”).
The
intent
of
this
acLon
is
to
confirm
a
saLsfactory
level
of
interest
prior
to
the
commencement
of
retail
operaLons.
Any
Agreement
signed
during
the
Sok
Launch

Period
will
be
subject
to
a
grace
period
where
the
processing
and
enforcement
of
the
Agreement
will
occur
immediately
following
the
end
of
the
“Sok
Launch
Period”.

Management
will

signal
an
end
to
the
Sok
Launch
Period
through
email
communicaLon
as
well
as
mailed
noLficaLon.

4. Green
Electricity
–
GreenPlus
will
purchase
and
reLre
renewable
energy
cerLficates
(“REC”)
and
power
from
EcoLogo
cerLfied
generaLon
faciliLes
within
Canada
in
an
amount
equivalent
to

my
esLmated
electricity
consumpLon
at
the
Service
Address.
By
purchasing
a
REC,
GreenPlus
is
effecLvely
direcLng
a
renewable
energy
facility
to
inject
that
much
more
electricity
into
the

grid.
Customers
powered
by
a
GreenPlus
Green
Electricity
contract
are
receiving
the
environmental
aaributes
or
RECs
associated
with
renewable
electricity
such
as
wind
and
solar.
The
REC

will
only
be
reLred
and
will
not
be
sold
or
transferred
by
GreenPlus
to
any
party,
so
that
they
may
not
be
used
to
permit
or
offset
any
polluLon
or
emissions.

5. Green
Energy
Consultant
–
I,
the
undersigned
applicant,
am
an
independent
contractor
and
am
in
no
way
an
employee,
agent,
partner,
legal
representaLve,
or
franchisee
of
GreenPlus

Power.
I
understand
that
I
shall
not
be
treated
as
an
employee
of
GreenPlus
Power
for
CRA
tax
purposes.
I
will
respect
and
adhere
to
the
Green
Energy
Consultant
Policy
and
Procedures


included
within
my
Start‐Up
Kit.
I
understand
that
in
order
to
become
a
Green
Energy
Consultant,
I
must
become
an
energy
client
of
GreenPlus
Power.


6. Start‐Up
Kit
–
Green
Energy
Consultants
will
receive
a
welcome
package
upon
enrolment.
The
welcome
package
will
include
training
material,
a
personalized
website,
and
access
to
a
wide

range
of
Green
Energy
Consultant
support
services.


7. Term,
Start
Date,
and
Renewal
‐
The
term
of
this
Agreement
is
three
(3)
years
(the
“Term”)
and
will
commence
on
the
first
day
of
the
first
billing
cycle
aker
my
uLlity
has
processed
a

request
to
enroll
me
with
GreenPlus
(the
“Start
Date”).
The
Start
Date
is
expected
to
be
within
120
days
of
today’s
date,
but
I
acknowledge
that
it
may
be
delayed
for
reasons
beyond

GreenPlus
control.
GreenPlus
may
renew
this
Agreement
for
successive
one
year
or
three
year
terms
(equivalent
to
the
iniLal
Term)
by
delivering
a
wriaen
renewal
noLce
to
the
Service

Address
no
earlier
than
120
days
and
no
later
than
60
days
prior
to
the
end
of
the
Term.
The
renewal
noLce
will
set
out
the
changes,
if
any,
to
the
Price
and
Term.
Unless
regulaLon
provides

that
I
must
accept
such
renewal
by
posiLve
wriaen
or
electronic
(including
telephonic)
recording,
I
will
have
30
days
from
receipt
of
the
renewal
noLce
to
noLfy
GreenPlus
(in
wriLng
or
by

facsimile
or
email)
of
my
intenLon
to
cancel
the
renewal.


8. Price
–
I
agree
that
the
rate
I
will
pay
for
electricity
supply
throughout
the
Term
shall
be
expressed
in
cents
per
kilowaa‐hour
(¢/kWh)
as
set
out
on
the
first
page
of
the
Agreement
(the

“Price”).
I
understand
that
the
Price
is
for
electricity
supply
only
and
does
not
include
any
other
charges
billed
by
my
ULlity,
the
Ontario
Energy
Board,
the
Ontario
Power
Authority,

Independent
Electricity
System
Operator,
or
any
similar
regulatory
body.
I
agree
to
pay
any
administraLon
fee
charged
to
GreenPlus
by
my
ULlity
(currently
$0.80
per
month
and
a
one‐Lme

enrolment
charge
of
$1.50,
all
of
which
may
be
subject
to
change),
EBT
Hub
Service
Fees
(up
to
$0.25
per
month)
and
all
applicable
taxes.
I
understand
that
I
may
be
subject
to
a
one‐Lme

credit
or
charge
known
as
the
final
RPP
variance
sealement
amount
and
that
this
will
appear
on
my
uLlity
bill.


9. TerminaIon
‐
I
understand
that
GreenPlus
will
suffer
damages
if
I
breach
this
Agreement.
I
agree
that
GreenPlus
may
terminate
this
Agreement
if:
(i)
I
fail
to
pay
for
electricity
supply
or
any

other
amounts
payable
on
my
uLlity
bill
or
due
to
GreenPlus,
(ii)
I
aaempt
to
cancel
or
terminate
this
Agreement,
(iii)
I
appoint
another
person
as
an
electricity
supplier
or
agent,
(iv)
I
breach

or
am
in
default
of
any
other
term
of
this
Agreement,
(v)
GreenPlus
is
required
by
law,
regulaLon
or
legal,
regulatory
or
administraLve
process
to
cancel
this
Agreement,
or
(vi)
a
change
in
law

occurs
that
GreenPlus
does
not
agree
with.
If
GreenPlus
terminates
this
Agreement,
I
agree
to
pay
GreenPlus,
in
addiLon
to
any
other
amounts
owing
by
me
at
the
date
of
such
terminaLon,

damages
equal
to
the
greater
of
$75.00
or
$0.013
per
kWh,
mulLplied
by
my
esLmated
electricity
consumpLon
for
the
remainder
of
the
Term.
I
agree
that
such
damages
are
a
genuine

esLmate
of
the
aggregate
losses
which
would
be
sustained
by
GreenPlus
in
the
event
the
Agreement
is
terminated.
The
damages
are
hereby
conclusively
deemed
to
be
liquidated
damages

and
shall
not
be
construed
as
a
penalty.
I
authorize
my
ULlity
to
include
the
damages
in
my
uLlity
bill
as
an
amount
payable
to
GreenPlus.

9.    Billing
and
Payment
–
I
acknowledge
that
my
ULlity
will
bill
me
for
electricity
delivered
to
the
Service
Address
in
accordance
with
its
billing
pracLces
and
its
usual
billing
cycle.
My
ULlity

      will
determine
the
amount
of
electricity
that
is
delivered
to
the
Service
Address
and
may
do
so
by
periodic
meter
reading,
esLmaLon
or
allocaLon
and
I
will
be
charged
based
on
this

      informaLon.

10.  Change
of
Service
Address
‐
I
shall
noLfy
GreenPlus
of
any
change
in
Service
Address
as
soon
as
possible
but
at
least
35
days
in
advance
of
my
ULlity’s
next
regularly
scheduled
meter

     reading.
Upon
receipt
of
such
noLce,
GreenPlus
will
advise
whether
it
is
able
and
prepared
to
supply
electricity
at
my
new
Service
Address,
and,
if
so,
the
terms
of
this
Agreement
shall

     apply
to
the
new
Service
Address
for
the
remainder
of
the
Term.
If
GreenPlus
is
not
able
or
prepared
to
supply
electricity
at
my
new
Service
Address
this
Agreement
will
terminate

     without
penalty
or
liquidated
damages.


11.  Re‐affirmaIon
‐
In
accordance
with
SecLon
88.9
of
the
Ontario
Energy
Board
Act,
1998,
I
understand
that
I
am
NOT
required
to
re‐affirm
this
Agreement
if
it
results
from:

(a)
My
decision

     to
contact
GreenPlus
in
response
to
an
adverLsement
that
I
hear
or
see,
unless
done
so
within
thirty
(30)
calendar
days
of
the
Seller
contacLng
me,
or;

(b)
My
response
to
a
direct
mail

     solicitaLon
from
GreenPlus,
or;
(c)
An
internet
agreement
with
GreenPlus
within
the
meaning
of
the
Consumer
ProtecLon
Act
(Ontario).
Otherwise,
I
understand
that
I
must
re‐affirm
this

     Agreement
by
sending
a
leaer
or
email
to
GreenPlus
confirming
my
intenLon
to
enter
into
this
Agreement
no
less
than
ten
(10)
calendar
days
and
no
more
than
sixty
(60)
calendar
days

     aker
the
date
on
which
GreenPlus
delivers
to
me
a
copy
of
this
Agreement.


12.  Assignment
–
GreenPlus,
in
its
sole
discreLon,
may
assign,
pledge
or
transfer
this
Agreement
without
my
consent.
This
agreement
is
not
assignable
my
me.


13.  Privacy
–
I
acknowledge
that
GreenPlus
collects,
records,
maintains,
uses
and
discloses
my
personal
informaLon
(”My
InformaLon")
for
purposes
related
to
its
business.
I
understand
that

     I
can
provide
wriaen
noLce
to
GreenPlus
at
any
Lme
to
stop
using
My
InformaLon.
I
also
acknowledge
that
GreenPlus
may
disclose
My
InformaLon
without
consent
for
the
purposes
set

     out
in
the
OEB's
Codes
of
Conduct
for
Electricity
Retailers.

14.  Governmental
Approvals
and
RegulaIon
‐
I
hereby
agree,
together
with
GreenPlus,
to
be
bound
by
any
legislaLon,
regulaLons,
bylaws
or
similar
enactments,
or
changes
thereto,
of
the

     Federal
and
Provincial
Governments
and
the
relevant
municipaliLes
governing
the
supply
of
electricity.
In
the
event
that
any
material
provisions
of
this
Agreement
become
inconsistent

     with
such

 2. Appointment
as
Agent
and
Supplier
–
I
hereby
appoint
GreenPlus
to
be
my
sole
and
exclusive
electricity
supplier
for
all
purposes
relaLng
to
arranging
electricity
supply
on
my
behalf,
 including
advising
my
current
electricity
distributor
(my
“ULlity”)
that
I
wish
to
change
my
electricity
provider
to
GreenPlus.
My
ULlity
is
enLtled
to
rely
upon
all
acLons
taken
or
documents
 signed
by
GreenPlus
in
connecLon
with
this
agency
appointment
as
though
I
had
taken
such
acLon
or
signed
such
document,
including,
without
limitaLon,
any
supply,
transportaLon,
delivery
 or
billing
arrangements.
 3. SoL
Launch
Period
–
For
a
short
period
of
Lme
prior
to
the
commencement
of
retail
operaLons,
the
GreenPlus
management
team
will
approach
a
select
set
of
individuals
for
iniLal
interest
 (the
“Sok
Launch
Period”).
The
intent
of
this
acLon
is
to
confirm
a
saLsfactory
level
of
interest
prior
to
the
commencement
of
retail
operaLons.
Any
Agreement
signed
during
the
Sok
Launch
 Period
will
be
subject
to
a
grace
period
where
the
processing
and
enforcement
of
the
Agreement
will
occur
immediately
following
the
end
of
the
“Sok
Launch
Period”.

Management
will
 signal
an
end
to
the
Sok
Launch
Period
through
email
communicaLon
as
well
as
mailed
noLficaLon.
 4. Green
Electricity
–
GreenPlus
will
purchase
and
reLre
renewable
energy
cerLficates
(“REC”)
and
power
from
EcoLogo
cerLfied
generaLon
faciliLes
within
Canada
in
an
amount
equivalent
to
 my
esLmated
electricity
consumpLon
at
the
Service
Address.
By
purchasing
a
REC,
GreenPlus
is
effecLvely
direcLng
a
renewable
energy
facility
to
inject
that
much
more
electricity
into
the
 grid.
Customers
powered
by
a
GreenPlus
Green
Electricity
contract
are
receiving
the
environmental
aaributes
or
RECs
associated
with
renewable
electricity
such
as
wind
and
solar.
The
REC
 will
only
be
reLred
and
will
not
be
sold
or
transferred
by
GreenPlus
to
any
party,
so
that
they
may
not
be
used
to
permit
or
offset
any
polluLon
or
emissions.
 5. Green
Energy
Consultant
–
I,
the
undersigned
applicant,
am
an
independent
contractor
and
am
in
no
way
an
employee,
agent,
partner,
legal
representaLve,
or
franchisee
of
GreenPlus
 Power.
I
understand
that
I
shall
not
be
treated
as
an
employee
of
GreenPlus
Power
for
CRA
tax
purposes.
I
will
respect
and
adhere
to
the
Green
Energy
Consultant
Policy
and
Procedures

 included
within
my
Start‐Up
Kit.
I
understand
that
in
order
to
become
a
Green
Energy
Consultant,
I
must
become
an
energy
client
of
GreenPlus
Power.

 6. Start‐Up
Kit
–
Green
Energy
Consultants
will
receive
a
welcome
package
upon
enrolment.
The
welcome
package
will
include
training
material,
a
personalized
website,
and
access
to
a
wide
 range
of
Green
Energy
Consultant
support
services.

 7. Term,
Start
Date,
and
Renewal
‐
The
term
of
this
Agreement
is
three
(3)
years
(the
“Term”)
and
will
commence
on
the
first
day
of
the
first
billing
cycle
aker
my
uLlity
has
processed
a
 request
to
enroll
me
with
GreenPlus
(the
“Start
Date”).
The
Start
Date
is
expected
to
be
within
120
days
of
today’s
date,
but
I
acknowledge
that
it
may
be
delayed
for
reasons
beyond
 GreenPlus
control.
GreenPlus
may
renew
this
Agreement
for
successive
one
year
or
three
year
terms
(equivalent
to
the
iniLal
Term)
by
delivering
a
wriaen
renewal
noLce
to
the
Service
 Address
no
earlier
than
120
days
and
no
later
than
60
days
prior
to
the
end
of
the
Term.
The
renewal
noLce
will
set
out
the
changes,
if
any,
to
the
Price
and
Term.
Unless
regulaLon
provides
 that
I
must
accept
such
renewal
by
posiLve
wriaen
or
electronic
(including
telephonic)
recording,
I
will
have
30
days
from
receipt
of
the
renewal
noLce
to
noLfy
GreenPlus
(in
wriLng
or
by
 facsimile
or
email)
of
my
intenLon
to
cancel
the
renewal.

 8. Price
–
I
agree
that
the
rate
I
will
pay
for
electricity
supply
throughout
the
Term
shall
be
expressed
in
cents
per
kilowaa‐hour
(¢/kWh)
as
set
out
on
the
first
page
of
the
Agreement
(the
 “Price”).
I
understand
that
the
Price
is
for
electricity
supply
only
and
does
not
include
any
other
charges
billed
by
my
ULlity,
the
Ontario
Energy
Board,
the
Ontario
Power
Authority,
 Independent
Electricity
System
Operator,
or
any
similar
regulatory
body.
I
agree
to
pay
any
administraLon
fee
charged
to
GreenPlus
by
my
ULlity
(currently
$0.80
per
month
and
a
one‐Lme
 enrolment
charge
of
$1.50,
all
of
which
may
be
subject
to
change),
EBT
Hub
Service
Fees
(up
to
$0.25
per
month)
and
all
applicable
taxes.
I
understand
that
I
may
be
subject
to
a
one‐Lme
 credit
or
charge
known
as
the
final
RPP
variance
sealement
amount
and
that
this
will
appear
on
my
uLlity
bill.

 9. TerminaIon
‐
I
understand
that
GreenPlus
will
suffer
damages
if
I
breach
this
Agreement.
I
agree
that
GreenPlus
may
terminate
this
Agreement
if:
(i)
I
fail
to
pay
for
electricity
supply
or
any
 other
amounts
payable
on
my
uLlity
bill
or
due
to
GreenPlus,
(ii)
I
aaempt
to
cancel
or
terminate
this
Agreement,
(iii)
I
appoint
another
person
as
an
electricity
supplier
or
agent,
(iv)
I
breach
 or
am
in
default
of
any
other
term
of
this
Agreement,
(v)
GreenPlus
is
required
by
law,
regulaLon
or
legal,
regulatory
or
administraLve
process
to
cancel
this
Agreement,
or
(vi)
a
change
in
law
 occurs
that
GreenPlus
does
not
agree
with.
If
GreenPlus
terminates
this
Agreement,
I
agree
to
pay
GreenPlus,
in
addiLon
to
any
other
amounts
owing
by
me
at
the
date
of
such
terminaLon,
 damages
equal
to
the
greater
of
$75.00
or
$0.013
per
kWh,
mulLplied
by
my
esLmated
electricity
consumpLon
for
the
remainder
of
the
Term.
I
agree
that
such
damages
are
a
genuine
 esLmate
of
the
aggregate
losses
which
would
be
sustained
by
GreenPlus
in
the
event
the
Agreement
is
terminated.
The
damages
are
hereby
conclusively
deemed
to
be
liquidated
damages
 and
shall
not
be
construed
as
a
penalty.
I
authorize
my
ULlity
to
include
the
damages
in
my
uLlity
bill
as
an
amount
payable
to
GreenPlus.

–
I
acknowledge
that
my
ULlity
will
bill
me
for
electricity
delivered
to
the
Service
Address
in
accordance
with
its
billing
pracLces
and
its
usual
billing
cycle.
My
ULlity
 will
determine
the
amount
of
electricity
that
is
delivered
to
the
Service
Address
and
may
do
so
by
periodic
meter
reading,
esLmaLon
or
allocaLon
and
I
will
be
charged
based
on
this
 informaLon.
 10.  Change
of
Service
Address
‐
I
shall
noLfy
GreenPlus
of
any
change
in
Service
Address
as
soon
as
possible
but
at
least
35
days
in
advance
of
my
ULlity’s
next
regularly
scheduled
meter
 reading.
Upon
receipt
of
such
noLce,
GreenPlus
will
advise
whether
it
is
able
and
prepared
to
supply
electricity
at
my
new
Service
Address,
and,
if
so,
the
terms
of
this
Agreement
shall
 apply
to
the
new
Service
Address
for
the
remainder
of
the
Term.
If
GreenPlus
is
not
able
or
prepared
to
supply
electricity
at
my
new
Service
Address
this
Agreement
will
terminate
 without
penalty
or
liquidated
damages.

 11.  Re‐affirmaIon
‐
In
accordance
with
SecLon
88.9
of
the
Ontario
Energy
Board
Act,
1998,
I
understand
that
I
am
NOT
required
to
re‐affirm
this
Agreement
if
it
results
from:

(a)
My
decision
 to
contact
GreenPlus
in
response
to
an
adverLsement
that
I
hear
or
see,
unless
done
so
within
thirty
(30)
calendar
days
of
the
Seller
contacLng
me,
or;

(b)
My
response
to
a
direct
mail
 solicitaLon
from
GreenPlus,
or;
(c)
An
internet
agreement
with
GreenPlus
within
the
meaning
of
the
Consumer
ProtecLon
Act
(Ontario).
Otherwise,
I
understand
that
I
must
re‐affirm
this
 Agreement
by
sending
a
leaer
or
email
to
GreenPlus
confirming
my
intenLon
to
enter
into
this
Agreement
no
less
than
ten
(10)
calendar
days
and
no
more
than
sixty
(60)
calendar
days
 aker
the
date
on
which
GreenPlus
delivers
to
me
a
copy
of
this
Agreement.

 12.  Assignment
–
GreenPlus,
in
its
sole
discreLon,
may
assign,
pledge
or
transfer
this
Agreement
without
my
consent.
This
agreement
is
not
assignable
my
me.

 13.  Privacy
–
I
acknowledge
that
GreenPlus
collects,
records,
maintains,
uses
and
discloses
my
personal
informaLon
(”My
InformaLon")
for
purposes
related
to
its
business.
I
understand
that
 I
can
provide
wriaen
noLce
to
GreenPlus
at
any
Lme
to
stop
using
My
InformaLon.
I
also
acknowledge
that
GreenPlus
may
disclose
My
InformaLon
without
consent
for
the
purposes
set
 out
in
the
OEB's
Codes
of
Conduct
for
Electricity
Retailers.
 14.  Governmental
Approvals
and
RegulaIon
‐
I
hereby
agree,
together
with
GreenPlus,
to
be
bound
by
any
legislaLon,
regulaLons,
bylaws
or
similar
enactments,
or
changes
thereto,
of
the
 Federal
and
Provincial
Governments
and
the
relevant
municipaliLes
governing
the
supply
of
electricity.
In
the
event
that
any
material
provisions
of
this
Agreement
become
inconsistent
 with
such
enactments,
the
provisions
of
such
enactments
shall
govern
and
GreenPlus,
at
its
sole
discreLon,
may
noLfy
me
that
it
wishes
to
renegoLate
the
affected
terms
and
condiLons
 of
this
Agreement.
In
the
event
that
GreenPlus
and
I
are
unable
to
renegoLate
said
terms
and
condiLons,
GreenPlus
may
terminate
this
Agreement
upon
thirty
(30)
days
noLce.

 15.  My
Rights
under
the
Consumer
ProtecIon
Act,
2002
‐
I
may
cancel
this
Agreement
at
any
Lme
during
the
period
that
ends
ten
(10)
days
aker
the
day
I
receive
a
wriaen
copy
of
the
 Agreement.
I
do
not
need
to
give
GreenPlus
a
reason
for
cancelling
during
this
10‐day
period.
If
GreenPlus
does
not
make
delivery
within
30
days
aker
the
delivery
date
specified
in
this
 Agreement
or
if
GreenPlus
does
not
begin
performance
of
its
obligaLons
within
30
days
aker
the
Start
Date
specified
in
this
Agreement,
I
may
cancel
this
Agreement
at
any
Lme
before
 delivery
or
commencement
of
performance.
I
lose
the
right
to
cancel
if,
aker
the
30‐day
period
has
expired,
I
agree
to
accept
delivery
or
authorize
commencement
of
performance.
If
the
 delivery
date
or
commencement
date
is
not
specified
in
this
Agreement
and
GreenPlus
does
not
deliver
or
commence
performance
within
30
days
aker
the
date
this
Agreement
is
 entered
into,
I
may
cancel
this
Agreement
at
any
Lme
before
delivery
or
commencement
of
performance.
I
lose
the
right
to
cancel
if,
aker
the
30‐day
period
has
expired,
I
agree
to
 accept
delivery
or
authorize
commencement
of
performance.
In
addiLon,
there
are
other
grounds
that
allow
me
to
cancel
this
Agreement.
I
may
also
have
other
rights,
duLes
and
 remedies
at
law.
For
more
informaLon,
I
may
contact
the
Ministry
of
Government
and
Consumer
Services.
To
cancel
this
Agreement,
I
must
give
noLce
of
cancellaLon
to
the
supplier,
at
 the
address
set
out
in
the
Agreement,
by
any
means
that
allows
me
to
prove
the
date
on
which
I
gave
noLce.
If
no
address
is
set
out
in
the
agreement,
I
may
use
any
address
of
the
 supplier
that
is
on
record
with
the
Government
of
Ontario
or
the
Government
of
Canada
or
is
known
by
me.
If
I
cancel
this
Agreement,
GreenPlus
has
fikeen
(15)
days
to
refund
any
 payment
I
have
made
and
return
to
me
all
goods
delivered
under
a
trade‐in
arrangement
(or
refund
an
amount
equal
to
the
trade‐in
allowance).
However,
if
I
cancel
this
Agreement
aker
 having
solicited
the
goods
or
services
from
GreenPlus
and
having
requested
that
delivery
be
made
or
performance
be
commenced
within
ten
(10)
days
aker
the
date
this
Agreement
is
 entered
into,
GreenPlus
is
enLtled
to
reasonable
compensaLon
for
the
goods
and
services
that
I
received
before
the
earlier
of
the
11th
day
aker
the
date
this
agreement
was
entered
 into
and
the
date
on
which
I
gave
noLce
of
cancellaLon
to
GreenPlus,
except
goods
that
can
be
repossessed
by
or
returned
to
GreenPlus.
