MULTINATIONAL COMPANIES OPERATING IN AFRICA:
LEGAL AND BUSINESS CHALLENGES
 Having advised Multinational companies operating in Africa for the past 10 years.
 Have identified the following key challenges:
 Legal and Regulatory compliance.
 Management of day-to-day legal affairs and Human Resources (no In-house counsel).
 Business Integrity and Competitiveness.
 Transactional practice: contract review, drafting and negotiations, general legal matters,
and legal support to Management and other departments.
 Management of Outside counsel: Litigation support, Debt recovery cases and Claims
Management.
 Knowledge Management.
AS A REGIONAL LEGAL COUNSEL
 Bringing solid experience on African Affairs in terms of corporate transactions, contract
drafting and negotiation, due diligence duties, good corporate governance,
labor/employment, tax, legal and regulatory compliance, and anti-corruption regulations
(FCPA-US anti-corruption), Foreign Account Tax Compliance Act (FATCA).
 Report to the General Counsel at the headquarter office.
 Provide innovative legal solutions and pragmatic advice to pressing business issues in
countries that are difficult to operate in.
 Handle all corporate and operational matters for Africa operations.
 Assist with day-to-day legal affairs and provide prompt response to routine general legal
matters.
 Provide legal training to Management and other departments.
 Management of Outside counsel focusing on Litigation support, Debt recovery cases and
Claims Management.
AS A REGIONAL LEGAL COUNSEL CONT…
 Proven leadership role in promoting collaboration and building relationships with key
stakeholders (business community and Government officials) at all levels of
management and authority.
 Proven ability to analyze and interpret information or facts quickly without losing sight
of details and assessing risks.
 Demonstrated ability to structure and implement transactions or provide advice on
business and commercial matters.
 U.S. attorney fluent in English and French, with legal experience in both
Francophone and Anglophone Africa (Civil and Common law Jurisdictions).
 Solid experience in Africa business environment.
 Have lived and worked in Africa.
 Africa-expertise: The Gambia, Cameroon, Democratic Republic of Congo (DRC),
Rwanda, Senegal, Cote d’ Ivoire , South Africa, Angola and Nigeria.
