A Romanian Branch is setup in a manner similar to any Romanian company. There are nevertheless certain specifics, namely:
the Romanian Branch does not have its own patrimony, its own share capital, therefore the parent-company is liable with its
own share capital registered abroad. There is also an important note related to the filed accounts: each year, besides the
accounts for the branch, the yearly accounts of the parent-company must be filed with the Romanian Trade Register.

Are there any special requirements for creating a Romanian Joint Stock Company (SA)?
The formation of a Romanian Joint Stock implies many more requirements than a Romanian Limited Liability. There is a
minimum number of 2 shareholders, the requirement to have a Supervisory Board formed of at least 3 censors (at least one
must be a certified accountant), appointed for a period of 3 years. If there is more than one director (administrator) than a
Board of Directors must be constituted.
