Pilipinas I-Café Marketing Cooperative
              Membership
The Pilipinas I-Café Marketing Cooperative is primarily a marketing cooperative that
sells ICT related goods, services and training to its members. Membership is required in
order for a person to enjoy the benefits to be derived from the operation of the cooperative
like tax exemptions on transactions, a share in the profits made by the cooperative and a
voice on how run the cooperative.

Duties and Responsibilities of a Member

Every member shall have the following duties:

      a)       Pay the installment of his share capital subscription as it falls due and to
               participate in the capital build-up and savings mobilization activities of the
               Cooperative;
      b)       Patronize the Cooperative’s businesses and services;
      c)       Participate in the membership education programs;
      d)       Attend and participate in the deliberation of all matters taken during general
               assembly meetings;
      e)       Observe and obey all lawful orders, decisions, rules and regulations adopted by
               the Board of Directors and the general assembly; and
      f)       Promote the goals and objectives of the Cooperative, the success of its
               business, the welfare of its members and the cooperative movement in general.

Application for Membership.

An applicant for membership shall file a duly accomplished form with the Board of Directors
who shall accept or deny it within thirty (30) days from the date of filing.


Kinds of Memberships in the Pilipinas I-Café Marketing Cooperative

      There are two kinds of membership that is available:

   1. Regular Member

      ◦ one who has complied with all the membership requirements and entitled to all the
        rights and privileges of membership.

      ◦ Qualifications to become a regular member of the Pilipinas I-Café Marketing
        Cooperative:

           ▪   Open to any natural person
           ▪   Filipino Citizenship
           ▪   Legal age with the capacity to enter into a contract
           ▪   Owner or operator of an Internet Café business in the Philippines
           ▪   Undertake to uphold the By-laws, policies, guidelines, rules and
               regulations promulgated by the Board of Directors and the general
               assembly.
Procedure in Applying for Regular Membership:

  1. The interested applicant should accomplish the necessary documents related to his
     membership application and that is prescribed by the board of directors of the Pilipinas
     I-Café marketing Cooperative. Submit it to the Secretariat which holds office at 26
     Dona Hemady Ave. New Manila Quezon City.

  2. Upon submission of the prescribed form he would be asked to pay the amount of One
     Thousand Pesos only (Php1,000.00) that will serve as the membership fee. This
     amount would be refunded to the applicant in case of rejection of his membership
     application by the Board.

  3. The applicant will undergo a Pre-Membership Seminar in which he would be informed
     of the different rights and privileges that he has being a regular member.

  4. The Board of Pilipinas I-Café Marketing Cooperative will have thirty (30) days in which
     to either accept or reject the application for membership. If after thirty (30) days the
     application has not been acted upon by the board then the application is deemed to be
     approved.

  5. Upon the approval of his application the regular member shall:

            ◦ Sign documents related to his Capital Stock Subscription

Qualifications of a Regular Member in order to attain the Right to Vote

        Initially the new regular member is not yet considered to be a regular member who is
entitled to vote. In order for the regular member to get voting rights he must:

      a)     Paid the membership fee and the value of at least Sixty ( 60 ) shares;
      b)     Not delinquent in the payment of his share capital subscriptions and
             other accounts or obligations;
      c)     Not violated any provision of this By-laws, the terms and conditions of
             the subscription agreement; and the decisions, guidelines, rules and
             regulations promulgated by the Board of Directors and the general
             assembly;
      d)     Completed the continuing education program prescribed by the Board
             of Directors; and
      e)     Participates in the affairs of the Cooperative and patronize its
             businesses.

      Failure of the member to meet any of the above qualifications shall mean
loss of right to vote.


Rights of a Regular Member Entitled to Vote

A member entitled to vote shall have the following rights:

      a)     Participate and vote on all matters deliberated upon during general
             assembly meetings;
      b)     Seek any elective or appointive position, subject to the provisions of
             this By-laws and the Philippines Cooperative Code of 2008;
      c)     Avail himself of the services of the Cooperative, subject to certain
             conditions as may be prescribed by the Board of Directors;
      d)     Inspect and examine the books of accounts, the minutes books, the
share register, and other records of the Cooperative during office
              hours;
     e)       Participate in the continuing education and other training programs of
              the cooperative; and
     f)       Such other rights and privileges as may be provided by the General
              Assembly.


     2. Associate Member

     ◦ An Associate member is one who has no right to vote and be voted upon and shall
       be entitled only to such rights and privileges provided the by-laws.

     ◦ Qualifications to be come an Associate Member of the Pilipinas I-Café Marketing
       Cooperative:

          ▪ open to any natural person
          ▪ Filipino Citizen
          ▪ of Legal Age and with the capacity to contract
          ▪ an owner of an Internet Café business or engage in any related ICT
            business in the Philippines
          ▪ Undertake to uphold the By-laws, policies, guidelines, rules and
            regulations promulgated by the Board of Directors and the general
            assembly

An Associate member can become a Regular member on the following
considerations:

  1. The Associate Member has been a member of cooperative for a one year
     period and is in good standing.

  2. He must inform the Board of Pilipinas I-Café Marketing Cooperative in
     writing of his desire to change his membership status from being an
     Associate member to a Regular Member.

  3. He must show proof that he has established his own internet café as part of
     his business portfolio.

  4. Upon the approval of the board of his change of membership he shall subscribe at
     least 240 Common Shares and pay the value of at least 60 share/s.
Rights of an Associate Member. An associate member shall have the following
rights and privileges:

      a)    Attend during general membership meetings;

      b)    Avail himself of the services of the Cooperative, subject to certain
            conditions as may be prescribed by the Board of Directors;

      c)    Inspect and examine the books of accounts, the minutes books, the
            share register, and other records of the Cooperative during office
            hours;

      d)    Has preference in the payment of interest on share capital and in the
            distribution of the net assets of the Cooperative in case of liquidation;
            and

      e)    Such other rights and privileges as may be granted by the General
            Assembly.

Pilipinas I-Cafe Marketing Cooperative Membership

  • 1. Pilipinas I-Café Marketing Cooperative Membership
  • 2. The Pilipinas I-Café Marketing Cooperative is primarily a marketing cooperative that sells ICT related goods, services and training to its members. Membership is required in order for a person to enjoy the benefits to be derived from the operation of the cooperative like tax exemptions on transactions, a share in the profits made by the cooperative and a voice on how run the cooperative. Duties and Responsibilities of a Member Every member shall have the following duties: a) Pay the installment of his share capital subscription as it falls due and to participate in the capital build-up and savings mobilization activities of the Cooperative; b) Patronize the Cooperative’s businesses and services; c) Participate in the membership education programs; d) Attend and participate in the deliberation of all matters taken during general assembly meetings; e) Observe and obey all lawful orders, decisions, rules and regulations adopted by the Board of Directors and the general assembly; and f) Promote the goals and objectives of the Cooperative, the success of its business, the welfare of its members and the cooperative movement in general. Application for Membership. An applicant for membership shall file a duly accomplished form with the Board of Directors who shall accept or deny it within thirty (30) days from the date of filing. Kinds of Memberships in the Pilipinas I-Café Marketing Cooperative There are two kinds of membership that is available: 1. Regular Member ◦ one who has complied with all the membership requirements and entitled to all the rights and privileges of membership. ◦ Qualifications to become a regular member of the Pilipinas I-Café Marketing Cooperative: ▪ Open to any natural person ▪ Filipino Citizenship ▪ Legal age with the capacity to enter into a contract ▪ Owner or operator of an Internet Café business in the Philippines ▪ Undertake to uphold the By-laws, policies, guidelines, rules and regulations promulgated by the Board of Directors and the general assembly.
  • 3. Procedure in Applying for Regular Membership: 1. The interested applicant should accomplish the necessary documents related to his membership application and that is prescribed by the board of directors of the Pilipinas I-Café marketing Cooperative. Submit it to the Secretariat which holds office at 26 Dona Hemady Ave. New Manila Quezon City. 2. Upon submission of the prescribed form he would be asked to pay the amount of One Thousand Pesos only (Php1,000.00) that will serve as the membership fee. This amount would be refunded to the applicant in case of rejection of his membership application by the Board. 3. The applicant will undergo a Pre-Membership Seminar in which he would be informed of the different rights and privileges that he has being a regular member. 4. The Board of Pilipinas I-Café Marketing Cooperative will have thirty (30) days in which to either accept or reject the application for membership. If after thirty (30) days the application has not been acted upon by the board then the application is deemed to be approved. 5. Upon the approval of his application the regular member shall: ◦ Sign documents related to his Capital Stock Subscription Table 1: Subscribe Capitalization for New Regular Members Required Subscribe Capital Stock upon 100 Common Shares application for membership @Php50 per share Php5,000.00 Required Paid Up Share of Subscribe Capital 25 Common Shares Stock upon approval of Regular membership @Php50 per share Php1,250.00 Subscribe Capital Stock that needs to be paid within the two year period in regular intervals as 75 Common Shares Php3,750.00 required by the Board of Directors of the @Php50 per share Pilipinas I-Café Marketing cooperative

Summary of Financial Obligations Related to a New Regular Member Application Membership Fee to be paid upon the submission of the Application Form Php1,000.00 Paid Up Capital Subscription upon approval of Membership by the Board of Directors of the Pilipinas I-Café Marketing Cooperative Php1,250.00 Total initial payment of membership fee and paid up capital subscription Php2,250.00 Balance of Subscribed Capital Stock to be paid on installment basis over a two year period as specified by the arrangements that would be determined by the Board of Directors of the Php3,750.00 Pilipinas I-Café Marketing Cooperative Qualifications of a Regular Member in order to attain the Right to Vote Initially the new regular member is not yet considered to be a regular member who is entitled to vote. In order for the regular member to get voting rights he must: a) Paid the membership fee and the value of at least Sixty ( 60 ) shares; b) Not delinquent in the payment of his share capital subscriptions and other accounts or obligations; c) Not violated any provision of this By-laws, the terms and conditions of the subscription agreement; and the decisions, guidelines, rules and regulations promulgated by the Board of Directors and the general assembly; d) Completed the continuing education program prescribed by the Board of Directors; and e) Participates in the affairs of the Cooperative and patronize its businesses. Failure of the member to meet any of the above qualifications shall mean loss of right to vote. Rights of a Regular Member Entitled to Vote A member entitled to vote shall have the following rights: a) Participate and vote on all matters deliberated upon during general assembly meetings; b) Seek any elective or appointive position, subject to the provisions of this By-laws and the Philippines Cooperative Code of 2008; c) Avail himself of the services of the Cooperative, subject to certain conditions as may be prescribed by the Board of Directors; d) Inspect and examine the books of accounts, the minutes books, the
  • 5. share register, and other records of the Cooperative during office hours; e) Participate in the continuing education and other training programs of the cooperative; and f) Such other rights and privileges as may be provided by the General Assembly. 2. The Associate Member has been a member of cooperative for a one year period and is in good standing. 2. He must inform the Board of Pilipinas I-Café Marketing Cooperative in writing of his desire to change his membership status from being an Associate member to a Regular Member. 3. He must show proof that he has established his own internet café as part of his business portfolio. 4. Upon the approval of the board of his change of membership he shall subscribe at least 240 Common Shares and pay the value of at least 60 share/s.
  • 7. Rights of an Associate Member. An associate member shall have the following rights and privileges: a) Attend during general membership meetings; b) Avail himself of the services of the Cooperative, subject to certain conditions as may be prescribed by the Board of Directors; c) Inspect and examine the books of accounts, the minutes books, the share register, and other records of the Cooperative during office hours; d) Has preference in the payment of interest on share capital and in the distribution of the net assets of the Cooperative in case of liquidation; and e) Such other rights and privileges as may be granted by the General Assembly.
