I. About QPWB

        Quintairos, Prieto, Wood & Boyer, P.A. is a full service law firm with eight (8)
offices strategically located throughout Florida offering coverage to all counties as
well as offices in Lexington and Louisville, Kentucky. Our financial services practice
group provides legal services to loan servicers, banking and mortgage-lending
institutions, government sponsored enterprises, and state and federal regulatory

Foreclosures
        QPWB represents institutional and private lenders in the reclamation of titled
assets. We maintain experienced attorneys who are well versed in all aspects of asset
recovery and the disposition of those assets from REO inventory. As a result of the firm
having a full service practice, the attorneys engaged in the Financial Services Practice
Group can draw on a cross section of years of legal experience to address any issue or
problem that may arise. As we all know, the process of prosecuting a foreclosure has
changed and our lawyers are prepared for and have seen the foreclosure defense lawyer

        QPWB handles bankruptcy and creditors’ rights representation for a wide range of
national and institutional clients, including mortgage lenders, servicers, and banks. QPWB

REO Disposition Title Services
        QPWB has a strong background in all aspects of real estate law including, real
estate transactions and title insurance services. The leadership of the firm's real estate
group include a Board Certified Real Estate Lawyer and a AV Rated Board Certified
Construction Lawyer. In addition to its traditional real estate practice, the firm focuses
on assisting its clients with the disposition and liquidation of REO inventory. Unlike
many default servicing firms that have non-lawyers supervise such activities, QPWB
real estate closings are closely monitored by its attorneys who examine and understand
the title commitment and underlying title evidence. This oversight and supervision is all

Group personally involved in the group’s cases and management of its associates.




                     Michael J. “Mike” Barker is a partner in the Jacksonville
                      office of Quintairos, Prieto, Wood & Boyer, P.A., and heads up the
                      firm's Financial Services Practice Group. He is a Jacksonville native
                      and represents clients throughout Florida and beyond. Mr. Barker
                      represents clients engaged in the default servicing, banking,
                      mortgage, hospitality, construction and development, and title
                      insurance, industries in both transactional and litigation matters.
                      Primarily, his practice focuses on residential and commercial
                      foreclosures, asset recovery, REO real estate transactions and title
                      insurance, title insurance claims, construction disputes, evictions,
creditors' rights in bankruptcy, documentation of leases, loans and secured transactions,
evictions, collection matters, probate administration and estate planning.

Prior to joining QPWB, Mr. Barker was founding shareholder of Barker & Barker, P.A.
and Barker Land Title & Escrow, Inc. Mr. Barker is licensed to practice law in Florida
and a member of The Florida Bar. He is admitted in the U.S. District Court for the
Northern District of Florida, U.S. District Court for the Middle District of Florida, and
U.S. District Court for the Southern District of Florida as well as the United States
Bankruptcy Court for the Northern, Middle, and Southern Districts of Florida. Mr.
Barker is a Board Certified Specialists as recognized by The Florida Bar Board of Legal

                    Jeffrey P. Buak is a partner in the Orlando office of Quintairos,
                    Prieto, Wood & Boyer, P.A. He has over 15 years of experience
                    serving clients in the real estate industry and is “Board Certified in
                    Real Estate Law” as recognized by The Florida Bar Board of Legal
                    Specialization and Education. His real estate practice focuses on real
                    property transactions, property rights, land use and zoning, real
                    estate development and financing, workouts and bankruptcies,
                    construction, eminent domain and condemnation, and real estate
                    title insurance. Mr. Buak has also represented local governments for
                    over five years and he represents private sector companies and
                    individuals interacting with governmental entities.

Mr. Buak has a broad real estate practice that includes the representation of real estate
developers nationwide. He has handled large transactions and alternative financing
agreements, including off-balance sheet purchases and land-banking arrangements. His

John F. Carroll is a partner in the Louisville, Kentucky office of
                    Quintairos, Prieto, Wood & Boyer, P.A., Mr. Carroll is an
                    experienced civil and criminal trial attorney focusing his practice in
                    the areas of insurance defense, medical malpractice, personal injury
                    litigation, white collar criminal defense, general criminal defense,
                    banking litigation, general civil litigation, and class action litigation.

                     Mr. Carroll is a former Assistant Federal Public Defender for the
                     Northern District of Texas at Dallas and the Eastern District of
                     Tennessee at Chattanooga. Mr. Carroll has been a practicing
attorney for over 25 years and has extensive experience defending white collar criminal
cases including complex bank fraud cases and is also an experienced civil trial attorney
in the practice areas of insurance defense and personal injury litigation. He also served
as a Lieutenant in the Judge Advocate General Corps of the United States Naval Reserve,

Franklin G. Cosmen, Jr. , is a partner in the Miami office of
                     Quintairos, Prieto, Wood & Boyer, P.A., where he practices in the
                     areas of construction law, products liability, property and casualty
                     law, insurance defense and commercial litigation. Mr. Cosmen
                     represents companies and individuals in a broad range of matters
                     involving information technology, professional liability, real
                     estate/construction litigation, banking and finance and intellectual
                     property. Mr. Cosmen has extensive experience handling coverage
                     claims and defending insurers against extracontractual “bad faith”
                     actions, premises liability, products liability, and commercial
airline warranty claims. His practice also focuses in the areas related to real property
title actions, commercial collections, fraudulent practices, debt collections, defense of
Fair Credit Reporting Act claims, contractual issues, and includes the prosecution and
defense of mortgage defaults.

In addition, Mr. Cosmen regularly represents business entities in disputes arising from
the sales of goods or services, and in partnership/joint venture agreements. He
represents clients in state and federal courts, in appeals, arbitrations, mediations, and in

Mr. Cosmen devotes a significant portion of his practice to litigating title insurance
policies. He has represented one of the three national credit reporting companies in
defending Fair Credit Reporting Act (FCRA) claims.

Prior to joining QPWB, Mr. Cosmen practiced with a Miami law firm managing an
extensive and diverse caseload of commercial litigation matters. He was also an
attorney at other Miami law firms and he focused in the areas of automobile liability,
general insurance defense, and toxic torts.

Mr. Cosmen received his Juris Doctor, with honors, from St. Thomas University School
of Law, Miami, Florida in 1996, and a Bachelor of Arts cum laude from St. Leo College,
Florida in 1986. While in law school, he served as articles editor of the St. Thomas Law
Review. He also served on the moot court as executive vice president, and was the
recipient of Book Awards in Florida Constitutional Law and Trial Advocacy.

Mr. Cosmen is licensed to practice law in Florida and is a member of The Florida Bar; he

                       William “Sonny” Grubbs is a partner at Quintairos, Prieto,
                       Wood & Boyer, P.A. and practices from the firm's Tallahassee
                       office. His areas of practice include insurance defense, medical
                       malpractice, nursing home defense litigation, mass tort litigation
                       and entertainment law.

                     Mr. Grubbs received his Juris Doctor in 2000 from the Mississippi
                     College School of Law in Jackson and his Bachelor of Science in
                     history from Mississippi College in Clinton, Mississippi. Mr.
Grubbs has been recognized as an Advocate by the National Institute of Trial Advocacy.
He has lectured on numerous topics including mass tort litigation, trial preparation, and

Gary I. Masel is a partner in the Fort Lauderdale office of
                     Quintairos, Prieto, Wood & Boyer, P.A. Mr. Masel practices in state
                     and federal courts in the areas of civil and commercial litigation,
                     creditors’ rights and bankruptcy. He frequently represents
                     national and institutional clients with both secured and unsecured
                     creditor collection actions, complex commercial foreclosures,
                     bankruptcies and workouts. Mr. Masel’s practice also includes
                     handling claims involving general liability, premises liability,
                     negligent security, and mass tort disasters.

Before joining QPWB, Mr. Masel was an attorney with the law firm of Wicker, Smith,
O’Hara, McCoy & Ford, P.A. in Fort Lauderdale where he represented businesses and
individual clients in commercial litigation involving contract disputes, unfair and
deceptive trade practice actions, and collection matters throughout the state. His
practice also involved the area of insurance defense, particularly, aviation accidents and
property damage claims related to aircraft operations.

Mr. Masel received his Bachelor of Arts from Tulane University in 1994 and earned his
Juris Doctor, with honors, from Nova Southeastern University in 2006.

Mr. Masel is admitted to practice in the states of Florida and Kentucky. He is a member
of The Florida Bar, The Kentucky Bar and the Broward County Bar Association. Mr.
Masel is admitted in the U.S. District Courts for the Southern, Middle, and Northern
districts of Florida.

Mr. Masel holds a Private Pilot’s License for the operation of single-engine land
aircraft. He is a member of the Aircraft Owners and Pilots Association. In 2001,
Kentucky Governor Paul E. Patton commissioned Mr. Masel as a Kentucky Colonel and
he has been a proud member of the Honorable Order of the Kentucky Colonels
charitable organization ever since.

James E. Moon is an associate in the Fort Myers office of
                     Quintairos, Prieto, Wood & Boyer, P.A., practicing in the areas of
                     civil and commercial litigation. For over 11 years, Mr. Moon has
                     focused in the areas of professional liability and general liability
                     defense; in these areas, he has extensive trial experience having
                     tried multiple cases to jury verdict. Mr. Moon’s experience extends
                     to the areas of international taxation and financial services,
                     banking regulatory compliance, real estate, and labor and
                     employment law. He has appeared as an expert witness in loss
                     mitigation in federal court and as a legal commentator for CNN.

Mr. Moon is the recipient of the Gulfshore Business “Top 40 Professionals Under 40” an
award recognizing up and coming young professionals along Florida’s Gulf Coast
region. He has served on multiple boards in his community, including the Collier
County Tax Abatement Board and the City of Naples Code Enforcement Board.

Mr. Moon received a Bachelor of Science in 1993 majoring in political science and
international relations from Eastern Michigan University and a Master of Arts, with
honors, in political leadership and criminology from Saginaw Valley State University. In
1998, Mr. Moon was awarded his Juris Doctor from Thomas M. Cooley Law School in
Lansing, Michigan. He continued his legal studies at St. Thomas University School of
Law in Miami, Florida earning a Master of Laws cum laude in international taxation and
financial services. Currently, Mr. Moon is completing a JSD program; he is expected to
receive a Doctor of Science of Law in international law with an emphasis on insurance
and banking compliance.

Mr. Moon is licensed to practice law in the states of Florida, Tennessee, and New York.
He is a member of The Florida Bar, Tennessee Bar Association, and the New York State
Bar Association. Mr. Moon is admitted to practice in the U.S. District Court, Middle
District of Florida, U.S. Tax Court, and U.S. Court of International Trade.

Mr. Moon has been certified by the American Academy of Financial Managers (AAFM)
in compliance and risk management analysis and by the International Compliance
Association (ICA) in anti-money laundering and financial crime prevention.

He proudly served his country in the United States Army National Guard as an
infantryman and he is a member of the Florida Bar Military Affairs Committee.

Arthur C. Neiwirth is a partner in the Fort Lauderdale office
                    of Quintairos, Prieto, Wood & Boyer, P.A., practicing in the areas of
                    creditor/debtor rights, bankruptcy, asset and wealth protection/
                    preservation, commercial law and litigation, corporate and business
                    law, business transactions and commercial and residential real
                    estate.

                     Since the commencement of his practice, Mr. Neiwirth has placed
                     great emphasis on the bankruptcy law, debtor/creditor relations,
                     transactions and real estate, and the impact and effect that the
bankruptcy law can have upon an individual's or a corporation's business transactions
and relationships with its creditors and in its daily business activities. This would
include the evaluation of the appropriate way for individuals investing or purchasing
businesses or assets to protect their assets in excess of that amount which is pledged to a
business endeavor or structure.

Mr. Neiwirth's experience in the field of bankruptcy law and debtor/creditor relations
has allowed him to develop an excellent understanding of the interrelationships of
various issues and aspects of business and corporate law, lien perfection, contract
drafting and evaluation, collateral security interests and real estate, as well as
transactions between parties and/or entities, with an eye towards the bankruptcy law
which might permit an "undoing" of the various transactions.

Mr. Neiwirth also handles commercial and residential real estate purchase and sale
transactions and financing transactions (from negotiating and drafting the contract
through closing). Mr. Neiwirth has been an agent/member of the Attorney’s Title
Insurance Fund handling closings, real estate transactions and issuing Title Insurance
since 1986. In addition, Mr. Neiwirth maintains a general practice with representation of
clients, individuals and entities, with regard to business issues and general legal
concerns. Mr. Neiwirth believes in the old fashioned practice of law, that the client is
entitled to the best quality representation available by the most appropriately qualified
professional available and is capable of recognizing the other fields where attention to a
client’s needs rest.

Mr. Neiwirth received his Juris Doctor from the University of Florida, Fredric G. Levin
College of Law in 1978 and a Bachelor of Science from the University of Florida in 1975.

Roberto M. Ureta is a partner in the Miami office of
                      Quintairos, Prieto, Wood & Boyer, P.A., where he concentrates his
                      practice in the areas of commercial litigation, insurance defense,
                      general liability, and professional negligence. In civil litigation,
                      he has represented numerous types of tort actions involving
                      negligence and personal injury including automobile negligence,
                      construction site defects and delays, wrongful death litigation,
                      premises liability claims, and negligent security actions. Since the
                      commencement of his practice in 1994, Mr. Ureta has focused on
                      the representation of large and small corporations in a wide range
of business law matters including business litigation, commercial and contractual
disputes, business formation, business planning, and mergers and acquisitions. In
combination with his extensive litigation experience, in the business arena, Mr. Ureta
brings a unique perspective to the practice of law allowing him to anticipate issues that
may arise in contractual documents he regularly prepares for clients.

Mr. Ureta has extensive experience in the areas of commercial and residential real estate
transactions involving purchases, sales, and financing transactions. He is an authorized
title agent for a major national title insurance company handling closings, real estate
transactions, and issuance of title insurance. In addition, he also represents clients in
litigation arising out of virtually any type of real estate venture, including title insurance
claims and residential and commercial foreclosures.

In 2003, Mr. Ureta established his own law practice in Coral Gables, Florida where he
maintained a dynamic real estate and business law practice. Prior to joining QPWB, Mr.
Ureta was senior counsel with a South Florida law firm; while maintaining to his
substantial core real estate services capabilities, he also concentrated in the areas of
professional liability and complex litigation.

Mr. Ureta received his Juris Doctor from Nova Southeastern University, Shepard Broad
Law Center in Miami, Florida in 1993 and a Bachelor of Business Administration from
Florida International University in 1990.

Mr. Ureta is licensed to practice law in Florida and is a member of The Florida Bar; he is
also admitted in the U.S. District Court for the Southern District of Florida. His
professional affiliations also include the Dade County Bar Association, Cuban-American
Bar Association, Miami-Dade Justice Association, and the Association of Trial Lawyers
of America.

Mr. Ureta is proficient in Spanish.

We maintain experienced attorneys who are well versed in all aspects of asset recovery and the disposition of those assets from REO inventory. As a result of the firm having a full service practice, the attorneys engaged in the Financial Services Practice Group can draw on a cross section of years of legal experience to address any issue or problem that may arise. As we all know, the process of prosecuting a foreclosure has changed and our lawyers are prepared for and have seen the foreclosure defense lawyer tactic "de jour".
