5. Tenure or Period of Contract
               This   is   the    pe riod      of    validity      of    the     le ga l   contra ct
               bet ween the fran ch is or an d fra nc h isee . It is usu a lly set by
               the franchisor. The le ga l contract can be as sh ort a s 3
               years to as long as 10 years or more . Gene rally spe aking,
               the longe r the v a lidity pe riod, the more one has to pay to
               join the fr anchise . Usu a lly, the condition to renew the
               c o nt ra ct is st ate d . In s ome ca ses , fr anc h is o rs may a l low
               for a re new a l of the cont ract for the same period again
               a t n o a d dit i on a l cos t . I n ot h e r c a s e s , f r an ch is o rs m ay ask
               f o r the payme nt of a n a d dit i on a l fee t o renew t he
               c o nt ra ct . It i s t here fo r e imp o rta nt t o f i nd o ut e x ac t ly h ow
               long the validity pe riod of the contra ct is for the sum of
               m oney p a id t o j oin the fra nc h ise .


               6. Initial Fee
               T he in it ia l fee is the up -fr ont payme nt tha t the fran ch isee
               must m ake t o t he f ra nc h is o r to obtain the rights to be the
               business      format       and       Trade    or     Se rv ice     Ma rk(s)        for   a
               s p eci f i c p e riod. I n re t u rn f or th is fee , m ost fran ch is ors
               prov ide serv ice s like shop opening assistance , design and
               lay out o f the p rem ise t o fac ilit ate an ea r ly c onve rs ion t o
               a f r anc h ise out le t .


               7. Royalty / Management Fee

               the fr an ch isee t o the fr anc h is o r . T he fee is usu a lly b ased
               o n a p erc e n t a ge of t h e gr os s m on t h ly s a le s . H ow e ver, it
               c ou l d a ls o b e a f i x e d f e e o r a v a r ia t i o n o f o n e o r b ot h . I n

8. Renovation Cost
                                          The     re n ov a t io n    c os t     re fe rs    to    the       cost        that    will    be
                                          incu rre d by the franchisee t o convert the prem ises t o t he
                                          image and lay out spe c ifie d by the franchis or. This cost
                                          has     to      be   borne        at   t he       be ginning           of   the       franchise

                                          9. Working Capital
                                          F r an ch isees must set a s ide su ffic ient fun ds as w ork in g
                                          cap it a l t o p ay for normal bus ine ss ove rhe ads e . g. ut ility
                                          bills, sala ries, pu rc hases of goods and se rv ices. Althou gh
                                          m os t f r a n c h is o rs d o p r ov i de c re d it t e rms f o r t h e g o o ds
                                          a n d serv ice s p rov ide d, th is on ly de fe rs the payme nt .
                                          When the time arrives, franch isees will still nee d to pay
                                          up.


                                          10.       Payment Terms
                                          G oods and se rv ice s prov ided by t he franchisee have t o
                                          be paid for. The period by whic h franchisee s are given t o
                                          p ay up is s pec ifie d by t he fr a nch is or un de r p ayment
                                          te rms. Usually franchisors prov ide the same credit te rms
                                          like 30 day s or 60 days credit, similar to othe rs in the
                                          s ame t ra de .


                                          11.       Territory
                                          F r an ch is o rs    usu a l ly   u n der take          n ot    to      s et    up     a n othe r
                                          franchise outlet within the territory specifie d unde r the

12.       Supply of Goods and Services

                13.       Compliance with Contract
                F r an ch isees a re requ ire d t o c om p ly w it h the te rms and
                condit ions of the franchise agreement . This is to ensure
                th at fran ch isees c onduct themse lve s in a m anne r th at w ill
                n ot     a f fec t        the    ima ge        and      bus ines s          of    t he        o t he r
                fra nch isees . Fran ch is ors have the right t o te rm inate the
                franchise            agreement           in   case       franchisees              who,        after
                r e p e a t e d w a r n in gs , f a i l t o c om p ly . On t h e o t h e r h a n d , i f
                the f r a nch i so r d oe s n o t ab i de w ith the t erm s spelt ou t in
                the franchise agreement , the fr anchisee can also seek
                r e dre s s .


                14.       Terms for Termination
                T he re a re 3 ways in wh ich the fr a nch ise a r r an gement c an
                be te rm inated. The first is when t he cont ract e xpires. The
                se cond is by the franchis or unde r a breach of a te rm(s) in
                the franchise agreement . This can happen be fore the
                e xpiry         of    the        agreement .           However,              such        forced
                te rm in at ion is n ot c omm on un le ss the re a re fr equen t
                b re ache s          by    the      fr a nc h isee .    The       th ir d    is   whe n          t he
                franchisee opts t o withdraw fro the franchise be fore

When the time arrives, franch isees will still nee d to pay up. 10. Payment Terms G oods and se rv ice s prov ided by t he franchisee have t o be paid for. Usually franchisors prov ide the same credit te rms like 30 day s or 60 days credit, similar to othe rs in the s ame t ra de . 11.
