2. The Fund.
Nummorum II – Exponential Innovation Fund is a $155,000,000.00 MXN
Venture Capital Fund established to achive in a medium term capital
appreciation through a portafolio of minority investment in USA and
Mexico medium-stage and growth-capital companies.
The Fund intends to finance the growth and enhance the
development of it portafolio companies, through a combination of
direct investment, strategic guidance, mentoring, intelligence and
comercial support all aimed at providing our investors with superior
returns.

Luis has been and entrepreneur adict, he began business at 18 years old,
actually he control and direct Nummorum VC a group that invest in different
sectors. During the last year, Luis had an active role in the selection, term
negotiation and investment in the portafolio companies and in supervising their
development and growth. Currently he is member of the Board of Director in
several companies, Endeavor Mentor and Member of the Crowdfunder
Advisor Program, he has been founder of 2 companies and co-founder 3
more.

8. Javier Cardenas
COO and Venture Partner
Javier is founder of Orcius, its main focus is the generation of web pages, social
media administration and consulting in advertising issues through Internet. It
currently has 66 franchises throughout Mexico. Javier is characterized by its
constant interest in innovation and expertis on IT issues are applied when
selecting the companies in which they will be investing.

9. Oscar Castañon
CFO and Venture Partner
Graduate of the Tec de Monterrey in IIS and UDLA as Industrial, Oscar shows
great passion for financial issues, currently is a full stock trader and has
specialties studies on online investments and corporate finance from the
Universities of Georgia Institute of Technology and University of Michigan
respectively. Its function in Nummorum is the analysis of current performance
and future of these investments as well as monitoring performance in funds
invested in the stock market.

Beldot: an online plataform that offer a new way to ask for gifts.
Froots: a restaurant chain that has 50 units across USA and 25 units located in
different countries, Froots offer to their client Smoothies, Salads and Wraps.

13. Terms and Conditions
Offering:
$155,000,000.00MXN in interest B trustee (LP). The manager reserve the
right to accept contributions exceeding the Target Amount Offering.
Initial Closing:
When $46,500,000.00MXN in commitments are collected, the Fund
may declare an initial closing and start operations with the understanding that
the final decision to carry out any investment in Portafolio Company should be
the sole authority of the General Partner.

14. Term:
10 years as from the Initial Closing.
Minimum Commitment:
$5,000,000.00MXN for individuals; $10,000,000.00MXN for legal entities.
Preferential Yield:
8% annual compounded

15. Carried Interest:
80% to B trustees (LP) and 20% to Manager (GP) after having returned
the invested capital to LP
Management Fee:
3% annual of the total commited capital during the first four years
decreasing to 2.5% annual during the remaining lifetime of the fund.
Undertaking of GP:
The manager undertakes to invest, at least 1% of the total estate of
the Fund.

16. Date of Initial Closing:
Deadline on December 30, 2015
Date of Final Closing:
Twelve months after the Date of Initial Closing.
