Unified terms and conditions of
non-branded subscription
service

in MTS network."

Definition of subscription service:
Subscription is periodically chargeable service, provided the subscriber with multiple
access to the content under one of the following models:
  Limited number of transactions (examples: subscription for 10 files or 7 SMS with content) during
certain period of time;
  Unlimited number of transactions during certain period of time (example: subscription to access a
site for a week);
  Certain content volume during certain period of time (example: 3 files per week);
  Unlimited access during unlimited period of time (subscription with automatical prolongation).

Types of subscriptions:"
Types of subscriptions services:
  Without automatic prolongation: manual re-activation of subscription by the subscriber itself;
  With automatical prolongation (without free trial period): the subscription is automatically getting re-activated.
Subscription is valid until subscriber sends unsubscription request or occurrence of other conditions of subscription
termination (example: a subscriber’s account is blocked, etc).
  With automatical prolongation (with free trial period): after free trial period the subscription is automatically
getting re-activated. The subscriber should be preliminary informed about free trial period expiration. Subscription
is valid until the subscriber unsubscribes or in occurrence of other conditions of subscription termination (example:
a subscriber’s account is blocked, etc).

Responsibilities of subscription service (hereinafter – Service) provider
to MTS subscribers."
  Obtaining of preliminary approval of Service logic, terms and conditions provided to the customers of MTS (approval must be received in written form).
  Signing of additional agreement between content provider and MTS, containing information about Service logic, terms and conditions of use.
  Obtaining MTS’s approval of the advertising materials content consisting of service description (not later than 10 working days before the Service launch).
  Informing subscribers about terms and conditions of Service (see slide 5 for more details) by means of advertising previously approved by MTS . The access to the advertising resources consisting of Service terms and conditions shall be free of charge
for the customer.
  Informing subscribers about fees and billing procedures (see slide 8 for more details).
  Subscription/Cancellation confirmation by the means of message to MTS end-user is mandatory.
  During the subscription period, a subscriber shall be informed about the current status of subscription (Service description, fees, unsubscription manners) by means of free SMS’s after spending each RUR300, but not less often than monthly.
  The subscription can be considered as activated only after certain actions of a subscriber (example: sending of sms to short code, pressing a button).
  One day before free trial period expiration the subscriber shall be informed by the means of free sms message that: 1. Free trial period is expired; 2. Service fees; 3. Billing frequency; 4. Service quantity; 5. Unsubscription manners. IF the customer does
not unsubscribe the Service, after free trial period the Service is getting prolonged on a paid basis.
  One day before the subscription expires the subscriber shall be informed by the means of free sms message that: 1. Service is getting prolonged; 2. Service fees; 3. Billing frequency; 4. Service quantity; 5. Unsubscription manners.
  The database consisting of the list of customers agreed to get Service shall be updated every two month.
  In case when a subscriber has unsubscribed for the Service, the subscription can be re-activated only after receiving new request for activation.
  Paid Service should be provided comprehensively for the all paid period whenever the subscriber unsubscribes.
  Automatic prolongation of subscription by sending of charged message from a short code can be activated from 9:00 to 20:00 (subscriber’s local time) despite of actual time when service has been initially activated.

Terms and conditions of Subscription service (hereinafter – Service) with
automatical prolongation for MTS customers"
The terms for users must include the following information:
 Complete and detailed description of Service, its logic and fees;
 Age limits for the Service;
 Short service numbers and list of commands with their description;
 Billing frequency and short codes list from which sms will be sent to subscribers;
 All available methods to subscribe and unsubscribe using standard commands;
 Disclosure of availability to unsubscribe at any time;
 Frequency of receiving of paid content in the frames of Service;
 Frequency of receiving of free sms messages remining the subscriber of Service description, fees
and unsubscription terms;
 Listing of all short codes used in the Service with description of their functions;
 Contact details of the Service provider’s technical support.*
*Note:
Technical support service must unsubscribe a subscriber on the day of his request, inform about terms, conditions and fees of the
Service, provide information on content included and its compatibility with a subscriber’s handset. If needed, replace content with
equivalent, compatible with the subscriber’s handset model.

Subscription order:!
  By sending SMS message to 6-digits MO number (sms shall be free of charge);!
  By sending MMS message to 6-digits MO number (sms shall be free of charge);!
  Call to short IVR-number with the following customers approval by the means of choosing the menu option;!
  Via WEB page (see slide 7);!
  Via WAP page (see slide 7);!
  Via WEB-/WAP page by the means of message to short MO-number with 4 digits (see slide 8).!
Unsubscription manners:!
  By sending SMS message to 6-digits MO number (sms shall be free of charge) consisting of the word ”STOP”;!
  By sending e-mail to Content providerʼs customer service;!
  Call to to Content providerʼs customer service;!
  Fax request message to Content providerʼs customer service;!
  Via Content providerʼs WEB page;!
  Via WAP page of the Service.!
Subscription and unsubscription manners in the frames of Service with Automatical Prolongation
(hereinafter – Service)!

  The subscriber shall enter its MSISDN on the service web-page;
  Content provider sends to subscribers number free SMS message consisting of confirmation code (Text shall be represented as
following: “the access code <code> to the service “Subscription via WEB <URL>. The Customer service phone <number> (call is free of
charge)”;
  On the next (automatically opened) web page subscriber is getting familiarized with subscription rules (WEB-site: T&C shall be placed in
separate window with scrolling; WAP-site: T&C shall be available from link) and window, where the end user can confirm his
acknowledge with T&C by the means of the tick in the check box “T&C”, or "I am agree with T&C", enters confirmation code and clicks
the button "subscribe”;
  Content provider sends to MTS customer confirmation message (Text shall be represented as following: “You have subscribed to
“Subscription on site <URL site>. Access code <code>. Price is XXXrub VAT inclusive/xx days. To unsubscribe send “STOP” to XXXXXX
(sms is free in your region). To get more information call 8-800-xxxxxxx (call is free)”;
  The Content provider begins to provide the subscribed Service by the means of access to content;
  Messages to MTS customers consisting of reminder to enter the access code are forbidden.
*WAP site design requirements are described in Attachment 1 (see slide 12 for more details)!
Automatically prolonged subscription order via WEB and WAP pages*!

  On the Service web-page the customer shall: get acquainted with Subscription T&C that are located in separate window with scrolling, confirm his
accedence by inserting tick in the check box next to the phrase “I am agree with Subscription Service Terms and Conditions” and push the button “Iʼm agree
with Subscription terms and conditions”.!
  After that the customer shall se the following information:!
o  Short number!
o  Activation code to subscribed service (the command to be sent on short number)!
o  The VAT inclusive cost of one message to the short number (in Russian Rubbles)!
  The customer sends message with activation code to four-digits MO number XXXX!
  The content provider sends the reply message from MO-number XXXX with confirmation of subscribed service and service access code with validity XX
days (The text shall be represented as following: “You are subscribed to service “<URL site> subscription. The access code is <code>. The service price is
XXX rub/xx days. To unsubscribe the service send STOP to XXXXXX( sms is free of charge in customerʼs region). To get more information call to 8-800-
XXXXXXX (call is free of charge)”.!
  To get the access to the service on the web site the customer shall input his access code (<code>), push the button “Download/ Get content” and gains
access to content downloading. !
*The main requirements to design of subscription service web site are listed in attachment N2 (see slide 13). !

If subscription service is advertised – it shall be clearly emphasized, that a user is to subscribe for the Service, and
activation is made without additional confirmation by subscriber
.
Example: “Wish to subscribe for …? Charge [weekly] RUR xxx .... Send….”
Requirements for advertising materials:
1. 80% of video or audio add time of print add space is devoted to Subscription service
2. Name of Service
3. Statement that the Service is paid subscription
4. Billing frequency (example: weekly or monthly)
5. Subscription fee (VAT inclusive)
6. How to unsubscribe (including standard STOP command)
7. Content provider’s contacts.
If there is another Service advertised with an option of subscription – activation of additional subscription service is
made after getting confirmation from subscriber via SMS or WAP.
Example: «Order a ring-tone for … RUR, send …! And subscribe to get new ring-tones weekly…»
Confirmation methods:
via SMS – the Content provider shall send the following message to subscriber «You’re agree to subscribe to XXX
service. The Service price is YYY per week (month). Send ZZZ code to NNN number».
via WAP-resource – before being subscribed, the customer shall see the following statement: «You’re to subscribe to
XXX service. The Service price is YYY per week (month). You can unsubscribe any time by sending ZZZ to number
NNN. Continue? (YES/NO).»
Advertising of service with automatical prolongation"

Advertising of Service without automatical prolongation
The advertisement requirements are the same as for the service with automatical
prolongation

The terms of providing Service and unsubscription options"
Each time a subscriber is charged, an SMS with brief information on status of subscription and unsubscribe methods
shall be sent to him (her): “You have been charged for RUR XXX for subscription to YYY service. To unsubscribe pls.
send ZZZ to NNN number (sms is free in your home region)”.
In case when the subscriber unsubscribes the Service he (she) shall get free of charge sms message with the following
information: “The subscription for the Service YYY is cancelled. Paid for the period Service YYY will be provided
comprehensively”.
In case a subscriber can’t be charged due to temporary blocking of his number (error SDP #119) or other reason, the
service provider can repeat write-off transactions only in:
- 3 hours;
- 12 Hours;
- 1 day (24 hours);
- 3 days;
- 1 week.
In case of impossibility of billing during one-week period and extension of Subscription, it is considered as cancelled;
further subscription prolongation and billing shall not be implemented.
In case of platform reply SDP 1043 or 1044 the subscriber’s number shall be immediately deleted from the
subscription database.
Subscription prolongation is implemented on the basis of periodical revision of subscribers’ database (each 2 months)
for those subscribers who confirmed their intention to extend the subscription.
Re-activation of previously cancelled subscription is only possible after getting new request from a subscriber.

conditions; f) link to "subscription management" page, where one can unsubscribe.
PIN page The page shall have the following information: a) prices; b) billing frequency; c) how one can unsubscribe; d) technical support contacts; e) link to the subscription rules; f) link to
"subscription management" page, where one can unsubscribe;
The tick in the check box next to the phrase “I agree with terms and conditions of subscription service” should not be in the box by default (where the words "terms and conditions"
should be a link to the full text).
«Activate/I agree/Subscribe» button should not be activated before the tick is placed in the box (see above)
The phrase ”…to subscribe the service…” above PIN box is mandatory
Under the PIN box – approved text of terms shall be located in the window sized to 65 characters in width, and 10 lines in height!
the font of "terms and condition" text shall be contrast to the page background
Unsubscription page!
The page shall have the following information: a) content provider’s technical support contacts; b) link to "subscription management" page, where one can unsubscribe. !
Subscribed service cancellation shall be available in the special part of the site.!
The subscriber shall input its number to the special field and push the button "unsubscribe" or fulfill the application form, placed on the unsubscription page.!
After that the subscriber shall see the sentence "subscription from your number is deactivated” and get free confirmation message of unsubscription !
If subscriber enters the wrong number or another, than number from which the subscription was ordered, she or he shall see the sentence "You don't have any subscriptions".!
All pages!
There shall not be any information that disorient the end user of service provision scheme.
The following formulations are forbidden: a) "free access"; b) "all is free of charge"; c) "24 hours for free " and so on.
The following formulations are allowed: a)" free trial period is 24 hours/3 days"; b) "To activate the service you don't have to send sms", and so on.

MTS subscription terms

  • 1. Unified terms and conditions of non-branded subscription service
 in MTS network." 02 August 2010!
  • 2. Definition of subscription service: Subscription is periodically chargeable service, provided the subscriber with multiple access to the content under one of the following models:   Limited number of transactions (examples: subscription for 10 files or 7 SMS with content) during certain period of time;   Unlimited number of transactions during certain period of time (example: subscription to access a site for a week);   Certain content volume during certain period of time (example: 3 files per week);   Unlimited access during unlimited period of time (subscription with automatical prolongation). 2!
  • 3. Types of subscriptions:" Types of subscriptions services:   Without automatic prolongation: manual re-activation of subscription by the subscriber itself;   With automatical prolongation (without free trial period): the subscription is automatically getting re-activated. Subscription is valid until subscriber sends unsubscription request or occurrence of other conditions of subscription termination (example: a subscriber’s account is blocked, etc).   With automatical prolongation (with free trial period): after free trial period the subscription is automatically getting re-activated. The subscriber should be preliminary informed about free trial period expiration. Subscription is valid until the subscriber unsubscribes or in occurrence of other conditions of subscription termination (example: a subscriber’s account is blocked, etc). 3!
  • 4. Responsibilities of subscription service (hereinafter – Service) provider to MTS subscribers."   Obtaining of preliminary approval of Service logic, terms and conditions provided to the customers of MTS (approval must be received in written form).   Signing of additional agreement between content provider and MTS, containing information about Service logic, terms and conditions of use.   Obtaining MTS’s approval of the advertising materials content consisting of service description (not later than 10 working days before the Service launch).   Informing subscribers about terms and conditions of Service (see slide 5 for more details) by means of advertising previously approved by MTS . The access to the advertising resources consisting of Service terms and conditions shall be free of charge for the customer.   Informing subscribers about fees and billing procedures (see slide 8 for more details).   Subscription/Cancellation confirmation by the means of message to MTS end-user is mandatory.   During the subscription period, a subscriber shall be informed about the current status of subscription (Service description, fees, unsubscription manners) by means of free SMS’s after spending each RUR300, but not less often than monthly.   The subscription can be considered as activated only after certain actions of a subscriber (example: sending of sms to short code, pressing a button).   One day before free trial period expiration the subscriber shall be informed by the means of free sms message that: 1. Free trial period is expired; 2. Service fees; 3. Billing frequency; 4. Service quantity; 5. Unsubscription manners. IF the customer does not unsubscribe the Service, after free trial period the Service is getting prolonged on a paid basis.   One day before the subscription expires the subscriber shall be informed by the means of free sms message that: 1. Service is getting prolonged; 2. Service fees; 3. Billing frequency; 4. Service quantity; 5. Unsubscription manners.   The database consisting of the list of customers agreed to get Service shall be updated every two month.   In case when a subscriber has unsubscribed for the Service, the subscription can be re-activated only after receiving new request for activation.   Paid Service should be provided comprehensively for the all paid period whenever the subscriber unsubscribes.   Automatic prolongation of subscription by sending of charged message from a short code can be activated from 9:00 to 20:00 (subscriber’s local time) despite of actual time when service has been initially activated. 4!
  • 5. Terms and conditions of Subscription service (hereinafter – Service) with automatical prolongation for MTS customers" The terms for users must include the following information:  Complete and detailed description of Service, its logic and fees;  Age limits for the Service;  Short service numbers and list of commands with their description;  Billing frequency and short codes list from which sms will be sent to subscribers;  All available methods to subscribe and unsubscribe using standard commands;  Disclosure of availability to unsubscribe at any time;  Frequency of receiving of paid content in the frames of Service;  Frequency of receiving of free sms messages remining the subscriber of Service description, fees and unsubscription terms;  Listing of all short codes used in the Service with description of their functions;  Contact details of the Service provider’s technical support.* *Note: Technical support service must unsubscribe a subscriber on the day of his request, inform about terms, conditions and fees of the Service, provide information on content included and its compatibility with a subscriber’s handset. If needed, replace content with equivalent, compatible with the subscriber’s handset model. 5!
  • 6. Subscription order:!   By sending SMS message to 6-digits MO number (sms shall be free of charge);!   By sending MMS message to 6-digits MO number (sms shall be free of charge);!   Call to short IVR-number with the following customers approval by the means of choosing the menu option;!   Via WEB page (see slide 7);!   Via WAP page (see slide 7);!   Via WEB-/WAP page by the means of message to short MO-number with 4 digits (see slide 8).! Unsubscription manners:!   By sending SMS message to 6-digits MO number (sms shall be free of charge) consisting of the word ”STOP”;!   By sending e-mail to Content providerʼs customer service;!   Call to to Content providerʼs customer service;!   Fax request message to Content providerʼs customer service;!   Via Content providerʼs WEB page;!   Via WAP page of the Service.! Subscription and unsubscription manners in the frames of Service with Automatical Prolongation (hereinafter – Service)! 6!
  • 7.   The subscriber shall enter its MSISDN on the service web-page;   Content provider sends to subscribers number free SMS message consisting of confirmation code (Text shall be represented as following: “the access code <code> to the service “Subscription via WEB <URL>. The Customer service phone <number> (call is free of charge)”;   On the next (automatically opened) web page subscriber is getting familiarized with subscription rules (WEB-site: T&C shall be placed in separate window with scrolling; WAP-site: T&C shall be available from link) and window, where the end user can confirm his acknowledge with T&C by the means of the tick in the check box “T&C”, or "I am agree with T&C", enters confirmation code and clicks the button "subscribe”;   Content provider sends to MTS customer confirmation message (Text shall be represented as following: “You have subscribed to “Subscription on site <URL site>. Access code <code>. Price is XXXrub VAT inclusive/xx days. To unsubscribe send “STOP” to XXXXXX (sms is free in your region). To get more information call 8-800-xxxxxxx (call is free)”;   The Content provider begins to provide the subscribed Service by the means of access to content;   Messages to MTS customers consisting of reminder to enter the access code are forbidden. *WAP site design requirements are described in Attachment 1 (see slide 12 for more details)! Automatically prolonged subscription order via WEB and WAP pages*! 7!
  • 8.   On the Service web-page the customer shall: get acquainted with Subscription T&C that are located in separate window with scrolling, confirm his accedence by inserting tick in the check box next to the phrase “I am agree with Subscription Service Terms and Conditions” and push the button “Iʼm agree with Subscription terms and conditions”.!   After that the customer shall se the following information:! o  Short number! o  Activation code to subscribed service (the command to be sent on short number)! o  The VAT inclusive cost of one message to the short number (in Russian Rubbles)!   The customer sends message with activation code to four-digits MO number XXXX!   The content provider sends the reply message from MO-number XXXX with confirmation of subscribed service and service access code with validity XX days (The text shall be represented as following: “You are subscribed to service “<URL site> subscription. The access code is <code>. The service price is XXX rub/xx days. To unsubscribe the service send STOP to XXXXXX( sms is free of charge in customerʼs region). To get more information call to 8-800- XXXXXXX (call is free of charge)”.!   To get the access to the service on the web site the customer shall input his access code (<code>), push the button “Download/ Get content” and gains access to content downloading. ! *The main requirements to design of subscription service web site are listed in attachment N2 (see slide 13). ! Automatically prolonged subscription order via web-site ! by the means of message to short code* ! 8!
  • 9. If subscription service is advertised – it shall be clearly emphasized, that a user is to subscribe for the Service, and activation is made without additional confirmation by subscriber . Example: “Wish to subscribe for …? Charge [weekly] RUR xxx .... Send….” Requirements for advertising materials: 1. 80% of video or audio add time of print add space is devoted to Subscription service 2. Name of Service 3. Statement that the Service is paid subscription 4. Billing frequency (example: weekly or monthly) 5. Subscription fee (VAT inclusive) 6. How to unsubscribe (including standard STOP command) 7. Content provider’s contacts. If there is another Service advertised with an option of subscription – activation of additional subscription service is made after getting confirmation from subscriber via SMS or WAP. Example: «Order a ring-tone for … RUR, send …! And subscribe to get new ring-tones weekly…» Confirmation methods: via SMS – the Content provider shall send the following message to subscriber «You’re agree to subscribe to XXX service. The Service price is YYY per week (month). Send ZZZ code to NNN number». via WAP-resource – before being subscribed, the customer shall see the following statement: «You’re to subscribe to XXX service. The Service price is YYY per week (month). You can unsubscribe any time by sending ZZZ to number NNN. Continue? (YES/NO).» Advertising of service with automatical prolongation" 9!
  • 10. Advertising of Service without automatical prolongation The advertisement requirements are the same as for the service with automatical prolongation 10!
  • 11. The terms of providing Service and unsubscription options" Each time a subscriber is charged, an SMS with brief information on status of subscription and unsubscribe methods shall be sent to him (her): “You have been charged for RUR XXX for subscription to YYY service. To unsubscribe pls. send ZZZ to NNN number (sms is free in your home region)”. In case when the subscriber unsubscribes the Service he (she) shall get free of charge sms message with the following information: “The subscription for the Service YYY is cancelled. Paid for the period Service YYY will be provided comprehensively”. In case a subscriber can’t be charged due to temporary blocking of his number (error SDP #119) or other reason, the service provider can repeat write-off transactions only in: - 3 hours; - 12 Hours; - 1 day (24 hours); - 3 days; - 1 week. In case of impossibility of billing during one-week period and extension of Subscription, it is considered as cancelled; further subscription prolongation and billing shall not be implemented. In case of platform reply SDP 1043 or 1044 the subscriber’s number shall be immediately deleted from the subscription database. Subscription prolongation is implemented on the basis of periodical revision of subscribers’ database (each 2 months) for those subscribers who confirmed their intention to extend the subscription. Re-activation of previously cancelled subscription is only possible after getting new request from a subscriber. 11!
  • 12. Main page The page shall have the following information: a) service price; b) billing frequency; c) how one can unsubscribe; d) technical support contacts; e) link to the subscription terms and conditions; f) link to "subscription management" page, where one can unsubscribe. PIN page The page shall have the following information: a) prices; b) billing frequency; c) how one can unsubscribe; d) technical support contacts; e) link to the subscription rules; f) link to "subscription management" page, where one can unsubscribe; The tick in the check box next to the phrase “I agree with terms and conditions of subscription service” should not be in the box by default (where the words "terms and conditions" should be a link to the full text). «Activate/I agree/Subscribe» button should not be activated before the tick is placed in the box (see above) The phrase ”…to subscribe the service…” above PIN box is mandatory Under the PIN box – approved text of terms shall be located in the window sized to 65 characters in width, and 10 lines in height! the font of "terms and condition" text shall be contrast to the page background Unsubscription page! The page shall have the following information: a) content provider’s technical support contacts; b) link to "subscription management" page, where one can unsubscribe. ! Subscribed service cancellation shall be available in the special part of the site.! The subscriber shall input its number to the special field and push the button "unsubscribe" or fulfill the application form, placed on the unsubscription page.! After that the subscriber shall see the sentence "subscription from your number is deactivated” and get free confirmation message of unsubscription ! If subscriber enters the wrong number or another, than number from which the subscription was ordered, she or he shall see the sentence "You don't have any subscriptions".! All pages! There shall not be any information that disorient the end user of service provision scheme. The following formulations are forbidden: a) "free access"; b) "all is free of charge"; c) "24 hours for free " and so on. The following formulations are allowed: a)" free trial period is 24 hours/3 days"; b) "To activate the service you don't have to send sms", and so on. Attachment 1: Requirements to design of Subscription service " web site (service order via web/wap-site) ! 12!
  • 13. Attachment 2 “Main requirements to design of subscription service web " Site (service order via messaging to short code) " Main page! The page shall have the following information: a) service price; b) billing frequency; c) how one can unsubscribe; d) content provider’s technical support contacts; e) link to the subscription terms and conditions; f) link to "subscription management" page, where one can unsubscribe.! The tick in the check box next to the phrase “I agree with terms and conditions of subscription service” should not be in the box by default (where the words "terms and conditions" should be a link to the full text).! «Activate/I agree/Subscribe» button should not be activated before the tick is placed in the box (see above)! Text of T&C shall be located in the window with scrolling (sizes: 65 characters in width, and 10 lines in height) under the PIN box !
