1. RECRUITMENT SERVICES AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Recruitment Services Agreement is made and entered into between:

1) The agreement shall be subject to the prevailing laws in Saudi Arabia particularly those prescribed by
the Ministry of Labor and Foreign Affairs.
2) The FIRST PARTY will utilize as deemed appropriate the services and facilities of the SECOND PARTY
for purposes of recruiting, processing and documenting Employees hired through the SECOND PARTY for
employment by the FIRST PARTY in Saudi Arabia.
3) SOURCING: The SECOND PARTY shall make available to the FIRST PARTY pre-screened applicants
within the prescribed period based on the agreed number of days determined by the FIRST PARTY.
Applicants shall be screened by appropriate means such as qualification, evaluation of work experience,
personal interviews, background investigation etc. Selection shall satisfy the requirements specified on the
FIRST PARTY’s job description.

2. 4) The SECOND PARTY will coordinate, communicate and dispatch documents (employment offers, etc)
between the FIRST PARTY and the candidates.
5) The FIRST PARTY will furnish all the necessary documents and particulars for processing visas
(employment/visit) for the selected candidates who have accepted the employment offers.
6) The SECOND PARTY will do all other services including consultancy that may be requested by the
FIRST PARTY.
7) RECRUITMENT PROCESS: The applications of the selected candidates by the FIRST PARTY shall be
processed by the SECOND PARTY for assignment in Saudi Arabia. Such services shall include but not
limited to providing the facilities needed for screening, conducting initial & final interviews, processing
candidates by the FIRST PARTY’s representatives.
8) ITINERARY: The SECOND PARTY will begin the process with immediate effect upon signature of the
contract. Following itinerary is to be completed by the SECOND PARTY.

9) RECRUITMENT TRIP EXPENSES:
International flights: International flights for the client’s executives will be covered and arranged by
client.
Domestic flight (if required): Domestic flights for the client executives will be covered and borne by the
client. Domestic flights for the Agency will be covered by the Agency.
10) HOTEL ACCOMMODATION: Hotel Accommodation for FIRST PARTY will be arranged by the Second
Party as per client requirement; and the cost of hotel accommodations will be paid by the First Party upon
check out. However, prior to the recruitment trip the quotes are to be provided by the Agency (Second
Party).
11) ADVERTISING: The FIRST PARTY will cover the cost of advertising. However, the Agency (Second
Party) will provide quotations and obtain approval from First Party prior to placing ads.

3. 12) INTERVIEW ROOMS: The Agency will take care of booking the final interview venues as per the
requirements of the client and depending upon the number of candidates. The cost of the interview venue
will be paid by the FIRST PARTY upon check out, and quotes are to be provided by the Agency prior to the
recruitment trip.

Note:
a) The Employer will bear the cost of recruitment + Joining Air fare + Agency fee or part of it as per
Employer policy.
b) The candidate will bear the cost of recruitment + Joining Air Fare + Agency fee or part of it as
per Employer policy.
14) RESPONSIBILITIES OF SECOND PARTY:
A. The SECOND PARTY shall assign a Key Accounts Manager to handle all recruitment related activities
for the FIRST PARTY at the SECOND PARTY’S premises including assignment of a vocal and internet
communicator, his availability, phone number, fax number, mobile number and in his absence,
substitute communicator should be notified to the FIRST PARTY’S Recruitment Department with
immediate effect.
B. The SECOND PARTY should provide a minimum of 3-5 CVs as per the FIRST PARTY’S format (as
provided) and in line with the FIRST PARTY’S job description / job criteria from the date of our request
within 2 weeks and all CVs should include a comprehensive assessment report about the candidate, a
cover letter stating latest contact number and a valid e mail id. The FIRST PARTY should send
feedback on short listed CVs within 7 working days to the SECOND PARTY.
C. Recruitment Trip / Video / Web Conferencing Arrangements:
1) Trip arrangements communication to the SECOND PARTY will be 7 days in advance.
2) Suggest best time to meet the candidates
3) Verification of previous and current employment (Security & Background Check)
4) Should guarantee to line up all pre-selected candidates.
5) Walk in candidates should be lined up with the permission of the Representatives and after regular
lined up candidates interviews are completed.
6) The SECOND PARTY should provide the details of trade test / skill test conducted by independent
Test Centre’s Profile and their creditability.
7) Multi Locations interview arrangements based on response should be notified.
8) A complete notification on travel, venue, time, date etc., should be notified to the FIRST PARTY
within 10 days.

5. 1) Reasons for declination of any candidates should be provided to the FIRST PARTY within 3 days
from the Job Offer Date.
2) Reasons for no show at the time of interview should be provided to the FIRST PARTY within 3 days
after the interview.
3) The SECOND PARTY should notify to the candidates their job offer is Single or Married Status as
per the offer.
4) The SECOND PARTY should not accept any “non-managers” candidates without valid passport.
E. Deployment Schedule:
15) GENERAL
A. The SECOND PARTY should provide candidates with the FIRST PARTY’S company profile and an
orientation of Saudi Arabia and other GCC countries.
B. The SECOND PARTY should provide to the FIRST PARTY complete details about the candidates e.g.
• Updated Bio-Data / CV (Curriculum Vitae)
• Contact Details of the Sponsor in Saudi Arabia (if employed previously)
• Original 4 Wheeler Driving License (Indian/GCC/Others) (if required)
• Original ITI / Diploma / Degree Certificates
• 15 pieces colored photo (white background)
16) CLIENT and AGENCY RESPONSIBILITIES:
The responsibilities of both Client (First Party) and the Agency (Second Party) with regards to repatriation
of an employee shall be limited to following:

6. a. Direct/Indirect Workers by the CLIENT – The AGENCY shall not be responsible if the worker is
found not qualified at any time during his employment with the CLIENT, but the AGENCY shall
be responsible if the worker has been found to be medically UNFIT during the three (03) months
probation period.
b. Workers Recruited by the CLIENT through the AGENCY – The AGENCY shall be responsible if
the worker has been found medically unfit, unwilling to work, has been found to have submitted
false documents or has resigned within the three (03) months probation period.
16.2 If the worker is selected by the AGENCY: If the worker is selected by the AGENCY on behalf
of the CLIENT and on the AGENCY’s own judgment, then the AGENCY shall be responsible if the
worker has been found unqualified, medically unfit, unwilling to work, has been found to have submitted
false documents or has resigned within the three (03) months probation period.
16.3 Responsibilities: In the aforementioned cases, the AGENCY shall be responsible to answer for
the repatriation ticket of the worker and his actual visa cost. In this case, the AGENCY shall either
purchase the ticket of the worker or the CLIENT may do so and deduct the amount from AGENCY
account.
16.4 The AGENCY advises the CLIENT under this provision that the latter cannot assign any worker
to any country upon which the Pakistan Government has been against overseas deployment.
The failure of the client to abide by this directive shall not be attributable to the fault of the
Agency, and the latter in effect shall not be held responsible.
17) AUTHORITIES AND JOINT & SOLIDARY LIABILITIES OF THE CLIENT AND AGENCY
The CLIENT authorizes the AGENCY to be one of its local representatives in all matters involving the
recruitment and hiring of Pakistani employees for its Company.
By virtue of said Authority, the AGENCY is granted the following powers and obligations:
17.1 To represent the CLIENT before any and all government and private officers/
agencies in Pakistan in any matter concerning the recruitment of Pakistani employees.
17.2 To enter into any agreement and contract with any person, corporation, institution or entity in a
joint venture or as partner in the recruitment, hiring and placement of Pakistani contract employees for
overseas employment.
17.3 To sign, authenticate and deliver all documents necessary to complete any transaction related
to such recruitment & hiring, including taking necessary steps to facilitate the departure of the recruited
employees in accordance with the labor code as amended; and its rules & regulations

7. 17.4 To file law suits, defend and enter into compromise for and on behalf of the client any
Liability/responsibility that may arise in connection with the recruitment and hiring of the
employees, including the full implementation of the employment period.
18) CONTRACT EFFECTIVITY & TERMINATION: The term of this Agreement shall be for a period of two
(02) years commencing upon the date of signing thereof and shall be automatically renewed thereafter
unless either party provides a written notice of its intention not the renew or modify the conditions of this
agreement within thirty (30) days prior to the intended date of termination or modification. However, the First
Party may at any time terminate the contract at its own will and discretion by a thirty (30) days written notice
to the Second Party, subject to payment of all outstanding amounts due to Second Party.
19) ENTIRE AGREEMENT: This Agreement contains the entire understanding of the parties, and there are
no representations, warranties, promises or undertakings other than those contained herein.
20) MODIFICATIONS: Any change in this Agreement shall be executed in writing and signed by the
parties involved. The forgoing provisions set forth the general terms & conditions shall remain in full force
and effect unless amended in writing and signed by both the First Party and Second Party.
IN WITNESS THEREOF, both parties have agreed and understood the terms and conditions of this contract and
have signed this 19 day of November’2013.
