PRICE: $28000 per kg. TRANSPORTATION DOCUMENTS This delivery shall be accompanied by: 1. Certificate of Origin 2. Certificate of Ownership 3. Certificate of Movement from Ministry of Trade 4. 4 copies of Commercial Invoice 5. Preliminary Assay Certificate 6. Certificate of Non-Criminal Origin 7. Certificate of Phytosanitary 8. Insurance 9.   2. CIF Procedures 1. Seller issues FCO with CEO Passport Copy. 2. Buyer Signs and return back to seller with his passport copy 3. Seller sends a contract for Buyers Approval. 4. Buyer signs and return back to Seller 5. (a) Seller goes over signed contract and prepares his trip for the Deposition of the gold to the ministry of mines. (b)Seller Book a day to the Ministry recognized freight and Export agency for the Deposition of the goods for safe keeping. Once as he gets a Precise date, seller takes goods to the Ministry of Scientific Research and Innovation for Pre-Assayer of the Goods. After the Assayer Results are out, Seller would collect goods from the Scientific Research Ministry and get pictures of the gold to be ship with Buyer’s names and address written inside and out of the Box. 6. (a)Seller Print out hard copies of the contract and carry it along to the Ministry of Mines recognized freight and Export agency. During this Period of traveling, Seller will give Minute by Minute updates to Buyer either via SMS on Cellphone or calls. This would make the deal transparent thus motivating both ends. (b) Buyer or Mandate pays for the CEMAC BUYERS PERMIT. This is mandatory rule as per the rules of Cameroon Ministry of Mines.CEMAC BUYERS PERMIT cost US$5500 (UNITED STATES DOLLAR FIVE THOUSAND FIVE HUNDERED ONLY) Cameroon Ministry of Mines sends the invoice of US$5500 through their official email id having its Banking Coordinates & Contact Person details to buyer. Buyer’s details, Seller’s details & the Contract Number are mentioned in the Invoice. Buyer pays US$ 5500, the charges of CEMAC BUYERS PERMIT in accordance to the Invoice received from the Cameroon Ministry of Mines via TT or Wire Transfer. Seller pays all the delivery charges of the gold to the buyer’s destined International airport. (c) Seller Agent will accompany the gold to buyer’s destination. (d) After Buyer’s Designated refinery’s/assay house’s issuance of the certified final assay report to the Seller’s agent, the Buyer will transfer the payment of the total value to the Seller’s bank account within 3 working days. The Seller will transfer the title of goods to Buyer’s name.

SELLER’S OBLIGATIONS: The seller commits himself to deliver to buyer 500 kg of gold in the form of 1kg/2kg Bars as first trial shipment with roll and extension for large quantity (5000kg per month). The seller shall guarantee the buyer that the product subject to this contract may not contain mercury, nor arsenic, nor shall it be radioactive and is reputed being clear/clean and of non-criminal origin. Accordingly, the seller indemnifies the buyer against any such allegations, which May or may not give arise in the future as follow: Deleterious elements content; Class I: IMPURITIES; which are hazardous to human health and environments habitants. Class 2: IMPURITIES: which can disturb the refining processes, and likewise influence on the environmental protection process? In case the consignment supplied contains impurities that are deleterious to other person or to the refining process, the buyer will have the right to deny purchasing said amount. The above gold elements content will be communicated and certified to buyer prior to the full execution of the present contract. Seller commits himself to respect and follow the Procedure imposed actions to the good end execution of this agreement. BUYER’S OBLIGATIONS: The buyer commits himself to buy and pay to the seller for the total quantity of gold bar delivered pursuant to quality testing and assaying. Import procedure shall be the buyer’s responsibility. All the taxes, custom duty & other charges at the destination airport shall be paid by the buyer. PENALTIES: Should any of the parties FAIL to perform or comply with any part of this contract agreement terms, the injured party shall be entitled to a 10% penalty due and payable with immediate effect. ARBITRATION: All disputes arising from the execution of this contract agreement, and or in connection with the non-compliance or violation of part or whole of this contract agreement, shall be settled under the rules of conciliation of the ICC Netherlands.
  4. NON-PERFORMANCE: Should the seller fail to deliver the first part-shipment within 14 working days after acceptance of the contract undertaking and payment schedule, he Shall be considered to be in breach of the contract and the buyer shall exercise his legal right to a 10% penalty of the shipment value and shall further require immediate settlement and recovery of all the funds paid or committed to the transaction. Such payment of all fees and funds shall be paid within 48 hours by seller, and should the seller fail to comply, formal legal charges should be filed against the seller. Therefore, in consideration of the mutual promises, assertions, covenants and other good moral and valuable considerations, the receipts of which is acknowledged hereby, the parties further agree to abide by the following: TERMS AND CONDITIONS TERM: This agreement shall remain in effect for five (5) years from the issuing date with additional roll-overs of negotiated durations unless mutually agreed or cancelled by both parties through mail of the cancellation thereof at the end of any roll-over period, and shall apply to any or all the transactions originated during the term of this agreement, as well as to all subsequent transactions that are follow-up, repeat, extended or renegotiated transactions of or in any other way derive from, transaction originated during the term of this agreement. Whereas the price per kilogram, after the first delivery could be adjusted and or upgraded according to market fluctuations and per a basis of a mutual written undertaking whereby Seller will offer the new price and Buyer shall offer acceptance, rejection or further adjustment of the price and this term shall be enforced. BREACH OF CONTRACT AGREEMENT: In the event of breach of this agreement by any party directly or indirectly, the non-breaching / injured party shall be entitled to a monetary penalty equal to the maximum service it should realize from such transactions plus any and all expenses including but not limited to any legal costs and expenses to recover the lost revenue in addition to the 10% Penalty Clause. ARBITRATION: Any controversy or claim arising out of or relating to or executing this agreement or the breach thereof and which is not settled between the signatories themselves shall be settled by arbitration panel in accordance with the rules and proceedings of the International Court of Justice, Netherlands and legal System. The arbitration shall take place in Netherlands, and the language shall be English. All international ICC Non-Disclosure or Non-Circumvention laws and provisions, in effect as at the date in question or as passed and or amended thereafter, are adopted herein as being a part of this agreement and will apply to all parties and individuals to this transaction and are binding on all the parties. BINDING CONTRACT: Signatures of this agreement received by means of facsimile or mail or email shall be deemed to be an executed contract, validly entered into and enforceable. The contract will be deemed formed at the domicile of the intermediary and at the time when the agreement is executed by all parties. REPRESENTATION AND AUTHORITY: All signing individual hereto acknowledges that they have read and fully understood the foregoing agreement and that they have full and complete authority to execute the
