  3. 3. Mission• Start with your mission first• Your vision, your mission, needs to be shared; you can’t do it alone• First step: articulating your mission together• Make sure your mission – Uniquely benefits your community – Is well-written
  4. 4. Operations• Getting started – Actual first step: doing it, carrying out your vision• Once you get started, you’ll begin to attract others to your mission, some of whom will become board members• You’ll also begin attracting financial supporters• As well as volunteers

Governance “The board of directors is like a living organism: it goes through stages of development.”• A board’s initial role, however, is to govern• The board starts the organization – While governance will be the board’s ultimate responsibility (it is best to leave the management of staff to the executive director), the board will play both governance and management roles in the beginning – As you build your board (and your organization), your board will govern, your executive director and staff will manage

Boards• Organic board development• First board: just to get it started – Governance – Officers as well as board members, program directors, etc.• But as you grow, recruit additional board members from your community – The next role of the board is to raise money – “Give, get, or get off!”• Distinction between governance and management• Create the budget• Submit applications to the IRS and state governments for tax-exemption

  8. 8. 501(c)3The IRS grants a tax exemption to a nonprofit corporation because it provides a publicbenefit. And no individual board member or financial officer benefits financially.
  9. 9. Form 1023• First, incorporate in your state with the attorney general• Apply to the IRS for tax exemption• Apply to the tax authority in your state for tax exemption also (for example, the Franchise Tax Board in CA)• Most states want to see the IRS Form 1023 (so apply to both at the same time!)• Usually get earlier responses from states than the IRS• Once you receive acknowledgement of submitting the forms, pending approval, you can start soliciting• Physically hand the paperwork in (Jump start your fundraising/soliciting by a month or more!)• Since 9/11, it’s faster to get the IRS determination letter. But the reporting is much more rigorous.
  10. 10. 1023: What you’ll need• Info on governance: who are the board of directors, officers? What they’ve done, where they’ve lived, etc.• Prospective budget for 5 years• Proposed develop plan for 5 years• What are you going to do? Operations? Programs?• And more: Form 1023• A lot of this applies to writing successful grant proposals also
