2. Welcome
2
Following the success of last year’s Corporate Governance & Risk Forum, Legal Week is
delighted to announce that the forum will return this year, taking place on Thursday 18
October 2012. Chaired by Peter Giblin, an academic at Cass Business School, the forum will
unite in-house compliance and risk officers and ‘C-Level’ representatives to raise awareness of
the changing face of corporate governance and risk across industry sectors.
The perception of poor corporate governance can hugely impact public opinion. Pattern
based strategies aim to improve the ability to foresee the unexpected which, in turn, can
improve risk management going forward. Corporate governance shapes all aspects of
how companies interact within the society that they are a part of and companies with
comprehensive corporate governance structures can have a significant competitive advantage
over their competitors.
The forum will provide a unique opportunity to network with your peers; learn from thought
leaders in the industry to provide you with new ideas and strategies for the decade ahead.
Our packed programme will comprise of a mixture of panel debates, smaller focused
discussions and workshops that will equip you with practical tips and advice that will have a
direct impact on your everyday role.
There has never been a more important time to address these issues, and we urge you to
attend the Legal Week Corporate Governance & Risk Forum 2012, where you will come away
with fresh ideas to complement your corporate governance strategy.
I look forward to welcoming you in October.

09.00 Chair’s welcome
Peter Giblin, academic, Cass Business School
09.05 Panel discussion: A look at the Eurozone crisis from a practical compliance angle
09.45 What does ‘culture’ mean for a business?
We are delighted to be joined by Desmond Browne QC, a leading silk in all areas of media law. He
has been involved in many of the most important cases affecting the media over the past three
decades, including the Leveson enquiry. Join us in this interview-style session, where we will look at
management’s responsibility and why ‘culture’ is so necessary in today’s working environment. Why
didn’t anybody say anything?
Desmond Browne QC, head of chambers, 5RB
Alex Novarese, editor-in-chief, Legal Week
10.20 A businessman’s guide to extradition
Drawing on his personal experience as one of the NatWest Three, as well as recent case studies of
other British businessmen, David will identify the dangers posed by the UK’s extradition laws, and also
the means by which overseas enforcement agencies may seek to assert jurisdiction over UK conduct.
David Bermingham, former employee, Greenwich NatWest and member of the ‘NatWest Three’
10.55 Coffee and networking
11.15 Interactive focus group
A) Benchmarking your governance
It is becoming standard practice in business to run different scenario models in order to prepare for
extraordinary situations. With this knowledge businesses are able to mitigate risks and ensure they
are prepared. Is there a way of testing your corporate governance without a crisis? This workshop
will address the tactics and pitfalls for implementing and evaluating compliance policies in multi-
jurisdictional organisations.
Susan Crichton, general counsel, Post Office
Dianne Thomas, vice president international compliance at NBC Universal
B) Avoiding a G4S situation: How to manage outsourced risk
The recent media furore over shortages of security staff for the London Olympics has led to much
attention being focussed on the supplier, G4S. As businesses continue to drive down costs by
extending their non-core business outsourcing strategy, it is clear that compliance and risk strategies
have to consider external as well as internal stakeholders. This focus group will identify what lessons
can be drawn from the G4S situation.
Jeremy Evans, JECCS Commercial Consultancy Services
Paul Moxey, head of corporate governance and risk management, ACCA Global
C) Board effectiveness
Each of us work with Boards which operate in many different ways. Increasingly we are asked to assess
their effectiveness, but are there any tools or models which work across different types of Board with
different scales of business which they support? This workshop will explore common themes for Board
effectiveness assessment with a focus on examples of what is, or isn’t working well for us.
Joanne Hindle, head of legal and compliance, AXA Assistance
Fiona Stark, general counsel, EON
12.15 Interactive focus groups
A) The shareholder spring and executive remuneration
The “shareholder spring” has taken its toll on a range of UK companies, with the chief executives of
Aviva, AstraZeneca and Trinity Mirror and stepping down within a week of each other in the face of
shareholder revolt. This session will address what is the risk of having someone overly compensated?

B) Head of compliance by default? Creating a compliance framework
A look at in house vs. compliance teams. This focus group will discuss where you draw the line and
how do you manage the tension between the two?
Anne Fletcher, compliance director, Royal Mail
C) Information management: mitigating the risk of data leakage
Companies are gaining competitive advantage by leveraging information technology for their benefit.
This session will assess how data risk can fall into different risk profiles and identify the need to
actively oversee such risks.
13.15 Networking and lunch
14.15 Focus group briefing
This session will allow the speakers of each focus group to summarise the outcome of their sessions
to the entire delegation.
14.45 Panel discussion: Global compliance – the impact of operating internationally
For companies operating internationally, cultural, linguistic and legal distinctions can give rise to a
number of issues that could threaten to undermine the effective operation of proper governance
programmes. The panel discussion will take the views of influential internationals who will discuss the
strategies needed when working cross-border.
Moderator: Stuart Weinstein, associate head, University of Hertfordshire School of Law
Alexander Moon, general counsel, RSA Group
Peter Ries, academic, Berlin School of Economics and Law
Virginia Strelen, team leader, North America, Ireland and Israel team, Vistra

15.45 Coffee break
16.00 Keynote address: Recruiting, developing and assessing the best directors
Boards are under increasing pressure to match director qualifications with company requirements
and strategy, and ensure diversity of background and skill sets. What are emerging developments
and best practices, and what is the role of company secretaries, general counsel and nominating/
governance committees?
Richard Leblanc, associate professor, law, governance & ethics, York University
16.35 Panel debate: Being prepared for the unthinkable
Risk awareness needs to be instilled within the company’s leadership and culture, and systems should be
in place to cover the worst case scenario. With contagion and emerging ‘unknown unknowns’ what is the
worst possible corporate governance or risk breach a company could be subject to? Are you covered? This
expert panel will explore the failures of multinationals such as BP and Nestlé and offer ways of ensuring
your company has a strong ‘corporate culture’, with effective communication throughout.
