카사코리아에서 추진하는 방식은 부동산 프로젝트 파이낸싱(PF)에서 주로 쓰이는 부동산처분신탁에 의한 방법을 썼다.
PF에서 자금을 넣는 금융기관을 보호하기 위해서 토지를 소유한 시행사는 토지를 처분신탁하고 우선수익자의 순위를
금융기관, 건설사, 시행사(본인)를 설정해 부동산개발사업에서 발생하는 수익을 우선순위에 따라 나눠가지는 구조이다.
부동산펀드나 리츠를 통한 부동산 토큰화로 규제샌드박스를 신청한다면 기존 시장의 반대도 상당하고, 이미 규제된
시장이 있는 상황에서 규제샌드박스를 승인해줄 여지가 없다. 또한 리츠의 경우 주식발행과 유통에 대한 법률이
개정되지 않으면 토큰화가 불가능하다. 카사코리아는 이런 점에 착안해서 특정 부동산에 대한 토큰화를 타켓으로
하면서 신탁회사를 통해 자산을 보호하여 규제샌드박스의 조건부 승인을 얻어냈다.
카사코리아의 모델을 한마디로 정리하면 특정 부동산을 소유하여 수익을 배부하는 펀드(수익증권)의 성격이면서도
리츠의 주식처럼 거래가 가능하게 하는 구조이다. 부동산펀드와 리츠의 장점을 잘 받아들여 부동산펀드나 리츠와
비교해 부동산 토큰화 시장에 더 적합한 모델이라고 생각된다.
리츠를 중심으로 투자를 진행했던 신탁회사들에게도 좋은 기회가 된다. 이번 카사코리아의 규제샌드박스에 포함된
5개의 신탁회사들은 수주규모로 봤을 때 국내 상위 10위권 안에서도 탑클래스에 있는 신탁회사들이다. 국내에서 리츠의
수와 투자금액이 늘어나면서 신탁회사들이 공격적으로 강남 등 중심 상권에 투자를 하고 있는데 부동산 인수대금이
워낙 커서 컨소시엄을 구성하는 경우가 많다. 카사의 모델에 일반인들의 투자가 대거 몰릴 경우 신탁회사의 입장에서는
자금부담을 줄이면서도 공격적으로 사업을 확장하는 계기가 된다.

국내 규정상 리츠는 총 자산의 70%를 부동산에 투자하도록 규정하고 있기 때문에 부동산 소유권을 갖는 의미에서
부동산펀드보다 특정 부동산의 토큰화에 가깝다.
리츠가 설립되면 직원이 한 명도 근무하지 않는 페이퍼컴퍼니(SPC)로 운영되며 주식이 발행되어 거래소 상장도
가능하다. 2019년 1월1일부터 개정된 한국거래소 유가증권 상장규정이 시행되어 비개발위탁리츠를 중심으로 상장을
장려하는 중이다.
주식이 발행되고 거래소에 상장이 가능하다는 점에서 리츠 주식의 토큰화는 부동산 토큰화의 가장 일반적인 방법이 될
가능성이 높아 보인다. 주식은 의결권, 리츠 수익에 대한 배당권이 모두 포함되기 때문에 투자자의 권리가 잘 보호되는
측면이 있으며 거래소 상장 시 환금성이 좋아서 투자자들에게 장점이 될 수 있다.
리츠를 통한 부동산토큰화를 위해서는 무엇보다 주식의 토큰화가 선행되어야 한다. 하지만 주식의 토큰화는 아직 초기
단계이기 때문에 규제가 정비되려면 시간이 많이 필요하다.
미국에서 리츠를 사용한 부동산 토큰화의 사례는 ELEVATED RETURNS에서 추진하는 아스펜코인(Aspen coin)이 있다.
아스펜코인은 시큐리타이즈(Securitize)의 DS Protocol을 채택하여 ERC-20토큰으로 발행되었으며 18백만 달러를 모금했다.
증권형토큰 거래소인 템플룸(Templum)에 상장되어 거래될 예정이다.
