Step 1 – Choose the Type of Legal
Structure for Your Business Needs
There are number of different legal
structures you can choose from when
forming your company:
• S.A. (Sociedad Anónima)
• S. de R.L.(Sociedad de Responsabilidad
Limitada)
• Associates name and "y compañía" or
Associates name and "y -

Step 2 – Power of Attorney
Get the ball rolling…
• Whether you have someone you trust
in Mexico, or you need to hire the
services of a third party to incorporate a
company on Mexican soil, a power of
attorney must be drafted and signed.
• The powers of attorney can be drafted
abroad and has to be certified by a
local notary and then apostilled or
legalized in the same country.
• The idea is to provide the agent with all
faculties needed to represent you or
your foreign company in the country so
that he/she can form the company in a
lawful manner.

Define what your company will do…
• You have to carry out a search for your
company name and get it officially
approved by the government.
• Once the company’s name has been
approved it is time to start drafting the
bylaws and articles to create the
incorporation document.
• The incorporation document must
contain the following information:
- The purposes of the company
- Information regarding the partners
involved
- The fixed capital established to
found the company
• Keep in mind that a company must have
at least 2 partners (Except S.A.S.)

Step 4 – Formalization of the
Incorporation Document
Getting Formal…
• Once you have the company’s
incorporation document drafted, it is
required to be certified with the public
notary.
• The public notary will provide you with
an official certificate of incorporation.

Step 5 – Registration of Company with
Local Tax Authorities
Getting the Tax Number…
• Having the official certificate of
incorporation and a proof of address
with the company’s name allows you to
register the company with the Mexican
Tax Authority.
• This will allow you to obtain your tax
number known as the RFC.
• Jointly with the RFC, the agent will
obtain an electronic certificate (FIEL)
which is necessary to process
accounting movements. Examples of
this include changes of fiscal address,
presentation of monthly or yearly
declarations etc.

Step 6 – Opening of Mexican Bank
Account
• With the certificate of incorporation, the
RFC number, and a proof of address, the
agent can now open a company bank
account.
• The bank has to approve the
documentation provided by the agent.
This will take one week. Once approved,
the opening of the bank account will be
ready in another week.
• Keep in mind that each bank has its own
additional requirements to authorize the
opening of a bank account.

Registry of Commerce

• While the agent is completing all the
paperwork and registrations, the public
registration number will be getting

approximately 1.5 months.
