5. MANAGEMENT STRUCTURE IS COMPOSED OF:
a) The Members;
b) The Board of Directors; and
c) The Hired Management.
“Expressed in the form of analogy, the management of a
cooperative may be likened to a three-legged stool, with the
members, the BOD, and the hired management representing
each of the three legs. The stool is precisely designed to stand on
three legs and will topple down in case any of these is removed.
Such is also the case with coop management. Its usefulness and
stability are contingent on the full support of all the three
components.”
6. RESPONSIBILITY/ROLE OF EACH COMPONENT
The Members – provide the basic foundations of
the effective management of the cooperative and to
be ever alert and vigilant on problems and
weaknesses in the servicing of their needs.
The Board of Directors – direct and manage the
cooperative affairs for and in behalf of the
members.
The Hired Management – actually manage the
cooperative in accordance with the authority
delegated to it by the board of directors.
7. MEMBERSHIP
Who may be members of cooperatives?
“Any natural person who is a citizen of the
Philippines, a cooperative, or non-profit
organization with juridical personality shall be
eligible for membership in a cooperative if the
applicant meets the qualifications prescribed in the
by-laws; provided, that only natural persons may be
admitted as members of a primary cooperative.”
8. KINDS OF MEMBERSHIP
Regular member – is one who is entitled to all the
rights and privileges of members. He is a full-
pledged member and as such is entitled to vote and
be voted upon, participate in decision making;
participate in social and economic benefits accruing
from the cooperative, etc.
Associate member – is one who has no right to vote
nor be voted upon and shall be entitled only to such
rights and privileges as the by-laws may provide.
9. RIGHTS OF MEMBERSHIP
1) To attend, participate in the deliberations of, and
vote on any issue presented before the general
assembly meeting whether annual or special;
2) To vote on the adoption or amendment of the
articles of cooperation and by-laws of the
cooperative;
3) To vote on the development plans of the
cooperative;

4) To vote in the election of elective directors, officers,
committee members and be voted to such positions
except elective government officials who cannot be
elected as directors and officers;
5) To call for a special general assembly meeting. A
special general assembly may be called by the
BOD upon request of at least ten (10%) percent of
the total members who are entitled to vote;
6) To name a beneficiary of his rights and interest in
the cooperative in case he dies, subject to the laws
on succession;

7) To have a share in the distribution of net surplus;
8) To enter into contracts with the cooperative such as
marketing, supply, loan, service, etc.;
9) To assign his shares or interest;
10) To resign or withdraw from membership;
11) To be entitled to due process in case of expulsion;
12) To remove elective officers, directors and committee
members;
13) To pass upon and approve the financial statements and
Management Reports of the Board of Directors and
Committees;

14) To vote on proposed division, merger,
consolidation, declaration of insolvency or
liquidation of the cooperative;
15) To examine the books and records of the
cooperative.
