18. The property Paradise Cove is classified in T15, i.e. 15 "keys" per hectare over 32
hectares. So, the property Paradise Cove will have a capacity of 480 "keys".

23. LEGAL ASPECTS
Whether it is a Mexican company created for the project or a foreign company, the profit tax is reduced to
10% instead of the official rate of 30%. This prime rate is due to a judicious financial package that our
attorneys will submit.
Mexican laws allow foreigners to acquire the rights to use, enjoy and immovable property located throughout
the country of Mexico. You can acquire real estate on a personal basis through your existing company or via a
company or subsidiary that you can create in Mexico.
The standard rate of VAT, called "IVA", is 16%
The notary carries out a variety of tasks, including authenticating legal documents, calculating capital gains,
and is responsible for ratifying all real estate transactions in Mexico. All real estate transactions not ratified
before a notary duly recorded in the public register are considered to be invalid and not enforceable.
In a real estate transaction, the notary is also responsible for the buyer and the seller, and ultimately
responsible to the Mexican government. Their job is to ensure the legality of the transfer of ownership, to
calculate and retain the capital gains of the seller's tax on behalf of the government, to collect the buyer's
acquisition tax and pay Ministry of Foreign Affairs, coordinate evaluations, certificates of no privilege,
certificates of no debt, and asks for all corresponding authorizations. After closing, the notary must register
the transaction to the Public Registry and to the Cadastral office.
The Mexican notary is able and legally authorized to proceed with the transaction.
The total closing costs, taxes, Notary fees, escrow, assessment fees, and all licensing fees will be between 5%
and 7% of the Price of the sale.
