This SALES CONTRACT (“CONTRACT”) is made on ........ August 20_,_, between the following
PARTIES:
(1) _________________ Limited, a UAE company registration no. .............., having its
registered office at ...................................... ..........., .............. hereinafter called ‘ ABC ‘,
(2) PT. _________________, an Indonesian company having its registered office
at ..........................................................................................., hereinafter called ‘ XYZ ‘.
The parties above are hereinafter also collectively referred to as “Parties” and each individually
as “Party”.
WHEREAS:
1) ‘ ABC ‘ and ‘ XYZ ‘ desire to enter into a CONTRACT for the sales of ‘ XYZ ‘’s existing
coating plant in ............ “as it is”.
NOW:
The Parties hereby agree as follows:
1. DEFINITIONS
The following definitions shall be used for the purpose of interpreting the CONTRACT.
1.1 "AFFILIATE" means any subsidiary or parent or holding company of any company or any
other subsidiary of such parent or holding company.
1.2 “CONTRACT EQUIPMENT” means mechanical equipment and spare parts under the
CONTRACT to be supplied by ‘ XYZ ‘.
1.3 “PLANT” means the ‘ XYZ ‘’s plant installed at site in ............. “as it is”.
1.4 “CONSEQUENTIAL LOSS” means:
(a) consequential or indirect loss under English law; and
(b) loss and/or deferral of production, loss of product, loss of use, loss of revenue,
profit or anticipated profit (if any), in each case whether direct or indirect to the
extent that these are not included in paragraph (a), and whether or not foreseeable
at the signing date of this CONTRACT.
1.5 “DEFECT” means any part of the WORK not in conformance with the CONTRACT.
1.6 “DELAY” means ‘ ABC ‘ and/or ‘ XYZ ‘’s failure to comply with the TIME SCHEDULE.
1.7 “FORCE MAJEURE” has the meaning set out in Clause 8.
1.8 “NON-PERFORMANCE” means ‘ ABC ‘ and ‘ XYZ ‘’s incapacity to provide the PLANT in
accordance with the provisions set out in this CONTRACT.
1.9 “SITE” means the place where the CONTRACT EQUIPMENT installed at site in ..............

1.10 "SUBCONTRACTOR" means any party (other than ‘ XYZ ‘) to a SUBCONTRACT.
1.11 “TECHNICAL DOCUMENTATION” means all the technical indices, drawings and other
documentation related to basic design and operation manual of existing plant.
1.12 “TECHNICAL SPECIFICATION” means the technical parameters of the CONTRACT
EQUIPMENT as set out in ANNEX 3.
1.13 “TIME SCHEDULE” means the time schedule as set out in ANNEX 2.
1.14 “TOTAL CONTRACT PRICE” means the fixed price under Clause 5 payable by ‘ ABC ‘ to
‘ XYZ ‘ under the CONTRACT and defined in detail in ANNEX 1.
2. INTERPRETATION
2.1 All instructions, notices, agreements, authorisations, approvals and acknowledgements
shall be in writing. All such documentation together with all correspondence and other
documents shall be in the English language.
2.2 Any reference to statute, statutory provision or statutory instrument shall include any re-
enactment or amendment thereof for the time being in force.
2.3 In the event of any conflict between the provisions of these General Conditions and these
of any Special Conditions, the latter shall prevail.
3. OBJECT OF THE CONTRACT
3.1 ‘ ABC ‘ wishes to purchase the PLANT “as it is” in .............. The design of ‘ XYZ ‘’s
existing coating plant is to be used at ‘ ABC ‘’s disposal.
3.2 For this purpose, ‘ ABC ‘ agrees to buy the CONTRACT EQUIPMENT from ‘ XYZ ‘ and ‘
XYZ ‘ agrees to sell to ‘ ABC ‘ the CONTRACT EQUIPMENT for the TOTAL CONTRACT
PRICE as set out in Clause 5 below.
3.3 The CONTRACT WORK is composed of the followings (hereinafter called : WORK):
(a) The CONTRACT EQUIPMENT consisting of the pipe handling & coating
application equipment as set out in ANNEX 3 the TECHNICAL SPECIFICATION
with the following subheadings:

- S2 Mill scale blasting section,
- S3 3LPE coating section,
- S4 Finishing & inspection section,
- S5 General equipment

- S1 Incoming section,
- S2 Coating application section,
- S3 Outgoing section,

- S5 General equipment.
Internal Coating Plant

(b) The TECHNICAL DOCUMENTATION to be supplied by ‘ XYZ ‘ to ‘ ABC ‘
essentially comprises:
General
- Preliminary lay-out drawings of plant,
- General lay-out drawings,
- Foundation load plan drawings,
- Plant floor plan top view drawing, cross-section view indicating the trenches,
pits etc.,
- Data on the utilities (gas, water, electricity etc.),
- Operation manual in English language (1 set + 1copy on CD)

Mechanical equipment
- General assembly drawings of important parts, as per ‘ XYZ ‘’s documentation
standard,
- Data on the lubricants regarding quality and quantity and
- Data and instructions required for the maintenance, as per ‘ XYZ ‘’s work
standard.
Hydraulic/Pneumatic/Fluids equipment
- Hydraulic/pneumatic diagrams and
- Data and instructions required for the maintenance, as per ‘ XYZ ‘’s work
standard.
Electrical equipment
- Operator desk lay-out drawings,
- Cable schedules where required according to ‘ XYZ ‘’s work standard,
- Electrical diagrams and
- PLC documentation.
3.4 The ownership and risk of any item of CONTRACT EQUIPMENT shall be transferred from
‘ XYZ ‘ to ‘ ABC ‘ at the time of commencement of dismantling the CONTRACT
EQUIPMENT at the SITE in ..............
4. DUTY TO INFORM OF PROGRESS
4.1 ‘ ABC ‘ shall give ‘ XYZ ‘ full information in advance as to its plan for dismantling, packing
and load out schedule of CONTRACT EQUIPMENT as set out in TIME SCHEDULE in
ANNEX 2.
4.2 ‘ ABC ‘ shall give ‘ XYZ ‘ full information in advance as to shipment of CONTRACT
EQUIPMENT.
5. PRICE
5.1 The TOTAL CONTRACT PRICE for the CONTRACT EQUIPMENT furnished by ‘ XYZ ‘
according to the stipulations of the CONTRACT and its Annexes and, more generally, for
the performance of its obligations by ‘ XYZ ‘ under this CONTRACT, amounts to
U$ _________ (in words __________ US Dollars)
Nett inclusive of VAT or any other such taxes.
6. PAYMENT AND TERMS OF PAYMENT
6.1 Subject to satisfactory progress of the Work, ‘ ABC ‘ shall pay ‘ XYZ ‘ for its Work in the
manner, in the currencies, and at the time set forth in this Article.
6.2 The payment of the CONTRACT Price shall be made in US Dollar as follows:
a) CONTRACT EQUIPMENT

6.2.1 Advance Payment
An Advance Payment amounting to fifty percent (50%) of the CONTRACT Price i.e. United
States Dollars _____________ (US$ _______) shall be paid by means of telegraphic
transfer to the bank account designated by ‘ XYZ ‘ within 15 days after CONTRACT
signing.
6.2.2 Progressive Payment
The remaining fifty percent (50%) of the CONTRACT Price i.e. United States Dollars
__________________ (US$ ___________) shall be paid by means of telegraphic transfer
to the bank account designated by ‘ XYZ ‘ within at least seven (7) days before loading out
of the CONTRACT EQUIPMENT at ‘ XYZ ‘’s private jetty in ..............
6.2.3 ‘ ABC ‘ may wish to ship the Concrete Weight Coating Plant and associated building
structure, overhead cranes, QC equipment and test rigs prior to shipping of the remaining
CONTRACT EQUIPMENT. In this case the balance payment for this plant as agreed in
Annex 1 shall be paid in full at least 7 days before load-out.
7. DELIVERY AND TERMS OF DELIVERY
7.1 ‘ ABC ‘ undertakes to substantially finish the dismantling, packing and load out of
CONTRACT EQUIPMENT as per the TIME SCHEDULE as defined in the ANNEX 2.
‘ ABC ‘ may subcontract the dismantling, packing and load-out of CONTRACT
EQUIPMENT. Following such dismantling, packing and load-out of CONTRACT
EQUIPMENT, ‘ ABC ‘ shall bear no responsibility whatsoever for reinstatement of the site.
8. FORCE MAJEURE
8.1 Neither party shall be considered in default of performance of its obligation under
CONTRACT to the extent that the performance of such obligation is delayed or prevented
by force majeure.
8.2 Force majeure is herein defined to be acts of God, acts of war (declared or undeclared),
hostilities, riots, civil unrest insurrection, lockouts, etc. which are beyond reasonable
control of both Parties and unforeseeable as of the signing date of CONTRACT.
8.3 Interruption of obligations under CONTRACT due to force majeure shall not be considered
a waiver of either party’s such obligations. If an event of force majeure prevents either
party from carrying out its obligations under or in connection with CONTRACT, such party
shall promptly notify it in writing to the other party.
8.4 Each party, upon giving written notice as above, may suspend its obligation to the extent
necessitated by the occurrence of force majeure, and relevant periods shall be extended
commensurate with such suspension. The occurrence of force majeure shall not entitle
either party to any additional compensation whatsoever unless otherwise agreed between
the Parties.
8.5 If after one hundred and eighty (180) days from the date of giving the aforesaid notice, the
notifying party shall still be so prevented, for reasons of force majeure, from performing its

obligations under CONTRACT, the Parties shall consult with each other in good faith with
a view to determining equitable action appropriate under such circumstances.
8.6 Notwithstanding the period specified under the preceding paragraph, it is hereby mutually
agreed that at any time subsequent to the occurrence of force majeure, either party may,
upon its request, discuss amicably with the other party in order to set the provisional
arrangements to be adopted by both Parties for the purpose of minimizing or avoiding any
losses, damages or expenses which the affected party may incur in consequence of the
suspension as provided hereunder.
8.7 The above mentioned shall be in effect until the completion of the CONTRACT.
9. SUSPENSION
9.1 If the suspension arises due to ‘ ABC ‘’s failure, then ‘ XYZ ‘ has the right of an
adjustment(s) of the TOTAL CONTRACT PRICE or TIME SCHEDULE.
10. TAXES AND CUSTOM
10.1 All taxes, custom duties and other dues outside of Indonesia arising after ownership
transfer in connection with and in the performance of the CONTRACT shall be borne by
‘ ABC ‘ directly to the respective tax authorities.
10.2 ‘ XYZ ‘ warrants that it has brought the CONTRACT EQUIPMENT into ............. Island
lawfully and has paid all necessary taxes and duties to the relevant Indonesian
Authorities. ‘ ABC ‘ shall not be liable for any duties or taxes as may be levied by the
Indonesian Authorities related to the export of the CONTRACT EQUIPMENT from
.............. Any such duties levied to be deducted from the CONTRACT PRICE.
11. OWNERSHIP
11.1 ‘ ABC ‘ shall become the owner of the CONTRACT EQUIPMENT at the time of
commencement of dismantling CONTRACT EQUIPMENT in ..............
11.2 After the transfer of ownership, ‘ ABC ‘ shall be fully responsible for the dismantling,
packing and load out of the CONTRACTUAL EQUIPMENT as per the TIME SCHEDULE
in ANNEX 2.
12. LAWS AND REGULATIONS
12.1 ‘ ABC ‘ shall comply with all applicable laws, rules and regulations of any governmental or
regulatory body having jurisdiction over the WORK and/or any of the SITE.
12.2 ‘ ABC ‘ shall obtain all licences, permits, temporary permits and authorisations required by
the applicable laws, rules and regulations for the performance.
13. INDEMNITIES
13.1 ‘ XYZ ‘ shall indemnify, defend and hold harmless ‘ ABC ‘ from and against any and all

suits, actions, legal or administrative proceedings, claims, demands, damages, costs and
expenses of whatsoever kind or nature whether arising before loading out dismantling of
CONTRACT EQUIPMENT in ..............
13.2 ‘ ABC ‘ shall indemnify, defend and hold harmless ‘ XYZ ‘ from and against any and all
suits, actions, legal or administrative proceedings, claims, demands, damages, costs and
expenses of whatsoever kind or nature whether arising after loading out dismantling of
CONTRACT EQUIPMENT in ..............
14. INSURANCE
14.1 All the necessary insurances required for this CONTRACT shall be covered by ‘ ABC ‘.
15. CONFIDENTIALITY
15.1 ‘ ABC ‘ shall maintain secrecy, and not disclose to any third party, or use other than for the
purposes of this CONTRACT any information relating in any way to the Supply, which has
hereto been disclosed by ‘ XYZ ‘ to ‘ ABC ‘ or which is so disclosed during the
performance of this CONTRACT for five (5) years from the Effective Date of this
CONTRACT. It is understood by the Parties hereto that this provision shall not be
interpreted to prevent inspections by any government or local authorities.
The obligation in this Article shall not be applicable to any information (i) which is already
known to ‘ ABC ‘ at the time of disclosure, (ii) which became generally available to public
through no fault of ‘ ABC ‘ or (iii) which is in public domain at the time of disclosure..
16. TERMINATION
Notwithstanding any other provisions of this CONTRACT, either of the Parties shall be
considered by the other party in default of its CONTRACTUAL obligation under this
CONTRACT if:
16.1 ‘ ABC ‘ substantially fails to complete the work of dismantling, packing and load out of the
CONTRACT EQUIPMENT exceeding more than two (2) months from the time specified in
ANNEX 2 or any extension thereof; or
16.2 ‘ ABC ‘ fails to make the payment as set out in Clause 5 and 6; or
16.3 Either of the Parties becomes insolvent or files a petition for rearrangement, composition
or compromise with its creditors under any applicable law during WORK.
Upon the occurrence of any of the foregoing, one party may notify the other party in default of
CONTRACTUAL obligation in writing of the nature of the failure and of its intention to terminate
the CONTRACT for default.
In the event the party in default does not correct such failure, or commence and diligently and
faithfully continue action to correct such failure, within thirty (30) days of such notice, the other
party may terminate the whole or part of CONTRACT upon giving fourteen (14) days prior written
notice.

17. BUSINESS ETHICS
17.1 Both ‘ XYZ ‘ and ‘ ABC ‘ shall uphold the highest standards of business ethics in the
performance of the CONTRACT. Honesty, fairness and integrity shall be paramount
principles in the dealings between the Parties.
17.2 Neither party shall knowingly involve itself in any business in connection with, or use
information arising from the CONTRACT in any manner which conflicts with the interests
of the other party.
18. GOVERNING LAW AND LANGUAGE
18.1 This CONTRACT and all amendments, modifications, alterations, or supplements hereto,
and all disputes or claims concerning the validity, scope, meaning, construction,
interpretation, or application of this CONTRACT, and of its provisions, or the performance
thereunder by either or both of the Parties shall be construed and interpreted in
accordance with the laws of Singapore.
18.2 The governing language shall be the English language.
19. NOTICES
All notices in respect of the CONTRACT shall be given in writing and delivered by hand,
by e-mail, fax or by an international courier service of good standing such as DHL and etc;
to the relevant address specified below in the heading of this CONTRACT and copied to
such other office or offices of the Parties as shall from time to time be nominated by them
in writing to the other.

All notices, demands, requests, statements or other communications to be made or given
by the each party hereunder shall be in the English language. Any documents required to
be delivered pursuant to this CONTRACT which are not in the English language must be
accompanied by a certified English language translation thereof and in the event of any
conflict between the original of the document and the English language translation thereof,
the English translation shall prevail.
20. ENTIRE AGREEMENT
This CONTRACT constitutes the entire agreement between the Parties hereto to the
CONTRACT work and supersedes all prior negotiations, representations or agreements
related to the CONTRACT, either written or oral. No amendments to the CONTRACT shall
be effective unless evidenced in writing and signed by the Parties to the CONTRACT.
The CONTRACT applies to the provision of all WORK, whether carried out before, on or
after the signing date of the CONTRACT. Both ‘ XYZ ‘ and ‘ ABC ‘ agree that:
1) all WORKand services are deemed to be carried out under the CONTRACT; and
2) all payments are deemed to be payments made under the CONTRACT, which
payments form part of the TOTAL CONTRACT PRICE.
21. MITIGATION OF LOSS
Both ‘ ABC ‘ and ‘ XYZ ‘ shall take all reasonable action to mitigate any losses resulting
from any breach of CONTRACT by the other party.
22. INVALIDITY AND SEVERABILITY
If any provision of this CONTRACT shall be found by any court or administrative body of
competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability shall
not affect the other provisions of this CONTRACT and all provisions not affected by such
invalidity or unenforceability shall remain in full force and effect. ‘ ABC ‘ and ‘ XYZ ‘ agree
to attempt to substitute, for any invalid or unenforceable provision, a valid or enforceable
provision which achieves to the greatest possible extent the economic, legal and
commercial objectives of the invalid or unenforceable provision.
23. GUARANTEE
23.1 ‘ XYZ ‘ guarantees that the CONTRACT EQUIPMENT shall be in conformity with the
technical specification as specified in the CONTRACT.
23.2 The CONTRACT EQUIPMENT is used, one “as it is” which ‘ XYZ ‘ possesses at the time
of signing the CONTRACT. ‘ XYZ ‘ warrants that it is the legal owner of the CONTRACT
EQUIPMENT and that said CONTRACT EQUIPMENT is sold free of any & all liens,
pledges, bonds, loans or other incumbrances.
24. LIQUIDATED DAMAGES AND LIMITATION OF LIABILITY

24.1 When the work of dismantling, packing and load out of the CONTRACT EQUIPMENT by
‘ ABC ‘ is delayed from the time schedule defined in the ANNEX 2, ‘ ABC ‘ shall pay
liquidated damages to ‘ XYZ ‘ as follows:
1 % of the TOTAL CONTRACT PRICE per one (1) week for the delay
24.2 Should the work of dismantling, packing and load-out of the CONTRACT EQUIPMENT be
delayed solely by the fault of ‘ XYZ ‘ then ‘ XYZ ‘ shall pay to ‘ ABC ‘ liquidated damages
as follows:
1 % of the TOTAL CONTRACT PRICE per one (1) week for the delay
24.3 Neither party shall be liable to the other party for any consequential damage or losses
including loss of production or operation.
25. ARBITRATION
Any and all disputes between the Parties arising out of or in connection with the
CONTRACT thereof shall be amicably settled between the Parties hereto, failing which
such dispute shall be settled by arbitration in accordance with the Rules of Conciliation and
Arbitration of the International Chamber of Commerce by three(3) arbitrators appointed in
accordance with the said Rules.
The place of arbitration shall be in Singapore. The award rendered by the arbitration shall
be final and binding upon the Parties, and resort to any Judicial Court or Tribunal is hereby
waived except for the purpose of enforcement of such award.
26. PRECEDENCE
26.1 CONTRACT shall include the following and in the following order of priority and
precedence:

2) ANNEXES
The CONTRACT constitutes the entire agreement between ‘ ABC ‘ and ‘ XYZ ‘ with
respect to the subject matter of the CONTRACT and supersedes all communications,
negotiations and agreements (whether written or oral) of ‘ ABC ‘ and ‘ XYZ ‘ with respect
thereto made prior to the signing date of CONTRACT.
26.2 To effect any change to CONTRACT will require agreement between both parties and the
issuance of a properly executed Addendum to this CONTRACT. [Comment- Duplicates
Clause 20. ]
27. ACCESS

27.1 ‘ XYZ ‘ shall allow ‘ ABC ‘ or its subcontractor’s representatives to access their premises
at all reasonable time for execution of the dismantling & packing works of CONTRACT
EQUIPMENT. ‘ XYZ ‘ will provide ‘ ABC ‘ representatives (3-4 persons) with office space
in the ‘ XYZ ‘ premises during this period.
27.2 Such works would be expected to be performed six (6) days per week, up to twelve (12)
hours per day although extended hours or days may be worked at ‘ ABC ‘ or its
subcontractor’s discretion.
28.0 INSPECTION
It shall be the responsibility of ‘ ABC ‘ to inspect all CONTRACT EQUIPMENT prior to
packing at ‘ XYZ ‘’s premises and ‘ ABC ‘ shall issue a certificate of inspection thereof.
The failure by ‘ ABC ‘ of any inspection prior to packing at ‘ XYZ ‘’s premises, shall deprive
‘ ABC ‘’s right of rejection for non-conforming or defective Equipment and Materials. ‘ ABC
‘’s inspection prior to packing at ‘ XYZ ‘’s premises shall be final.
29. ASSISTANCE
29.1 ‘ XYZ ‘ shall provide all reasonable assistance to ‘ ABC ‘ to obtain the necessary visas or
temporary work permits required for ‘ ABC ‘ or its subcontractor’s personnel for the
execution of the dismantling, packing & load-out of CONTRACT EQUIPMENT. ‘ XYZ
‘ shall also assist with any documentation as may be required by the Indonesian Custom
Authorities for the exportation of the CONTRACT EQUIPMENT from Indonesia.
29.2 Should ‘ ABC ‘ or its subcontractors request ‘ XYZ ‘ to rent equipment, purchase supplies,
provide transport or labour etc on its behalf costs for such services are to be reimbursed to
‘ XYZ ‘ at rates to be mutually agreed in advance.
30. Termof CONTRACT
The terms of this CONTRACT shall commence on the Effective Date and shall end upon
payment in full of all of the deferred amount, interest and other sums payable by ‘ ABC ‘
hereunder.
IN WITNESS WHEREOF, ‘ ABC ‘ and ‘ XYZ ‘ have caused this CONTRACT to be duly
executed on the day and year first above written by their duly authorized representatives.

3.0 CONCRETE WEIGHT COATING PLANT
INTRODUCTION
This specification is in respect of the supply of a heavy-duty stationary plant for weight
coating pipes externally, ranging from 100 mm to 1220 mm in diameter.
Coating thickness 1” to 6”.
This machine is designed to batch cement, and apply a heavy coat of concrete to
the outside of anti-corrosion protected steel pipe to provide negative buoyancy to the
pipe for offshore pipelines or river crossings.
The concrete coating machine uses a weigh batching plant to precisely measure
aggregate and cement to produce any desired mixture accurately. An automatic moisture
sensing unit is employed to determine the amount of water required and in turn
automatically dispenses the correct amount. The plant is equipped to batch two (2) different
aggregates in additionto cement. Each ingredient is automatically weighed and held until
mixer is ready for additional material. After raw material water has been mixed,
the dry slump mix is transferred to the receiving hopper by a belt conveyor. Material is
metered out of holding hopper onto a metering conveyor, which shapes the wet concrete
and in turn delivers material onto a high speed metering belt. Prior to coating, the pipe may
need special preparation, depending on coating type wire brushes are used to give the pipe
a rough surface to increase surface adhesion and for a certain percentage anode rings
need to be installed. Pipe is then loaded into pipe support and coating carriages with
heavy duty pipe loaders. The support carriages are designed to rotate the pipe, and
traverse in front of the applicationhead at a controlled rate. Pipe is sprayed with water just
prior to applying concrete to increase the bond between the corrosion coating and
concrete. The coating application drums propel pre-mixed concrete onto the pipe at a high
rate of velocity to promote coating adhesion and compaction. A wire mesh is
simultaneously wrapped around the pipe to reinforce the concrete. A curing compound is
also sprayed on after concrete applicationto accelerate the curing time of
concrete. After the pipe is coated, the pipe is removed with heavy duty pipe unloaders and
placed onto the weigh scales. Finally the pipe is taken to the storage area for final
curing, in some cases steam curing is required depending on the environmental conditions.
Note: Production will vary depending on customer specifications in relation to thickness
and the amount of anodes required, increased production is attainable if the optional
pipe loaders / unloaders are purchased.

The Loading carriage consists of two heavy duty hydraulically actuated arms
mounted on electrically controlled hydraulically driven carriages mounted on
tracks, they pick pipe off of the incoming pipe racks and install the pipe onto
the coating carriage. The unloading pipe carriage lifts the cement coated
pipe off of the coating carriage with hydraulically actuated arms and the
electrically controlled hydraulically driven carriage transfers the pipe onto the
weigh scale for the pipe to be weighed.

3.2 CoatingApplication section

33 Pipe Carriages
The pipe carriages are for rotating and traversing the pipe through the
coating process.
Pipes that are prepared for weight coating are lowered onto the pipe
carriages with the pipe loader carriages, or customer supplied loading device.
The pipe is then moved into the coating area. Reinforcement wire is then
attached, and the operator begins rotation and travel. Then the cement is
applied. After the full length of pipe is coated, the wire reinforcement wire is
cut. Then the pipe is transferred to the removal area and taken off the pipe
carriage with the Pipe un-loaders. The pipe is weighed with the weigh scales,
and finally removed by customer supplied cranes or front end loaders for
transport to curing area or anode installation.
1 Pipe carriages include one (1) powered and one (1) idler car. Powered car
contains variable speed drives for pipe rotation and travel, with electric
power and control cable reels. The cars allow for a 300 to 365 mm
"cut- back" of coating material on pipe ends. The carriages interconnected,
and the distance can be adjusted to compensate for variations in pipe
lengths up to 13 meters.

The pipe carriages travel on two steel tracks that are mounted to the
foundation.

34 Applicator Assembly and Control System
The Impingement applicator head receives concrete from the high speed belt
and propels it at a high speed onto pipe.
The high speed drums are fed by a high speed belt. The high speed belt
receives concrete from the metering conveyor. Applicationrate is adjustable.
The throwing unit is fully adjustable for the different sizes of pipe and
production speed. After the full coating thickness is applied, a scrapper will
smoothen the coating surface.
On the opposite site of the pipe, a screen is placed that stops concrete that is
sprayed over the pipe and protects personnel.
The Control Platform sits on top of the steel support structure, above the
impingement application rollers and in front of the main hopper. The location
provides the operator with a bird’s eye view of the weight coating operation.
It contains an Operator’s Platform with Coating ApplicationControl Console.

35 Concrete ReclaimSystem
The concrete reclaim system collects unused concrete from the application
area and returns it back to the metering conveyor.

Concrete falls into a pit underneath the pipe in the application area onto a
horizontal conveyor #1. The horizontal conveyor transfers the concrete onto the

36 Wire Feeder, Guide and Rollers
Dual spool wire stand is continuous feed type. A guide and tension control is
also included.
Wire guide and shifter is a series of rollers mounted on a sliding bracket that
allows the operator to place the reinforcing wire mesh at any depth in the
coating.
The reinforcing wire passes through the rollers mounted on a sliding bracket
from the wire feeder assembly. The wire guide is fully adjustable for different
pipe sizes and wire depth and can handle two layers of wire reinforcement
if required.
The wire feeder holds the roles of reinforcement wire that is un-spooled to the
wire guide/ roller assembly. New roles are set into the stand to be attached to
the rolls being used to continuously feed wire to the coating application. A wire
accumulator makes it possible to change the wire during the coating process.
Two complete wire feed and guide systems for dual layer wire mesh, each
including the following:

37 Water Spray and Curing Compound Application Equipment
Prior to applying the coating onto the pipe, water can be sprayed onto the
anti-corrosion coating to ensure proper adherence of the cement to the pipe.
The curing compound unit is for spraying a curing compound on the coated
pipe to aid in sealing the surface to retain the moisture and to enhance proper
curing of the concrete. On incoming and outgoing sides of the coating
applicationdrums, a water spray nozzle and a curing compound nozzle
is placed.

38 Conversion Kit for 4” to 8” Pipe
This conversion kit is required to support the small pipe diameters 4” to 8”

39 Weigh Station
The coated pipe is installed onto the weigh station to determine the actual
coated weight, to ensure each pipe meets the specified weight as part of the
quality control program and two ensure the batch formula is correct
After the pipe is coated the pipe un-loaders transfers the pipe onto the weigh
station. The weigh station has two load cells to register the weight of the pipe.

double ended shear beam load cells tied together and connected to a
controller that calculates the weight.

3.4 BatchingPlant section
41 Automatic Concrete Batch/Mix Plant
The concrete batch/mixing plant is utilized to accurately measure and mix the
desired formula of the concrete batch.
The raw material required for batch are loaded into primary storage hoppers
(Cement, Sand, and Ore). After calculation of the required mix, the raw materials
are volumetric batched and then transferred to the Pugmill via belt conveyors. In
the Pugmill the raw materials are mixed together with cement and water. After the
mixing operation, the mix will be transferred to the Feed Hopper via belt conveyor
for applicationonto the pipe.

41-1 Feed Belt
This belt conveys mixed concrete from the mixer to the feed hopper.
1 - Belt conveyor, 16.5 meter length, 600 mm wide (length and width may
change depending on final approved equipment layout)
41-2 Feed Hopper
This unit is for holding mixed concrete and to feed the metered / mixed concrete
onto the metering conveyor.
The mixed concrete is transferred to the feed hopper from the batching unit via the
transfer conveyor. The mixed concrete is metered onto the feed / metering
conveyor through the metering gate on the bottom of the hopper, an electric motor
operated vibrator aids the cement to exit the hopper.

41-3 Metering Conveyor
The metering conveyor is electronically variable speed controlled, that is
adjustable for the various parameters for pipe diameter, cement thickness, overall

receiving hopper. Then deposits it onto high speed belt.

  • 1. 1 SALES CONTRACT (_________________) for a Coating Plant in _______ Between _________________ Limited And PT. _________________
  • 2. 2 This SALES CONTRACT (“CONTRACT”) is made on ........ August 20_,_, between the following PARTIES: (1) _________________ Limited, a UAE company registration no. .............., having its registered office at ...................................... ..........., .............. hereinafter called ‘ ABC ‘, (2) PT. _________________, an Indonesian company having its registered office at ..........................................................................................., hereinafter called ‘ XYZ ‘. The parties above are hereinafter also collectively referred to as “Parties” and each individually as “Party”. WHEREAS: 1) ‘ ABC ‘ and ‘ XYZ ‘ desire to enter into a CONTRACT for the sales of ‘ XYZ ‘’s existing coating plant in ............ “as it is”. NOW: The Parties hereby agree as follows: 1. DEFINITIONS The following definitions shall be used for the purpose of interpreting the CONTRACT. 1.1 "AFFILIATE" means any subsidiary or parent or holding company of any company or any other subsidiary of such parent or holding company. 1.2 “CONTRACT EQUIPMENT” means mechanical equipment and spare parts under the CONTRACT to be supplied by ‘ XYZ ‘. 1.3 “PLANT” means the ‘ XYZ ‘’s plant installed at site in ............. “as it is”. 1.4 “CONSEQUENTIAL LOSS” means: (a) consequential or indirect loss under English law; and (b) loss and/or deferral of production, loss of product, loss of use, loss of revenue, profit or anticipated profit (if any), in each case whether direct or indirect to the extent that these are not included in paragraph (a), and whether or not foreseeable at the signing date of this CONTRACT. 1.5 “DEFECT” means any part of the WORK not in conformance with the CONTRACT. 1.6 “DELAY” means ‘ ABC ‘ and/or ‘ XYZ ‘’s failure to comply with the TIME SCHEDULE. 1.7 “FORCE MAJEURE” has the meaning set out in Clause 8. 1.8 “NON-PERFORMANCE” means ‘ ABC ‘ and ‘ XYZ ‘’s incapacity to provide the PLANT in accordance with the provisions set out in this CONTRACT. 1.9 “SITE” means the place where the CONTRACT EQUIPMENT installed at site in ..............
  • 3. 3 1.10 "SUBCONTRACTOR" means any party (other than ‘ XYZ ‘) to a SUBCONTRACT. 1.11 “TECHNICAL DOCUMENTATION” means all the technical indices, drawings and other documentation related to basic design and operation manual of existing plant. 1.12 “TECHNICAL SPECIFICATION” means the technical parameters of the CONTRACT EQUIPMENT as set out in ANNEX 3. 1.13 “TIME SCHEDULE” means the time schedule as set out in ANNEX 2. 1.14 “TOTAL CONTRACT PRICE” means the fixed price under Clause 5 payable by ‘ ABC ‘ to ‘ XYZ ‘ under the CONTRACT and defined in detail in ANNEX 1. 2. INTERPRETATION 2.1 All instructions, notices, agreements, authorisations, approvals and acknowledgements shall be in writing. All such documentation together with all correspondence and other documents shall be in the English language. 2.2 Any reference to statute, statutory provision or statutory instrument shall include any re- enactment or amendment thereof for the time being in force. 2.3 In the event of any conflict between the provisions of these General Conditions and these of any Special Conditions, the latter shall prevail. 3. OBJECT OF THE CONTRACT 3.1 ‘ ABC ‘ wishes to purchase the PLANT “as it is” in .............. The design of ‘ XYZ ‘’s existing coating plant is to be used at ‘ ABC ‘’s disposal. 3.2 For this purpose, ‘ ABC ‘ agrees to buy the CONTRACT EQUIPMENT from ‘ XYZ ‘ and ‘ XYZ ‘ agrees to sell to ‘ ABC ‘ the CONTRACT EQUIPMENT for the TOTAL CONTRACT PRICE as set out in Clause 5 below. 3.3 The CONTRACT WORK is composed of the followings (hereinafter called : WORK): (a) The CONTRACT EQUIPMENT consisting of the pipe handling & coating application equipment as set out in ANNEX 3 the TECHNICAL SPECIFICATION with the following subheadings: External coating plant - S1 Pipe Entry, - S2 Mill scale blasting section, - S3 3LPE coating section, - S4 Finishing & inspection section, - S5 General equipment
  • 4. 4 Concrete weight coating plant - S1 Incoming section, - S2 Coating application section, - S3 Outgoing section, - S4 Batching plant section - S5 General equipment. Internal Coating Plant - S1 Tire Roller conveyor - S2 Internal shot blasting machine - S3 Surface Cleaning - S4 Primer Internal coating machine - S5 Tire Roller conveyor Crushing Plant - S1 Hopper - S2 Material Feeder Vibrator - S3 Jaw Crusher - S4 Circular Vibrator screen - S5 Impact Crusher - S6 Belt Conveyor Building Steel structure - S1 Structure and Overhead Cranes Anti-Corrosion plant - S2 Structure and Overhead Cranes CWC plant Customs coating equipment - S1 Heating oven, flame spray For the details refer to Annex 3. (b) The TECHNICAL DOCUMENTATION to be supplied by ‘ XYZ ‘ to ‘ ABC ‘ essentially comprises: General - Preliminary lay-out drawings of plant, - General lay-out drawings, - Foundation load plan drawings, - Plant floor plan top view drawing, cross-section view indicating the trenches, pits etc., - Data on the utilities (gas, water, electricity etc.), - Operation manual in English language (1 set + 1copy on CD)
  • 5. 5 Mechanical equipment - General assembly drawings of important parts, as per ‘ XYZ ‘’s documentation standard, - Data on the lubricants regarding quality and quantity and - Data and instructions required for the maintenance, as per ‘ XYZ ‘’s work standard. Hydraulic/Pneumatic/Fluids equipment - Hydraulic/pneumatic diagrams and - Data and instructions required for the maintenance, as per ‘ XYZ ‘’s work standard. Electrical equipment - Operator desk lay-out drawings, - Cable schedules where required according to ‘ XYZ ‘’s work standard, - Electrical diagrams and - PLC documentation. 3.4 The ownership and risk of any item of CONTRACT EQUIPMENT shall be transferred from ‘ XYZ ‘ to ‘ ABC ‘ at the time of commencement of dismantling the CONTRACT EQUIPMENT at the SITE in .............. 4. DUTY TO INFORM OF PROGRESS 4.1 ‘ ABC ‘ shall give ‘ XYZ ‘ full information in advance as to its plan for dismantling, packing and load out schedule of CONTRACT EQUIPMENT as set out in TIME SCHEDULE in ANNEX 2. 4.2 ‘ ABC ‘ shall give ‘ XYZ ‘ full information in advance as to shipment of CONTRACT EQUIPMENT. 5. PRICE 5.1 The TOTAL CONTRACT PRICE for the CONTRACT EQUIPMENT furnished by ‘ XYZ ‘ according to the stipulations of the CONTRACT and its Annexes and, more generally, for the performance of its obligations by ‘ XYZ ‘ under this CONTRACT, amounts to U$ _________ (in words __________ US Dollars) Nett inclusive of VAT or any other such taxes. 6. PAYMENT AND TERMS OF PAYMENT 6.1 Subject to satisfactory progress of the Work, ‘ ABC ‘ shall pay ‘ XYZ ‘ for its Work in the manner, in the currencies, and at the time set forth in this Article. 6.2 The payment of the CONTRACT Price shall be made in US Dollar as follows: a) CONTRACT EQUIPMENT
  • 6. 6 6.2.1 Advance Payment An Advance Payment amounting to fifty percent (50%) of the CONTRACT Price i.e. United States Dollars _____________ (US$ _______) shall be paid by means of telegraphic transfer to the bank account designated by ‘ XYZ ‘ within 15 days after CONTRACT signing. 6.2.2 Progressive Payment The remaining fifty percent (50%) of the CONTRACT Price i.e. United States Dollars __________________ (US$ ___________) shall be paid by means of telegraphic transfer to the bank account designated by ‘ XYZ ‘ within at least seven (7) days before loading out of the CONTRACT EQUIPMENT at ‘ XYZ ‘’s private jetty in .............. 6.2.3 ‘ ABC ‘ may wish to ship the Concrete Weight Coating Plant and associated building structure, overhead cranes, QC equipment and test rigs prior to shipping of the remaining CONTRACT EQUIPMENT. In this case the balance payment for this plant as agreed in Annex 1 shall be paid in full at least 7 days before load-out. 7. DELIVERY AND TERMS OF DELIVERY 7.1 ‘ ABC ‘ undertakes to substantially finish the dismantling, packing and load out of CONTRACT EQUIPMENT as per the TIME SCHEDULE as defined in the ANNEX 2. ‘ ABC ‘ may subcontract the dismantling, packing and load-out of CONTRACT EQUIPMENT. Following such dismantling, packing and load-out of CONTRACT EQUIPMENT, ‘ ABC ‘ shall bear no responsibility whatsoever for reinstatement of the site. 8. FORCE MAJEURE 8.1 Neither party shall be considered in default of performance of its obligation under CONTRACT to the extent that the performance of such obligation is delayed or prevented by force majeure. 8.2 Force majeure is herein defined to be acts of God, acts of war (declared or undeclared), hostilities, riots, civil unrest insurrection, lockouts, etc. which are beyond reasonable control of both Parties and unforeseeable as of the signing date of CONTRACT. 8.3 Interruption of obligations under CONTRACT due to force majeure shall not be considered a waiver of either party’s such obligations. If an event of force majeure prevents either party from carrying out its obligations under or in connection with CONTRACT, such party shall promptly notify it in writing to the other party. 8.4 Each party, upon giving written notice as above, may suspend its obligation to the extent necessitated by the occurrence of force majeure, and relevant periods shall be extended commensurate with such suspension. The occurrence of force majeure shall not entitle either party to any additional compensation whatsoever unless otherwise agreed between the Parties. 8.5 If after one hundred and eighty (180) days from the date of giving the aforesaid notice, the notifying party shall still be so prevented, for reasons of force majeure, from performing its
  • 7. 7 obligations under CONTRACT, the Parties shall consult with each other in good faith with a view to determining equitable action appropriate under such circumstances. 8.6 Notwithstanding the period specified under the preceding paragraph, it is hereby mutually agreed that at any time subsequent to the occurrence of force majeure, either party may, upon its request, discuss amicably with the other party in order to set the provisional arrangements to be adopted by both Parties for the purpose of minimizing or avoiding any losses, damages or expenses which the affected party may incur in consequence of the suspension as provided hereunder. 8.7 The above mentioned shall be in effect until the completion of the CONTRACT. 9. SUSPENSION 9.1 If the suspension arises due to ‘ ABC ‘’s failure, then ‘ XYZ ‘ has the right of an adjustment(s) of the TOTAL CONTRACT PRICE or TIME SCHEDULE. 10. TAXES AND CUSTOM 10.1 All taxes, custom duties and other dues outside of Indonesia arising after ownership transfer in connection with and in the performance of the CONTRACT shall be borne by ‘ ABC ‘ directly to the respective tax authorities. 10.2 ‘ XYZ ‘ warrants that it has brought the CONTRACT EQUIPMENT into ............. Island lawfully and has paid all necessary taxes and duties to the relevant Indonesian Authorities. ‘ ABC ‘ shall not be liable for any duties or taxes as may be levied by the Indonesian Authorities related to the export of the CONTRACT EQUIPMENT from .............. Any such duties levied to be deducted from the CONTRACT PRICE. 11. OWNERSHIP 11.1 ‘ ABC ‘ shall become the owner of the CONTRACT EQUIPMENT at the time of commencement of dismantling CONTRACT EQUIPMENT in .............. 11.2 After the transfer of ownership, ‘ ABC ‘ shall be fully responsible for the dismantling, packing and load out of the CONTRACTUAL EQUIPMENT as per the TIME SCHEDULE in ANNEX 2. 12. LAWS AND REGULATIONS 12.1 ‘ ABC ‘ shall comply with all applicable laws, rules and regulations of any governmental or regulatory body having jurisdiction over the WORK and/or any of the SITE. 12.2 ‘ ABC ‘ shall obtain all licences, permits, temporary permits and authorisations required by the applicable laws, rules and regulations for the performance. 13. INDEMNITIES 13.1 ‘ XYZ ‘ shall indemnify, defend and hold harmless ‘ ABC ‘ from and against any and all
  • 8. 8 suits, actions, legal or administrative proceedings, claims, demands, damages, costs and expenses of whatsoever kind or nature whether arising before loading out dismantling of CONTRACT EQUIPMENT in .............. 13.2 ‘ ABC ‘ shall indemnify, defend and hold harmless ‘ XYZ ‘ from and against any and all suits, actions, legal or administrative proceedings, claims, demands, damages, costs and expenses of whatsoever kind or nature whether arising after loading out dismantling of CONTRACT EQUIPMENT in .............. 14. INSURANCE 14.1 All the necessary insurances required for this CONTRACT shall be covered by ‘ ABC ‘. 15. CONFIDENTIALITY 15.1 ‘ ABC ‘ shall maintain secrecy, and not disclose to any third party, or use other than for the purposes of this CONTRACT any information relating in any way to the Supply, which has hereto been disclosed by ‘ XYZ ‘ to ‘ ABC ‘ or which is so disclosed during the performance of this CONTRACT for five (5) years from the Effective Date of this CONTRACT. It is understood by the Parties hereto that this provision shall not be interpreted to prevent inspections by any government or local authorities. The obligation in this Article shall not be applicable to any information (i) which is already known to ‘ ABC ‘ at the time of disclosure, (ii) which became generally available to public through no fault of ‘ ABC ‘ or (iii) which is in public domain at the time of disclosure.. 16. TERMINATION Notwithstanding any other provisions of this CONTRACT, either of the Parties shall be considered by the other party in default of its CONTRACTUAL obligation under this CONTRACT if: 16.1 ‘ ABC ‘ substantially fails to complete the work of dismantling, packing and load out of the CONTRACT EQUIPMENT exceeding more than two (2) months from the time specified in ANNEX 2 or any extension thereof; or 16.2 ‘ ABC ‘ fails to make the payment as set out in Clause 5 and 6; or 16.3 Either of the Parties becomes insolvent or files a petition for rearrangement, composition or compromise with its creditors under any applicable law during WORK. Upon the occurrence of any of the foregoing, one party may notify the other party in default of CONTRACTUAL obligation in writing of the nature of the failure and of its intention to terminate the CONTRACT for default. In the event the party in default does not correct such failure, or commence and diligently and faithfully continue action to correct such failure, within thirty (30) days of such notice, the other party may terminate the whole or part of CONTRACT upon giving fourteen (14) days prior written notice.
  • 9. 9 17. BUSINESS ETHICS 17.1 Both ‘ XYZ ‘ and ‘ ABC ‘ shall uphold the highest standards of business ethics in the performance of the CONTRACT. Honesty, fairness and integrity shall be paramount principles in the dealings between the Parties. 17.2 Neither party shall knowingly involve itself in any business in connection with, or use information arising from the CONTRACT in any manner which conflicts with the interests of the other party. 18. GOVERNING LAW AND LANGUAGE 18.1 This CONTRACT and all amendments, modifications, alterations, or supplements hereto, and all disputes or claims concerning the validity, scope, meaning, construction, interpretation, or application of this CONTRACT, and of its provisions, or the performance thereunder by either or both of the Parties shall be construed and interpreted in accordance with the laws of Singapore. 18.2 The governing language shall be the English language. 19. NOTICES All notices in respect of the CONTRACT shall be given in writing and delivered by hand, by e-mail, fax or by an international courier service of good standing such as DHL and etc; to the relevant address specified below in the heading of this CONTRACT and copied to such other office or offices of the Parties as shall from time to time be nominated by them in writing to the other. All notices, demands, requests, statements or other communications to be made or given by the each party hereunder shall be in the English language. Any documents required to be delivered pursuant to this CONTRACT which are not in the English language must be accompanied by a certified English language translation thereof and in the event of any conflict between the original of the document and the English language translation thereof, the English translation shall prevail. 20. ENTIRE AGREEMENT This CONTRACT constitutes the entire agreement between the Parties hereto to the CONTRACT work and supersedes all prior negotiations, representations or agreements related to the CONTRACT, either written or oral. No amendments to the CONTRACT shall be effective unless evidenced in writing and signed by the Parties to the CONTRACT. The CONTRACT applies to the provision of all WORK, whether carried out before, on or after the signing date of the CONTRACT. Both ‘ XYZ ‘ and ‘ ABC ‘ agree that: 1) all WORKand services are deemed to be carried out under the CONTRACT; and 2) all payments are deemed to be payments made under the CONTRACT, which payments form part of the TOTAL CONTRACT PRICE. 21. MITIGATION OF LOSS Both ‘ ABC ‘ and ‘ XYZ ‘ shall take all reasonable action to mitigate any losses resulting from any breach of CONTRACT by the other party. 22. INVALIDITY AND SEVERABILITY If any provision of this CONTRACT shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability shall not affect the other provisions of this CONTRACT and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect. ‘ ABC ‘ and ‘ XYZ ‘ agree to attempt to substitute, for any invalid or unenforceable provision, a valid or enforceable provision which achieves to the greatest possible extent the economic, legal and commercial objectives of the invalid or unenforceable provision. 23. GUARANTEE 23.1 ‘ XYZ ‘ guarantees that the CONTRACT EQUIPMENT shall be in conformity with the technical specification as specified in the CONTRACT. 23.2 The CONTRACT EQUIPMENT is used, one “as it is” which ‘ XYZ ‘ possesses at the time of signing the CONTRACT. ‘ XYZ ‘ warrants that it is the legal owner of the CONTRACT EQUIPMENT and that said CONTRACT EQUIPMENT is sold free of any & all liens, pledges, bonds, loans or other incumbrances. 24. LIQUIDATED DAMAGES AND LIMITATION OF LIABILITY
  • 11. 11 24.1 When the work of dismantling, packing and load out of the CONTRACT EQUIPMENT by ‘ ABC ‘ is delayed from the time schedule defined in the ANNEX 2, ‘ ABC ‘ shall pay liquidated damages to ‘ XYZ ‘ as follows: 1 % of the TOTAL CONTRACT PRICE per one (1) week for the delay 24.2 Should the work of dismantling, packing and load-out of the CONTRACT EQUIPMENT be delayed solely by the fault of ‘ XYZ ‘ then ‘ XYZ ‘ shall pay to ‘ ABC ‘ liquidated damages as follows: 1 % of the TOTAL CONTRACT PRICE per one (1) week for the delay 24.3 Neither party shall be liable to the other party for any consequential damage or losses including loss of production or operation. 25. ARBITRATION Any and all disputes between the Parties arising out of or in connection with the CONTRACT thereof shall be amicably settled between the Parties hereto, failing which such dispute shall be settled by arbitration in accordance with the Rules of Conciliation and Arbitration of the International Chamber of Commerce by three(3) arbitrators appointed in accordance with the said Rules. The place of arbitration shall be in Singapore. The award rendered by the arbitration shall be final and binding upon the Parties, and resort to any Judicial Court or Tribunal is hereby waived except for the purpose of enforcement of such award. 26. PRECEDENCE 26.1 CONTRACT shall include the following and in the following order of priority and precedence: 1) CONTRACT 2) ANNEXES The CONTRACT constitutes the entire agreement between ‘ ABC ‘ and ‘ XYZ ‘ with respect to the subject matter of the CONTRACT and supersedes all communications, negotiations and agreements (whether written or oral) of ‘ ABC ‘ and ‘ XYZ ‘ with respect thereto made prior to the signing date of CONTRACT. 26.2 To effect any change to CONTRACT will require agreement between both parties and the issuance of a properly executed Addendum to this CONTRACT.   • 12. 12 27.1 ‘ XYZ ‘ shall allow ‘ ABC ‘ or its subcontractor’s representatives to access their premises at all reasonable time for execution of the dismantling & packing works of CONTRACT EQUIPMENT. ‘ XYZ ‘ will provide ‘ ABC ‘ representatives (3-4 persons) with office space in the ‘ XYZ ‘ premises during this period. 27.2 Such works would be expected to be performed six (6) days per week, up to twelve (12) hours per day although extended hours or days may be worked at ‘ ABC ‘ or its subcontractor’s discretion. 28.0 INSPECTION It shall be the responsibility of ‘ ABC ‘ to inspect all CONTRACT EQUIPMENT prior to packing at ‘ XYZ ‘’s premises and ‘ ABC ‘ shall issue a certificate of inspection thereof. The failure by ‘ ABC ‘ of any inspection prior to packing at ‘ XYZ ‘’s premises, shall deprive ‘ ABC ‘’s right of rejection for non-conforming or defective Equipment and Materials. ‘ ABC ‘’s inspection prior to packing at ‘ XYZ ‘’s premises shall be final. 29. ASSISTANCE 29.1 ‘ XYZ ‘ shall provide all reasonable assistance to ‘ ABC ‘ to obtain the necessary visas or temporary work permits required for ‘ ABC ‘ or its subcontractor’s personnel for the execution of the dismantling, packing & load-out of CONTRACT EQUIPMENT. ‘ XYZ ‘ shall also assist with any documentation as may be required by the Indonesian Custom Authorities for the exportation of the CONTRACT EQUIPMENT from Indonesia. 29.2 Should ‘ ABC ‘ or its subcontractors request ‘ XYZ ‘ to rent equipment, purchase supplies, provide transport or labour etc on its behalf costs for such services are to be reimbursed to ‘ XYZ ‘ at rates to be mutually agreed in advance. 30. Termof CONTRACT The terms of this CONTRACT shall commence on the Effective Date and shall end upon payment in full of all of the deferred amount, interest and other sums payable by ‘ ABC ‘ hereunder.   • 31. 31 3.0 CONCRETE WEIGHT COATING PLANT INTRODUCTION This specification is in respect of the supply of a heavy-duty stationary plant for weight coating pipes externally, ranging from 100 mm to 1220 mm in diameter. Coating thickness 1” to 6”. This machine is designed to batch cement, and apply a heavy coat of concrete to the outside of anti-corrosion protected steel pipe to provide negative buoyancy to the pipe for offshore pipelines or river crossings. The concrete coating machine uses a weigh batching plant to precisely measure aggregate and cement to produce any desired mixture accurately. An automatic moisture sensing unit is employed to determine the amount of water required and in turn automatically dispenses the correct amount. The plant is equipped to batch two (2) different aggregates in additionto cement. Each ingredient is automatically weighed and held until mixer is ready for additional material. After raw material water has been mixed, the dry slump mix is transferred to the receiving hopper by a belt conveyor. Material is metered out of holding hopper onto a metering conveyor, which shapes the wet concrete and in turn delivers material onto a high speed metering belt. Prior to coating, the pipe may need special preparation, depending on coating type wire brushes are used to give the pipe a rough surface to increase surface adhesion and for a certain percentage anode rings need to be installed. Pipe is then loaded into pipe support and coating carriages with heavy duty pipe loaders. The support carriages are designed to rotate the pipe, and traverse in front of the applicationhead at a controlled rate. Pipe is sprayed with water just prior to applying concrete to increase the bond between the corrosion coating and concrete. The coating application drums propel pre-mixed concrete onto the pipe at a high rate of velocity to promote coating adhesion and compaction. A wire mesh is simultaneously wrapped around the pipe to reinforce the concrete. A curing compound is also sprayed on after concrete applicationto accelerate the curing time of concrete. After the pipe is coated, the pipe is removed with heavy duty pipe unloaders and placed onto the weigh scales. Finally the pipe is taken to the storage area for final curing, in some cases steam curing is required depending on the environmental conditions. Pipes that are prepared for weight coating are lowered onto the pipe carriages with the pipe loader carriages, or customer supplied loading device. The pipe is then moved into the coating area. Reinforcement wire is then attached, and the operator begins rotation and travel. Then the cement is applied. After the full length of pipe is coated, the wire reinforcement wire is cut. Then the pipe is transferred to the removal area and taken off the pipe carriage with the Pipe un-loaders. The pipe is weighed with the weigh scales, and finally removed by customer supplied cranes or front end loaders for transport to curing area or anode installation. 1 Pipe carriages include one (1) powered and one (1) idler car. Powered car contains variable speed drives for pipe rotation and travel, with electric power and control cable reels. The cars allow for a 300 to 365 mm "cut- back" of coating material on pipe ends. The carriages interconnected, and the distance can be adjusted to compensate for variations in pipe lengths up to 13 meters.
  • 33. 33 32 Pipe Carriage Tracks The pipe carriages travel on two steel tracks that are mounted to the foundation. 1 (Set)tracks for pipe carriages 48 meters in length. 34 Applicator Assembly and Control System The Impingement applicator head receives concrete from the high speed belt and propels it at a high speed onto pipe. The high speed drums are fed by a high speed belt. The high speed belt receives concrete from the metering conveyor. Applicationrate is adjustable. The throwing unit is fully adjustable for the different sizes of pipe and production speed. After the full coating thickness is applied, a scrapper will smoothen the coating surface. On the opposite site of the pipe, a screen is placed that stops concrete that is sprayed over the pipe and protects personnel. The Control Platform sits on top of the steel support structure, above the impingement application rollers and in front of the main hopper. The location provides the operator with a bird’s eye view of the weight coating operation. The wire guide is fully adjustable for different pipe sizes and wire depth and can handle two layers of wire reinforcement if required. The wire feeder holds the roles of reinforcement wire that is un-spooled to the wire guide/ roller assembly. New roles are set into the stand to be attached to the rolls being used to continuously feed wire to the coating application. A wire accumulator makes it possible to change the wire during the coating process. The curing compound unit is for spraying a curing compound on the coated pipe to aid in sealing the surface to retain the moisture and to enhance proper curing of the concrete.
