ABOUT US
Veracity Capital Partners Limited is an independent FCA regulated London based Investor Marketing &
Capital Markets Advisory specialist.
Founded in 2010 by an industry veteran who wanted to give underserved small ‘cap’ companies and small
independent financial services firms access to a dedicated, professional, regulated and 'independent' investor
relations service, we deliver programmes tailored to your needs, adding bolt on services as you grow; all at a
flexible price point. If we have one mission in life, it is to become our clients “most trusted partner in business”.
Our extensive experience means: we have built broad-based relationships with buy-side institutions, fund
managers, sell-side analysts, investment banks, family offices, and professional investors. And, this extensive
experience, built up over many years in Capital Markets means we can provide informed insight into the
institutional market place and fund management industry.
Our services address: all aspects of the business life cycle. We work in partnership with our clients to
overcome business issues, drive the sales, marketing and business development process, uncover new
opportunities and build and maintain investor relations.

WE HELP YOU STAND OUT FROM THE CROWD
What we do: Our 'Integrated Investor Relations Programme'
Business conditions are changing faster than ever before, and you have to react to
these 'changing' conditions every day. You need to be confident that how you react
is being communicated effectively to the marketplace. You need to have deep and
meaningful relationships with your investment universe, investors, and
stakeholders. We give our clients 'visibility' through a dedicated, integrated and
'high touch' investor relations programme that integrates three roles into one role. We don't split it as do other firms.
One price gets our integrated service, unlike some of our competitors.

you are reacting to change to the marketplace, your shareholders, and stakeholders in a clear and transparent
manner. We work with you to develop the look and feel that needs to be portrayed to communicate effectively with
your audiences, giving you access to our proven creative expertise within the service.

Investor Relations for Listed Companies and those looking to list - Strategy Explained
IR Mission
Develop and market the company’s story to analysts and investors in order to achieve a market valuation
that reflects understanding of the business, growth strategy and how the company will build value over
time.
Stock Price = Performance + Perception
IR Objectives
• Tell the story: Clear, concise and consistent messaging
• Attract interest: Aggressive outreach program
• Define IR Function: Role and responsibilities
• Dissemination: Reliable, transparent and compliant
Getting the Message Across
• Bridging company vision, mission, strategy and markets with analysts and investors.
• Reinforcing messages across all external communication channels (conference calls, investor
presentations, press releases, filings).
14. iii
The Investor Relations Function is Critical - Our (1) + (2) + (3) of Investor Marketing
Fast moving market dynamics, investor strategies and valuation parameters no longer allows IR to be merely
a fielder and disseminator of information.
The “new” IR has three critical purposes:
1. Proactive “marketer” of the company’s story
2. Fundamental understanding of equity markets and the investment process
3. Internal purveyor of market intelligence to senior management and board on sentiment and valuation
drivers
Our research with investors shows that IR has the third-highest exposure to the investment community after
the CEO / CIO and CFO.
Why using an outsourced IR function is the right choice
• Seasoned advice and a wealth of experience at an affordable price. A senior IR person is expensive but a
junior person lacks expertise. An outside firm can give you both scale and a valuable outside perspective.’
• An outsourced IR should work closely with you because: What you want is someone who looks and feels
as much like an internal IRO as possible
• Paying an outsourced firm an annual retainer generally costs half as much as a full-time IR person. There’s
been a recent upward trend toward [newly public companies] getting assistance. It speaks volumes as to
the effective value of IR.
• For some companies, the decision to outsource IR hinges on some very practical considerations, such as
‘dual-listings’.
• For small and micro-cap companies, the decision to hire an IR consultant may be a decision to do
something, IR-wise, rather than doing nothing at all. Hiring an IR consultant in represents a more serious
foray into telling your story to the market.
15. iv
Creating Value through an IR Programme by Building:
• Market awareness and feedback to management
• Credibility and consistent communication
• Number of long-term investors; and optimising shareholder type
• Analyst following
• Access to capital
• Liquidity
• P/E ratio
• Share value
• Corporate governance
Benefits of an IR Programme
• Reduces share volatility
• Expands share liquidity
• Optimises and diversifies shareholder base
• Helps lower the cost of capital
16. v
Key Principles to Remember about Investor Relations
• Having an Investor Relations function is an investment, not an expense.
• The efficiency of an Investor Relations function must be evaluated based on objectives determined at the
outset and then regularly monitored over time.
• While your share price is the most visible, it is not the only way to measure returns on investment.
Changes in funding costs and shareholder bases are also fundamental criteria.
• Perception studies are an indispensable tool for assessing and improving the company’s financial image
over the long term.
Capital Markets are dynamic and complex by nature and can often be seen to challenge management and isolate
the impact of effective Investor Relations from broader market forces. We also occasionally come across the belief
that results will “speak for themselves” and that Investor Relations are costs that can be easily done without.
However, there is now copious amounts of research from top research houses that shows strong evidence to
support the idea that the quality and frequency of disclosure has a significant impact on stock-market valuation.
The environment is highly competitive and Investor Relations should be as much a part of companies’ overall vision
as their development strategy. Taking a proactive approach with Investor Relations can prove a real competitive
edge, for instance: consider two firms with comparable financial and economic results, the one with the better
Investor Relations can very well be more generously valued.
REMEMBER, THE STORY IS THE BUSINESS AND NOT THE SHARE PRICE
