INTRODUCTION
Lusweti & Nabutola Company Advocates is a dynamic medium
sized law firm in Kenya, with a vision and objectives of providing a
fast and efficient legal services to all its clients. Integrity, efficiency
and courtesy as the hallmarks of our services to all our clients
irrespective of their size and status or the content of the matter.
The firm handles a wide range of legal matters. These include; land
law, debt collection, conveyancing, commercial law, probate and
administration, criminal law and company law among others.
The Partners and Associate are academically and professionally
qualified bringing together between them wide exposure and
useful experience gained in different areas of law.

•	 Upon admission he joined Havey & Co. Advocates up to late 2012;
•	 Later he joined Osundwa & Co. Advocates up to September, 2013;
•	 Currently he is the managing partner in Lusweti & Nabutola  Co. Advocates
•	 Deals primarily in conveyancing, civil litigation, debt collection, criminal matters, company
formation, probate and administration, preparation and perfection of securities for financial
institutions, drafting legal documents and advising clients on legal issues.

NABUTOLA WANJALA, ADVOCATE
•	 Before joining the firm he was the Group legal Counsel(Commercial and intellectual property
division) and Corporate analyst .
•	 Currently, he is one of the managing partners of Lusweti & Nabutola  Co. Advocates;
•	 Deals primarily in Commercial litigation at the Court of Appeal, Commercial Division of the
High Court and other lower courts in Nairobi and upcountry, interpretation of recent statutes
and drawing of opinions to respective clients, preparation and drafting of pleadings and contract
documents, arbitration proceedings, report writing, training and advising clients generally;

•	 Providing legal advice to the Companies on all legal matters related to its activities and mandate
premised on a platform that is well researched, reasoned and timely;
•	 Authenticate documents issued to the Companies as collateral, securities or support documents
for loans and undertake conveyance:
•	 Advising the Companies on all legal matters relating to employee relations and contract
appointments for its entire staff;
•	 Preparation, vetting and negotiating contracts, leases, formal agreements and other legal
instruments to meet the laid down requirements for execution;

PRACTICE AREAS
The firm’s practice is skewed toward Commercial Law and Civil
Litigation though we do Criminal Law on a small scale. Our
main areas of specialization include:-
A.Litigation
The firm majorly deals in civil, criminal and commercial litigation. This department
has an outstanding reputation and considerable experience in the following areas:
•	Acting for banks and other financial institutions in enforcing and recovery of
debts under security documentation;
•	General property litigation;
•	General criminal litigation;
•	General insurance litigation;
•	Advising receivers and liquidators on receivership and winding up of
companies;
•	Enforcement of arbitration awards;  
•	 Employment and family law practice among others.
B.Property law and conveyancing
The firm also executes substantial amount of conveyancing work. It deals in all
kinds of real property transactions including mortgages, charges, debentures,
purchases, sales, leases, licences and transfers.
Besides, we also handle litigation resulting from purchases, leases, mortgages,
charges, debenture, sales, transfers and licences.
C.Banking
We represent some financial institutions. We deal in security documentation,
banking business, banker- customer relationship, loans and advances and attendant
litigation.
With the Firm’s consultant, Christabell Ashiono, having worked as a legal officer in
Family Bank Limited the firm has enormous expertise in security documentation
and turn-around times to meet the clients’ and their customers’ interests.

D.Debt recovery, receiverships, bankruptcy & liquidation
The Firm handles winding up, bankruptcy, liquidation, debt collection and receiverships. We have
also been instrumental in court action to prevent vexatious winding up causes.
We also offer consultancy services in insolvency law in Kenya to a number of corporate entities in
relation to insuring creditors’ right.
E.Employment and labour Law
The Firm has been involved in employment disputes resolution including arbitration and actions
relating to employee misconduct, benefits and managerial compensation and resolution primarily
on behalf of the large corporate bodies such as West Global Co. Ltd, the County Government of
Kakamega among others. We have also been involved in advising on and settling negotiations on
Collective Bargaining Agreements and Retirement Benefits Schemes.
The firm is also involved in the handling claims challenging the constitutionality of the Capacity
Assessment and Rationalization Programme (CARPS) initiated by the Ministry of Devolution
where we are acting for the County Government of Kakamega.
We are also been involved in defending constitutional petitions challenging the recruitment
processes by the Kakamega County Public Service Board and the extent to which the new
constitutional dispensation and human rights space impacts on employment law.
F.Family Law and Succession
The Firm has handled various matrimonial legal problems including divorce, custody, settlement of
matrimonial property cases and adoptions.
Jameson Court, Block D, Suite
The Firm also handles estate succession work for its clients including wills, petitions for grant of
letters of administration, asset recovery and distribution.

G.Intellectual Property Law
The Firm has an established intellectual property practice to handle
trademarks and patent application procedures. This area involves protection
of trademarks, service marks, patents, designs, copyrights law, passing off,
geographical indications and enforcement of intellectual property right in
matters involving intellectual property rights infringement, violations and
licensing.
H.Co-operative Societies Law
The Firm has and continues to represent, guide and offer legal services to
the various co-operative societies in different parts of the country and more
particularly in the agricultural sector.
We have also handled co-operative society’s disputes resolution through the
established tribunal mechanism.
I.Investment and International Trade Law
We are constantly consulted on legal aspects of the business environment
in Kenya. We advise entities on the regulatory requirements of setting up
business and industries including formation, set-up, licensing and regulatory
compliance.
The Firm also advises on cross-border and international trade. We have been
widely consulted in the area of export credit law.

J.Corporate Governance
This practice encompasses the full range of legal services required by corporations
and other business entities. These include, but are not limited to corporate
governance disputes, shareholders activism and minority -vs- majority shareholding
conflicts.
In addition, the firm has equipped its lawyers with capacity in, the closely
related areas of capital markets, agency and distribution, joint ventures, mergers
and acquisitions, privatization, project finance, corporate debt restructuring,
securitization, title finance and corporate taxation
K.Alternative Dispute Resolution
The Firm actively participates in Alternative Dispute Resolution (such as
Arbitration and mediation) both in a representative and adjudicative capacity.
In appropriate cases, the firm initiates and encourages its clients to explore ‘out
of court settlement’ of disputes. This usually promotes the speedy resolution of
disputes which in turn translates into reduced legal costs on the part of the client.
L.Insurance Law
The Firm has over the years offered legal services to various insurance companies.
We understand the business legal aspects of insurance companies and the
regulatory environment of the insurance industry.
We have been involved in the incorporation and the structuring of insurance
companies locally as well as in the capital and corporate restructuring of a
multilateral regional trade and credit insurance project funded by the World Bank.

M.Contract Law
The Firm has been involved in arranging major commercial contracts,
building contracts, management contracts, employment contracts and
corporate Chief Executive Officer contracts, duties and obligations
including litigation for redress for breach, litigation in building
contracts and consultancy services, litigation in sale and delivery of
goods and large equipment, and carriage of goods.
The Firm has been engaged in negotiation and implementing
agricultural estates management contracts. We have advised on choice
of law and jurisdictional clauses in international commercial contracts.
N.Legal Drafting
The firm has been involved in drafting Bills and Policies for our client.
As we are retained by County Government of Kakamega we have
drafted and submitted a number of Bills to the County most of which
have since been enacted into law. These are some of the Bills and
Policies we have submitted:
•	 The Kakamega County Public Service Board Bill, 2014;
•	 The Kakamega County Public Health Bill, 2015;
•	 The Kakamega County Policy on Children Welfare, 2014;
•	 The Kakamega County Policy on Persons with Disabilities, 2014.
The firm has also been involved in sensitization of Kakamega County
(Sub-County Administrators) Law Enforcement Agencies on salient
provisions of various county laws.

N.Legal Drafting The firm has been involved in drafting Bills and Policies for our client.
