MODERATOR: Alexander B. Kasdan, Senior Managing Director,
DelMorgan & Co., brings more than twenty-five years of senior-level Wall
Street advice to middle market companies, entrepreneurs and institutional
investors. He has extensive experience in investment banking, corporate law
and restructuring at world’s leading firms, including Credit Suisse First Boston,
O’Sullivan Graev & Karabell LLP (now O'Melveny & Myers LLP), Battle
Fowler LLP (now Paul Hastings LLP) and Schlumberger Ltd., and as a
founding partner of Convergence Capital Partners. Alex has worked on more
than 100 domestic and cross-border transactions in North America, Europe and
Africa.
Alex is a Senior Advisor to Governance and Transactions LLC, an advisory firm
established in 2003 by Mr. James L. Gunderson, former Secretary and General
Counsel of Schlumberger Limited, to assist boards, management and owners
with corporate governance, compliance, structuring and strategic transactions.
Alex is a frequent moderator and an interviewer at Expert Webcast roundtable
discussions attracting business leaders and leading professionals from around
the world.
Alex graduated magna cum laude from Middlebury College with a B.A. degree

Panelist: Michael R. King, a partner in the Houston office of Latham
& Watkins, represents oil and gas companies and private equity sponsors
in upstream and midstream transactional matters.
His upstream practice has a particular focus on acquisitions and divestitures
of oil and gas properties and project development. He also handles farm-ins
and other joint ventures and related arrangements. His midstream practice
includes matters relating to midstream joint ventures, gathering
agreements, processing agreements, and fractionation agreements.
Mike is listed in the Chambers USA Guide as one of America’s Leading
Lawyers for Business in energy: oil & gas (transactional), 2011-2016, Best
Lawyers in America for Oil & Gas Law for 2013-2015, Best Lawyers in

and Reorganization at Vinson & Elkins. He has more than
20 years of experience in corporate and business workout and
restructuring transactions, distressed asset acquisitions and
divestitures, and reorganization proceedings.
Head of Vinson&Elkins' Restructuring and Reorganization
group, his practice includes the representation of secured
creditors, bondholders, creditors, committees, trustees, and
debtors in restructuring transactions, remedies enforcement, and
bankruptcy cases. Bill has served as an expert witness in
bankruptcy court (A.G. Financial Service Center, Inc. USBC
S.D. Indiana).

Panelist: Jimmie Williams, Principal, Moss Adams LLP, has
over 25 years of experience assisting middle-market companies,
private equity groups, and lenders with all aspects of transaction
services. His experience includes financial and operational due
diligence; outsourced corporate development and M&A support;
dispute resolution services; lender services; restructuring services;
and consulting services related to debt and equity transactions. He
has deep experience in all sectors of the energy industry along
with significant experience serving clients in a variety of other
industries, including manufacturing and business services.
As an experienced M&A leader, Jimmie has the technical acumen

He has significant experience both as a principal deal maker and
as a consultant to both buyers and sellers. During his career, he
has been involved as either a principal or consultant on

Panelist: Ben Collins, Director of Strategy and Product Marketing,
Intralinks.
As Director of Product Marketing, Mr. Collins is responsible for driving
the growth of IntraLinks’ Corporate Development platform, including the
company’s offerings for facilitating both buyside and sellside
transactions.
Prior to joining IntraLinks, Mr. Collins served as Director of Corporate
Development for Cognizant Technology Solutions, a leading global
provider of IT services solutions. While at Cognizant he was responsible
for evaluating and executing a variety of strategic initiatives, but was
primarily focused on driving growth through acquisitions.
Before Cognizant, Mr. Collins was a Vice President with Innovation
Advisors, a boutique investment bank focused on providing advisory
services for mergers and acquisitions in the technology industry. He also
worked at SG Cowen Securities in both their Corporate Finance and
Mergers & Acquisitions practices.
Mr. Collins graduated with honors from Harvard University with a B.A.

Panelist: Neil Morganbesser is co-Founder and President & CEO of
DelMorgan & Co. where he provides senior leadership within the firm and helps
oversee all client engagements. Mr. Morganbesser has over 27 years of experience
providing financial and strategic advice to a full range of clients, including
entrepreneurs, large corporations, governments, family businesses, private equity
funds, and special committees of public companies.
Mr. Morganbesser has been affiliated with some of the leading institutions in the
world, and his experience ranges from representing the offshore owners in the sale
of a small, private U.S. company for $10 million to representing the special
committee of a large, public company in a $9 billion negotiated management buyout
with a highly complex financial structure.
Until May 2008, Mr. Morganbesser was the head of West Coast and Asia Mergers &
Acquisitions at Bear Stearns & Co., as a Senior Managing Director based in Los
Angeles. Prior to joining Bear Stearns in May 2001, Mr. Morganbesser was an
investment banker in the Mergers, Acquisitions and Restructuring Department at
Morgan Stanley (in New York and Los Angeles). From 1990-1993, Mr.
Morganbesser was a corporate and M&A attorney at Wachtell, Lipton, Rosen &
Katz.
Mr. Morganbesser graduated with an A.B. magna cum laude in Applied
Mathematics / Economics from Harvard University (Phi Beta Kappa) in 1986 and
received his J.D. and M.B.A. degrees (Order of the Coif, with honors) from
Stanford University in 1990.
