28. Stock Allocation
● Issuance of stock to management company is dependent on fund performance
● For each quarter that HACK Fund outperforms a benchmark Russell 2000 Fund
Index by 2%, the management team will receive 1% equity in the fund
● The maximum ownership percentage for management will be 23%
● Equity granted to the company will have a lockup period of 4 years from its
grant date
● Though performance will be measured quarterly, the Company will only receive
stock grants once a year as part of an annual review
