Introduction:


        This proposed task is designed to support the above statement. In this 21st century there

are many ways to offer or accept a contract. To communicate the offer the acceptor may utilize

any one of different communication media available at present time. For example: Telephone,

telex, instantaneous means of communication yet they bring many obstacles which lead the offer

or an acceptation to revoke. However, below discourse and answering a number of questions will

lead this paper to show the accuracy of the above statement. For example, what is contract?

What is communication? What is instantaneous means of communication? What is

communication of acceptance? What are the prerequisites of a valid acceptance? What are the

rules for the communication of an acceptance? Is there any exceptional rule than general rules?

Can the communication of acceptance be waived and if so in what circumstances? Can the

acceptance be revoked?

Acknowledgment:


         Our team at first and foremost would like to appreciatively acknowledge our business

law lecturer madam nor azza isma for her great guidance. She didn‟t only give us chance to do

such remarkable task but also showed us the way how to gain the information to do this task. She

is the one who showed us the way to collect reference books from international Islamic

university Malaysia‟s library (IIUM). She gave us a grand chance to visit the great IIUM.

Moreover, we would like to thankfully acknowledge each team members as well. Since they

helped each other and solved all problems together while doing this task.

Contract:

According to Abseri, 2011, an agreement which is a legally enforceable by law is called a

contract. For a contract to be legally binding, several ingredients have to be there. For example, an agreement and

intention of the two parties, legal capacity, consideration; that needs not be adequate, free consent, not

declared void by the law of contract act.


Communication:

            According to word web dictionary, Communication is the activity of communicating.

However, if the acceptance is not communicated to the proposer, it cannot be completed. Hence,

lacking of communication doesn‟t allow creating a contract between the two parties.


Communication of acceptance:


                 According to Jalil, 2011, Under the law of contract act, 2002 s.2 (1) (b) – acceptance is

defined as an agreement to the proposal by the person to whom it was made. For there to be a valid contract, the

offer has to be proved and it must be satisfied that the acceptor has accepted the proposer. When there is no

communication of acceptance there is no contract. Acceptance speaks from the moment it is

communicated .Where the acceptor only intended to accept but did not communicate his intention

to the proposer, there is no contract. That means a mere mental acceptance is not sufficient.

Moreover, Silence cannot constitute acceptance even if the proposer said, “By your silence and

inaction you will be held to have accepted this offer”. This strict general rule applies because law

wants that the acceptance as the idea of a contract must be expressed and certain there was no

communication of acceptance by the defendant. The court held that the defendant did not

communicate the acceptance to the complainant. So, there was no binding contract. However, the

general rule that silence will not constitute an acceptance can be justified on two grounds. It

protects the acceptor from the consequences of an acceptance that he does not intend to accept.

For example:-“B” accepts the proposal of “A” in the in any case by letter. The communication of

the acceptance is completed against “A” when the letter is posted while communication of the

acceptance is completed against “B” when the letter of acceptance is received by “A”, the

proposer.


. Requisites of a Valid Acceptance


                According to Jalil, 2011, in Section 7(a) of the Contract Act 1950 provides that

in order for a proposal to be converted into a promise, the acceptance of that proposal must be

absolute and unqualified. Absolute and unqualified acceptance means the terms of the offer has

not been modified or changed by the acceptor. According to Bakilana, if the acceptor bargains on

the offer and modifies the terms of the offer. For example, a buyer asks the seller to reduce the

price of the goods which has been proposed to sell, and then there will be no acceptance.

Because the buyer has modified the price by asking the seller to reduce the price and thereby he

has not accepted the offer, rather he has made a new offer to buy the goods with reduced price

which in fact rejects the original offer. As stated earlier, acceptance must be absolute and

unqualified so that there is complete consensus between the proposer and the acceptor. If the parties

are still negotiating, an agreement has not yet formed. Moreover, another interesting example in

“In Lau Bother & Co. v.Chin Pacific Navigation Co. Ltd (1965)”, negotiations for the delivery of

logs was conducted through a series of telegrams and letters. At the same time as the parties still

were in the negotiating stage, the defendants withdrew the offer. When this matter was referred

to the court, the court held that the parties were still in a state of negotiation and no agreement

was formed. Therefore, the defendants were justified in withdrawing the offer. If an acceptance

is qualified by words the court would be disposed to hold in the absence of strong evidence that

there is no contract made. (Alsagoff, 2003).


The general rule of communication: The Instantaneous Method


                 According to Bakilana, 2009, The communication of acceptance can be made

by instantaneous means, such as face to face, by telephone or telex. The communication of

acceptance is complete when it is actually brought to the knowledge of the proposer.


(a) Face to face:


For instance, “A” shouts an offer to “B” across a river or a courtyard but “A” does not hear “B”s

reply because it is drowned by an aircraft flying overhead. There is no contract at that moment.

If “B”wishes to make a contract, he must wait till the aircraft is gone and then shout back his

acceptance so that “A” can hear what “B”says.


(b) Telephone:


For illustration, “A” makes an offer to “B” by telephone and, in the middle of “B”‟s reply; the

line goes „dead‟ that‟s why “A” does not hear “B”‟s words of acceptance. There is no contract at

that moment. “A” may not know the precise moment when the line failed. But he will know that

the telephone conversation was suddenly broken off because people usually say something to

signify the end of the conversation. If he wishes to make a contract, he must therefore get

through again so as to make sure that “A” heards. Presume next, that the line does not go dead,

but it is nevertheless so indistinct that “A” does not catch what he says and “A” asks “B” to

repeat it. He then repeats it and “A” hears “B”‟s acceptance. The contract is made, not on the

first time when “A” does not hear, but only the second time when “A” hears. If “B” does not

repeat it, there is no contract. The contract is only complete when I have his answer accepting

the offer.




(c) Telex:


For example, a clerk in a London office taps out on the teleprinter an offer which is immediately

recorded on a teleprinter in a Manchester office, and a clerk at that end taps out an acceptance. If

the line goes dead in the middle of the sentence of acceptance, the teleprinter motor will stop.

There is then obviously no contract. The clerk at Manchester must get through again and send his

complete sentence. But it may happen that the line does not go dead, yet the message does not

get through to London. Thus the clerk at Manchester may tap out his message of acceptance and

it will not be recorded in London because the link at the London end fails.In that case, the

Manchester clerk will not know of the failure but the London clerk will know of it and will

immediately send back a message “not receiving.” Then, when the fault is rectified, the

Manchester clerk will repeat his message. Only then there is a contract. If he does not repeat it,

there is no contract.


The postal rule(Exceptions to the general rule):


             With respect to the acceptor, Section 4(2)(b) of the Contracts Act (Malaysia)

provides that the communication of acceptance is complete as against the acceptor when it comes

to the knowledge of the proposer. Thus, acceptance by post as against the proposer takes effect

as soon as it is posted, even where the letter of acceptance is either delayed in the post or totally

lost. A letter is posted when it is put into an official letter box or into the hands of an employee

of the post office who is authorized to receive letters. For example, In Adams v Lindsell,(Note 2)

the defendants offered to sell wool to the complainant, asking for a reply „in course of post‟. The

defendants‟ letter was misdirected, so that the complainant‟ reply was delayed beyond the

normal course of post, and the defendants sold the wool to someone else. Nevertheless, the

complainant had sent a letter of acceptance on the same day they had received the offer, and

claimed that there was an enforceable contract. The court upheld that claim and held that a

binding contract had been made. Since the decision in this case the rule has been that where

acceptance is communicated by post the contract is formed as soon as the letter is posted without

need for it ever to reach the proposer.


           According to O‟Sullivan and Hilliard (2006), if the acceptor accepts by post, the

general rule is that the offer will be accepted when the letter is posted, not when it reaches the

proposer. This is known as the postal rule. Some critics suggest that the negative consequences

of the postal rule sometimes make the postal rule unfair. They suggest that it should be the

responsibility of the acceptor to ensure that the letter reaches its destination (O‟Sullivan and

Hilliard, 2006, at 32).


Acceptance by e-mail/e-commerce


       There is no condition in the Contract Act 1950 Malaysia providing email as a mode of

communication of acceptance. It is not clear which rule, the postal rule or the instantaneous rule

applies in case of acceptance by e-mail. If the postal rule is applied, drawing a parallel between

the ISP and the post box, difficulties arise Some people have doubt whether an e-mail can be

considered as a form of instantaneous communication since it may take seconds or hours to reach

its destination, depending on routing and other factors. Nevertheless, a company selling its

products through the internet should state clearly on its web site the precise time and means by

which acceptance will take place. This may be when the company acknowledges the receipt of

the e-mail acceptance, or when the product is delivered, or, if it is in digital form, when it is

downloaded.




Acceptance by performance


             According to Bakilana, It is not always necessary that a formal contract should be

prepared and signed by the parties to determine its validity. Sometimes, a contract can be

presumed from the performance of instructions given by one of the parties and by conduct. When

one party in a contract performs and follows all the instructions given by the other party and

ultimately the contract is completed, no party in the contract can disagree the contract saying that

no formal contract was drawn up by the parties and so, there was no valid contract and the

defendant party will not be responsible for any defects in the contract performance. For instance,

that situation arose in Percy Trentham Ltd v Archital Luxfer Ltd. (1993). In this case „A‟ wanted

to build industrial units and subcontracted the work to make the units to „B‟. The work was done

and paid for to „B‟. „A‟ then claimed damages from „B‟ because there were defects in the units.

„B‟ argued that even though there had been letters, phone calls and meetings between the parties,

there was no matching offer and acceptance and so no contract existed.


Waiver of communication of acceptance:


         There are some offers which by implication do not require actual communication of

acceptance to the proposer. Offers of these kinds, in effect, invite the acceptor to perform his

acceptance rather than to communicate it. Such offers are recognizable from the language used

and the nature of the transaction involved. The most common example is the offer to pay a

reward. For example, for the return of lost or stolen property.




Revocation:

           According to Jalil,2011, “Revocation” means "cancellation". It may be revocation of

offer or acceptance. The communication of revocation is completed against the person who

makes it. When it is put into a course of transmission so as to be out of the power of the person

who makes it as against the person to whom it is made, when it comes to his knowledge.

Revocation of acceptance:-

        The acceptor can revoke the acceptance before it reaches to the proposer. If the letter of

acceptance is received by the proposer then it will be not revocable. For example: IF proposal of

“A” to sell his plaza to “B”is opened for revocation as long as “B” does not post his letter of

acceptance. As “B” has posted the letter of acceptance. “A” cannot revoke his proposal. On the

other hand “B” can revoke his acceptance as long as the letter of acceptance does not reach to

“A”. But as the letter of acceptance reaches to “A”, it finishes the revocation power of “B”.

Another example, B accepts A‟s proposal by a letter sent by post. B may revoke his acceptance

at any time before or at the moment the letter communicating the acceptance reaches “A”, but

not afterwards. The best way of revoking an acceptance is by way of an instantaneous method of

communication. For example, by telephone or fax or e-mail, because it is very fast. In Absari‟s

writing, 2011, According to section 4(2) of the Contract Act 1950 (Malaysian) the

communication of a revocation is complete: in few conditions. Such are,


   a. As against the person who makes it, when it is put into a course of transmission to the

       person to whom it is made, so as to be out of the power of the person who makes it.

   b. As against the person to whom it is made, when it comes to his knowledge.


For example, A proposes, by letter, to sell a house to B at a certain price. The communication of

the proposal is complete when B receives the letter. B accepts A‟s proposal by a letter sent by

post. The Communication of the acceptance is complete – as against A, when the letter is posted;

as against B, when the letter is received by A. Another example, A revokes his proposal by

telegram. The revocation of proposal is complete as against A when the telegram is dispatched. It

is complete as against B when B receives it. B revokes his acceptance by telegram. B‟s

revocation of acceptance is complete as against B when the telegram is dispatched, and as

against A when it reaches him. So, the rule of revocation is very clear that the acceptor must

make sure that he has revoked his acceptance before it is received by the proposer or before it

comes to the knowledge of the proposer and not afterwards. Any attempt to revoke an acceptance

after it has already been received by the proposer would not be effective.

Conclusion:


          Finally, in short, „Acceptance‟ is one of the fundamental elements for making a

binding contract. And a contract is essential to determine when an acceptance is complete.

According to Jalil,2011, an acceptance is effectively communicated to the acceptor when it

comes to the knowledge of the proposer. If it does not come to the knowledge of the proposer, as a

general rule, the acceptance would not be valid. After sending the acceptance, if the acceptor

thinks that he has made a mistake and he wants to revoke the acceptance, he is allowed to do that

under law but he needs to follow a specific rule. The rule is that he can only effectively revoke

the acceptance before it comes to the knowledge of the proposer. Though Under postal rule, it is

not necessary to bring the acceptance to the knowledge of the proposer but majority shows the

acceptance is incomplete if it doesn‟t come under the knowledge of the proposer.

  • 2. Introduction: This proposed task is designed to support the above statement. In this 21st century there are many ways to offer or accept a contract. To communicate the offer the acceptor may utilize any one of different communication media available at present time. For example: Telephone, telex, instantaneous means of communication yet they bring many obstacles which lead the offer or an acceptation to revoke. However, below discourse and answering a number of questions will lead this paper to show the accuracy of the above statement. For example, what is contract? What is communication? What is instantaneous means of communication? What is communication of acceptance? What are the prerequisites of a valid acceptance? What are the rules for the communication of an acceptance? Is there any exceptional rule than general rules? Can the communication of acceptance be waived and if so in what circumstances? Can the acceptance be revoked? 2

  • 5. Contract: According to Abseri, 2011, an agreement which is a legally enforceable by law is called a contract. For a contract to be legally binding, several ingredients have to be there. For example, an agreement and intention of the two parties, legal capacity, consideration; that needs not be adequate, free consent, not declared void by the law of contract act. Communication: According to word web dictionary, Communication is the activity of communicating. However, if the acceptance is not communicated to the proposer, it cannot be completed. Hence, lacking of communication doesn‟t allow creating a contract between the two parties. Communication of acceptance: According to Jalil, 2011, Under the law of contract act, 2002 s.2 (1) (b) – acceptance is defined as an agreement to the proposal by the person to whom it was made. For there to be a valid contract, the offer has to be proved and it must be satisfied that the acceptor has accepted the proposer. When there is no communication of acceptance there is no contract. Acceptance speaks from the moment it is communicated .Where the acceptor only intended to accept but did not communicate his intention to the proposer, there is no contract. That means a mere mental acceptance is not sufficient. Moreover, Silence cannot constitute acceptance even if the proposer said, “By your silence and inaction you will be held to have accepted this offer”. This strict general rule applies because law wants that the acceptance as the idea of a contract must be expressed and certain there was no communication of acceptance by the defendant. The court held that the defendant did not communicate the acceptance to the complainant. So, there was no binding contract. However, the general rule that silence will not constitute an acceptance can be justified on two grounds. It 5
  • 6. protects the acceptor from the consequences of an acceptance that he does not intend to accept. For example:-“B” accepts the proposal of “A” in the in any case by letter. The communication of the acceptance is completed against “A” when the letter is posted while communication of the acceptance is completed against “B” when the letter of acceptance is received by “A”, the proposer. . Requisites of a Valid Acceptance According to Jalil, 2011, in Section 7(a) of the Contract Act 1950 provides that in order for a proposal to be converted into a promise, the acceptance of that proposal must be absolute and unqualified. Absolute and unqualified acceptance means the terms of the offer has not been modified or changed by the acceptor. According to Bakilana, if the acceptor bargains on the offer and modifies the terms of the offer. For example, a buyer asks the seller to reduce the price of the goods which has been proposed to sell, and then there will be no acceptance. Because the buyer has modified the price by asking the seller to reduce the price and thereby he has not accepted the offer, rather he has made a new offer to buy the goods with reduced price which in fact rejects the original offer. As stated earlier, acceptance must be absolute and unqualified so that there is complete consensus between the proposer and the acceptor. If the parties are still negotiating, an agreement has not yet formed. Moreover, another interesting example in “In Lau Bother & Co. v.Chin Pacific Navigation Co. Ltd (1965)”, negotiations for the delivery of logs was conducted through a series of telegrams and letters. At the same time as the parties still were in the negotiating stage, the defendants withdrew the offer. When this matter was referred to the court, the court held that the parties were still in a state of negotiation and no agreement was formed. Therefore, the defendants were justified in withdrawing the offer. If an acceptance 6
  • 7. is qualified by words the court would be disposed to hold in the absence of strong evidence that there is no contract made. (Alsagoff, 2003). The general rule of communication: The Instantaneous Method According to Bakilana, 2009, The communication of acceptance can be made by instantaneous means, such as face to face, by telephone or telex. The communication of acceptance is complete when it is actually brought to the knowledge of the proposer. (a) Face to face: For instance, “A” shouts an offer to “B” across a river or a courtyard but “A” does not hear “B”s reply because it is drowned by an aircraft flying overhead. There is no contract at that moment. If “B”wishes to make a contract, he must wait till the aircraft is gone and then shout back his acceptance so that “A” can hear what “B”says. (b) Telephone: For illustration, “A” makes an offer to “B” by telephone and, in the middle of “B”‟s reply; the line goes „dead‟ that‟s why “A” does not hear “B”‟s words of acceptance. There is no contract at that moment. “A” may not know the precise moment when the line failed. But he will know that the telephone conversation was suddenly broken off because people usually say something to signify the end of the conversation. If he wishes to make a contract, he must therefore get through again so as to make sure that “A” heards. Presume next, that the line does not go dead, but it is nevertheless so indistinct that “A” does not catch what he says and “A” asks “B” to repeat it. He then repeats it and “A” hears “B”‟s acceptance. The contract is made, not on the first time when “A” does not hear, but only the second time when “A” hears. If “B” does not 7
  • 8. repeat it, there is no contract. The contract is only complete when I have his answer accepting the offer. (c) Telex: For example, a clerk in a London office taps out on the teleprinter an offer which is immediately recorded on a teleprinter in a Manchester office, and a clerk at that end taps out an acceptance. If the line goes dead in the middle of the sentence of acceptance, the teleprinter motor will stop. There is then obviously no contract. The clerk at Manchester must get through again and send his complete sentence. But it may happen that the line does not go dead, yet the message does not get through to London. Thus the clerk at Manchester may tap out his message of acceptance and it will not be recorded in London because the link at the London end fails.In that case, the Manchester clerk will not know of the failure but the London clerk will know of it and will immediately send back a message “not receiving.” Then, when the fault is rectified, the Manchester clerk will repeat his message. Only then there is a contract. If he does not repeat it, there is no contract. The postal rule(Exceptions to the general rule): With respect to the acceptor, Section 4(2)(b) of the Contracts Act (Malaysia) provides that the communication of acceptance is complete as against the acceptor when it comes to the knowledge of the proposer. Thus, acceptance by post as against the proposer takes effect as soon as it is posted, even where the letter of acceptance is either delayed in the post or totally lost. A letter is posted when it is put into an official letter box or into the hands of an employee of the post office who is authorized to receive letters. For example, In Adams v Lindsell,(Note 2) 8
  • 9. the defendants offered to sell wool to the complainant, asking for a reply „in course of post‟. The defendants‟ letter was misdirected, so that the complainant‟ reply was delayed beyond the normal course of post, and the defendants sold the wool to someone else. Nevertheless, the complainant had sent a letter of acceptance on the same day they had received the offer, and claimed that there was an enforceable contract. The court upheld that claim and held that a binding contract had been made. Since the decision in this case the rule has been that where acceptance is communicated by post the contract is formed as soon as the letter is posted without need for it ever to reach the proposer. According to O‟Sullivan and Hilliard (2006), if the acceptor accepts by post, the general rule is that the offer will be accepted when the letter is posted, not when it reaches the proposer. This is known as the postal rule. Some critics suggest that the negative consequences of the postal rule sometimes make the postal rule unfair. They suggest that it should be the responsibility of the acceptor to ensure that the letter reaches its destination (O‟Sullivan and Hilliard, 2006, at 32). Acceptance by e-mail/e-commerce There is no condition in the Contract Act 1950 Malaysia providing email as a mode of communication of acceptance. It is not clear which rule, the postal rule or the instantaneous rule applies in case of acceptance by e-mail. If the postal rule is applied, drawing a parallel between the ISP and the post box, difficulties arise Some people have doubt whether an e-mail can be considered as a form of instantaneous communication since it may take seconds or hours to reach its destination, depending on routing and other factors. Nevertheless, a company selling its products through the internet should state clearly on its web site the precise time and means by 9

This may be when the company acknowledges the receipt of the e-mail acceptance, or when the product is delivered, or, if it is in digital form, when it is downloaded. Acceptance by performance According to Bakilana, It is not always necessary that a formal contract should be prepared and signed by the parties to determine its validity. Sometimes, a contract can be presumed from the performance of instructions given by one of the parties and by conduct. When one party in a contract performs and follows all the instructions given by the other party and ultimately the contract is completed, no party in the contract can disagree the contract saying that no formal contract was drawn up by the parties and so, there was no valid contract and the defendant party will not be responsible for any defects in the contract performance. For instance, that situation arose in Percy Trentham Ltd v Archital Luxfer Ltd. (1993). In this case „A‟ wanted to build industrial units and subcontracted the work to make the units to „B‟. The work was done and paid for to „B‟. „A‟ then claimed damages from „B‟ because there were defects in the units. „B‟ argued that even though there had been letters, phone calls and meetings between the parties, there was no matching offer and acceptance and so no contract existed. Waiver of communication of acceptance: There are some offers which by implication do not require actual communication of acceptance to the proposer. Offers of these kinds, in effect, invite the acceptor to perform his 10
  • 11. acceptance rather than to communicate it. Such offers are recognizable from the language used and the nature of the transaction involved. The most common example is the offer to pay a reward. For example, for the return of lost or stolen property. Revocation: According to Jalil,2011, “Revocation” means "cancellation". It may be revocation of offer or acceptance. The communication of revocation is completed against the person who makes it. When it is put into a course of transmission so as to be out of the power of the person who makes it as against the person to whom it is made, when it comes to his knowledge. Revocation of acceptance:- The acceptor can revoke the acceptance before it reaches to the proposer. If the letter of acceptance is received by the proposer then it will be not revocable. For example: IF proposal of “A” to sell his plaza to “B”is opened for revocation as long as “B” does not post his letter of acceptance. As “B” has posted the letter of acceptance. “A” cannot revoke his proposal. On the other hand “B” can revoke his acceptance as long as the letter of acceptance does not reach to “A”. But as the letter of acceptance reaches to “A”, it finishes the revocation power of “B”. Another example, B accepts A‟s proposal by a letter sent by post. B may revoke his acceptance at any time before or at the moment the letter communicating the acceptance reaches “A”, but not afterwards. The best way of revoking an acceptance is by way of an instantaneous method of communication. For example, by telephone or fax or e-mail, because it is very fast. In Absari‟s 11
  • 12. writing, 2011, According to section 4(2) of the Contract Act 1950 (Malaysian) the communication of a revocation is complete: in few conditions. Such are, a. As against the person who makes it, when it is put into a course of transmission to the person to whom it is made, so as to be out of the power of the person who makes it. b. As against the person to whom it is made, when it comes to his knowledge. For example, A proposes, by letter, to sell a house to B at a certain price. The communication of the proposal is complete when B receives the letter. B accepts A‟s proposal by a letter sent by post. The Communication of the acceptance is complete – as against A, when the letter is posted; as against B, when the letter is received by A. Another example, A revokes his proposal by telegram. The revocation of proposal is complete as against A when the telegram is dispatched. It is complete as against B when B receives it. B revokes his acceptance by telegram. B‟s revocation of acceptance is complete as against B when the telegram is dispatched, and as against A when it reaches him. So, the rule of revocation is very clear that the acceptor must make sure that he has revoked his acceptance before it is received by the proposer or before it comes to the knowledge of the proposer and not afterwards. Any attempt to revoke an acceptance after it has already been received by the proposer would not be effective. 12
  • 13. Conclusion: Finally, in short, „Acceptance‟ is one of the fundamental elements for making a binding contract. And a contract is essential to determine when an acceptance is complete. According to Jalil,2011, an acceptance is effectively communicated to the acceptor when it comes to the knowledge of the proposer. If it does not come to the knowledge of the proposer, as a general rule, the acceptance would not be valid. After sending the acceptance, if the acceptor thinks that he has made a mistake and he wants to revoke the acceptance, he is allowed to do that under law but he needs to follow a specific rule. The rule is that he can only effectively revoke the acceptance before it comes to the knowledge of the proposer. Though Under postal rule, it is not necessary to bring the acceptance to the knowledge of the proposer but majority shows the acceptance is incomplete if it doesn‟t come under the knowledge of the proposer. 13
