This document outlines the terms and conditions of an end-user license agreement for Webtel Tally Add On Software. It specifies that the software is licensed and not sold, with the license only available to users of Web-GST software. The license allows single-computer use and prohibits modifications, reverse engineering, or redistribution. It disclaims all warranties and liability for damages. Breach of the agreement terms may result in license termination.

1. END- USER LICENCE AGREEMENT
Important
Please read this agreement carefully before downloading or installing the software (as defined
hereunder). By downloading the software and/or by installing the software on your computer and/or by
using the product, you are accepting this agreement and agreeing to be bound by its terms and
conditions.
This End-User Licence Agreement (LA) is a legal agreement between the user (either an individual or an
organization) and Webtel Electrosoft (P.) Ltd. (Webtel) for “Webtel Tally Add On Software” (hereinafter
referred to as “the software”).
By installing, copying or otherwise using the software, the user agrees to be bound by the terms of this
LA. If the user does not agree to the terms of this Agreement, he/she is not authorized to use the
Software.
The Software is protected by copyright laws and international copyright treaties, as well as other
intellectual property laws and treaties. The Software is licensed, not sold.
GRANT OF LICENCE
1.1 In order to preserve and protect its rights under applicable laws, Webtel does not sell any right in its
software. Webtel retains title to Webtel TDL and merely grants the right to use its software by means of a
software license as detailed below.
1.2 Webtel grants users a non-exclusive license to use the software according to the terms set forth
below.
1.3 Licence for the software is available ONLY to licenced users of its software “Web-GST”. It will be
illegal to use Webtel Tally Add On Software” without Web-GST”, except where it has been sold
separately by Webtel.
1.4 Licence of the software is provided FREE of COST to users of Web-GST and the same shall expire
on expiry of licence of Web-GST. The said licence is only provided as an additional utility to users of
Web-GST. Webtel reserves the right to discontinue the facility of Webtel Tally Add On Software at any
time, without any obligation to intimate the users about it. Price of Web-GST software does not include
charges for Webtel Tally Add On Software and there will be no refund on account of discontinuation or
non-provision of Webtel Tally Add On Software at a later date.
1.5 Extension of the licence on renewal or fresh purchase of Web-GST, with or without charges, shall be
at the sole discretion of the Company.
RESTRICTIONS AND RIGHTS
2.1 User can operate/use the software on a single computer except where a multi user licence has been
obtained.
2.2 User cannot make the software available to any person or entity other than its employees.
2.3 User cannot modify the software or merge it with another program.
2.4 User cannot reverse engineer, disassemble, decompile or make any attempt to discover the source
code of the software or make an attempt to unlock or by-pass the initialization system used on initialiser
disks.

2. 2.5 User cannot translate or create derivative works based on the software wholly or in part.
2.6 User cannot remove, obscure or alter any notice of the patent, copyright, trademark or other
proprietary rights related to the software.
2.7 User cannot sub-license, sell, lend, rent or lease any portion of the software or otherwise distribute
the program, nor can the user make the program available by 'Bulletin boards', on-line services, remote
dial-in, or network or telecommunications links of any kind.
2.8 User cannot transfer the software or any product of the software to any person or entity in violation of
applicable laws.
2.9 User cannot make copies or distribute copies of this software.
2.10 User must maintain all copyright notices on all copies of the software.
2.11 User must comply with applicable laws regarding the use of software.
TERMINATION
3.1 Webtel may terminate this LA if the user fails to comply with the terms and conditions of this LA. In
such event, the user must get it uninstalled from its computers, laptops etc.
DISCLAIMER
4.1 Every effort has been made to avoid errors or omissions in this Software. In spite of this, errors may
creep in. Any mistake, error or discrepancy noted may be brought to our notice, which shall be taken care
of in the subsequent updates. It is notified that neither the software provider nor seller will be responsible
for any damage or loss to anyone, of any kind, in any manner arising there from.
4.2 Webtel makes no warranties or representations with respect to the performance of this software. It
particularly disclaims any implied warranty of fitness for any particular purpose.
4.3 This software is sold on 'as is' basis. Any claims made by sales literature or sales persons do not
constitute warranties. Because of the diversity of hardware, software and conditions under which the
software may be used, Webtel cannot make any warranty of fitness for a particular purpose. The entire
risk of using the product must be assumed by the user. Accordingly, the user is recommended to
thoroughly test the product before relying on it. Even if at a later date, the software is found unsuitable,
the user may uninstall it.
4.4 Use of the software is at your own risk and responsibility. Webtel shall not be responsible for any loss
of data due to any reason. Users are advised to take backup of data of Tally software before installing the
software. Webtel disclaims all warranties and conditions, either express or implied, including, but not
limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
4.5 Webtel has no obligation to provide support, maintenance, upgrades, modifications, or new releases
under this Agreement. But it reserves the right to revise and make changes to the software without
incurring any obligation to notify any person of such changes and revisions.
COPYRIGHT
5.1 All title and copyright in and to the software and any copy thereof are owned by Webtel. The software
is an Add on software for Tally Software used by the user. Such third party's software is subject to the
terms and conditions set forth in the agreements contained/attached to such software. All title and
intellectual property rights in and to the content of such third party software is the property of the

3. respective content owner and may be protected by applicable copyright or other intellectual property laws
and treaties. This LA grants user no rights to use such content. All copyrights are acknowledged.
5.2 No part of this software may be reproduced or copied in any form or by any means graphic electronic
or mechanical including, printing, photocopying, recording, taping, or information retrieval systems or
reproduced on any disc, tape, perforated media, pen drive or other information storage device, etc.
Breach of this condition is liable for legal action.
NO LIABILITY FOR CONSEQUENTIAL DAMAGES
6.1 In no event shall Webtel be liable for any direct, incidental, indirect or consequential damages
whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss
of business information, or any other pecuniary loss) arising out of the use of or inability to use the
software.
MISCELLANEOUS
7.1 Webtel is not responsible for maintaining or helping users to use software, except telephonic support
provided to registered users.
7.2 This Agreement represents the complete agreement concerning this License and may be amended
by Webtel where ever considered necessary, without any obligation to intimate the users about the same.
If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to
the extent necessary to make it enforceable. Other provisions shall not be impacted due to such
provision.
7.3 This LA is governed by the laws of India. All disputes are subject to Delhi jurisdiction only.
