                       a unit of
SYNOPSIS

We advise clients on important matters lying just beyond their areas of
training, experience and/or frames of reference.

All business owners and senior managers occasionally need guidance in their
dealings with external forces…..such as the news media, the government,
advocacy groups, the overall community and unfamiliar new markets.

We serve for a day…or for the duration…to help clients successfully manage
such encounters.

AREAS OF EMPHASIS AND EXPERTISE

Miami

We have been significant players in Miami for over twenty years and are widely
known as the “Miami Relations Firm” for our ability to help clients from
elsewhere in the world enter and succeed in the complex and rapidly changing
Miami market

We place special emphasis on the region's leadership (news media, government
and private sector)……but also have access to and work with the many diverse
elements of this cosmopolitan center.

We have experience in a number of important industries, but we do not
specialize in any particular sector and pursue challenging assignments wherever
we find them.

Whether the goal involves establishing a strong South Florida presence,
launching a marketing campaign or dealing with a business crisis, we quickly
determine a client's needs and aggressively implement effective programs to
address them.

                                       4
Public Affairs

Political relevance is very frequently a key determinant of business success and
we have the ability to carry a client’s message into every corner of Miami and
South Florida…..among senior community leaders, business executives, civic
and neighborhood activists and at the grass roots levels.

The principals of GDB Miami are deeply embedded in the political structure of
South Florida and understand the unique and important nexus that exists
among media, government, and the private sector.

We help our clients strategically navigate these arenas in order to achieve a
wide range of business, consumer and charitable goals.

Whether engaging in efforts to influence public policy, undertaking large scale
issue-oriented publicity campaigns, fostering alliances between corporations, or
cultivating community support for our clients' objectives, we develop and
implement high-impact public affairs programs for non-profit as well as for-
profit organizations.

                                        5
Extraordinary Circumstances (Also known as “Crisis Management”)

We don’t use the term “crisis management” because a real crisis is no more
“managed” than a hurricane is “controlled.” You either survive it or you don’t
and the outcome is determined by your level of preparation and ability to
respond intelligently to the mounting threat.

Some firms treat this as an exotic specialty. We see it is an ordinary and
predictable part of being in this business. In a heartbeat, “business as usual”
becomes “business unusual” and if you don’t have the tools to deal with the
circumstances, you may be seriously damaged or worse.

We help clients deal with such out-of-the-ordinary or unanticipated
circumstances through a combination of quick and sober risk analysis, targeted
and nuanced media and community visibility and the generation of political
support and community acceptance.

Financial Relations

This practice area grew from Seth Gordon’s service as head of marketing and
external affairs for Citibank Florida when the bank first established a consumer
banking presence in the state in the late 1980s. With a senior staff assembled
from across the country and around the world, the bank needed someone to
coach them on the peculiarities of the Florida market.

We have since have worked for financial institutions such as First Equity of
Florida (a full-service broker dealer), Madison Capital (a real estate investment
and merchant banking firm) and an array of banks and S&Ls (American
Savings, BAC Florida Bank, BankUnited, NationsBank, Espirito Santo Bank,
Barclays Bank, Banco Latino International, Credit Lyonnais, Eastern National
Bank, AXA Advisors, and ING Financial).

                                        7
Healthcare

This area of expertise is based upon Seth Gordon’s experience on the staff of
the Florida Senate Committee on Health and has led us to serve clients in
several areas:

  - Managed care organizations (including Blue Cross Blue Shield, United
Healthcare, HIP Healthplan, and Oral Health Services),

  - Hospitals (such as Cleveland Clinic, Cedars Medical Center, Parkway
Regional and the South Florida member hospitals of Columbia/HCA),

  - Health-related non-profit organizations such as the American Red Cross,
the United Foundation for AIDS, the Health Foundation of South Florida and
    the Dade County Medical Association.

  - Early stage health technology ventures

o HealthCare.com (an online health insurance marketplace)
o MDLiveCare.com (facilitating doctor/patient interactions via web cam)
o The WriskWatch (a vital sign monitoring and emergency call device)

Entertainment

With the acquisition of the local office of a L.A.-based entertainment publicity
firm, we became the dominant entertainment-oriented marketing firm in Florida
with clients such as Planet Hollywood, BillboardLive, WAMI TV (Barry Diller’s
attempt to bring back the glory days of local market television), Telemundo,
The Lottery Channel and most of the new cable channels aimed at Latin
American audiences (Discover Channel, Travel Channel, Weather Channel, MGM
Latin America, and others).

More recently we have been retained by Pongalo.com (the HULU of Spanish-
language film and television) and vGAME BOOTH (new distribution system for
video games).

In keeping with the firm’s strategy of becoming embedded within the industries
we serve, we became very active as an industry leader and Seth Gordon was
appointed chair of the Florida Entertainment Commission by the Governor of
Florida and chair of the City of Miami Arts & Entertainment Council by the
Mayor of Miami

Technology

As the world of technology exploded on the scene in the late 1990’s, we
became bridge-builders among Internet startups, venture funds and suppliers
of key resources at our monthly Tuesday Network events we.

We represented new ventures such as Yupi.com (the first attempt to establish a
Yahoo-like portal for the Spanish-speaking world), financial-services sites
Dineronet.com and Consejero.com, Internet marketplaces such as
FoodTrader.com, EBay wannabe Subasta.com, and the Miami Herald’s efforts to
create a community portal at Miami.com.

We also worked for established technology players such as IBM, Bellsouth,
AT&T, Lucent Technologies, Microsoft, Motorola, and Global Crossing.

We presently represent
 - INCUBATE MIAMI, the leading technology incubator in the region
 - TECH TUESDAY, a monthly speakers forum/networking events showcasing
promising technology start-ups to potential investors, and
 - MOBIUS, a developer of mobile applications

Real Estate

Throughout the recent urban real estate boom in Miami, we worked with a
great many major developers to define their corporate identities, brand their
development projects, secure government approvals, support their sales teams
and promote the identities of the emerging neighborhoods they created.

Clients and their major projects included:

  - RPC Holdings (Paramount on the Bay, Paramount Beach, Paramount Park)
  - Boca Developers (Biscayne Landing)
  - CABI Developers (Everglades on the Bay, Capital at Brickell)

GDB Miami Firm Overview 10.4.10

  • 1. The best way to speak to and influence the multi-cultural business, civic, media and social leadership of Miami Market Savvy...…Multi-cultural...…Intensely Networked a unit of
  • 2. SYNOPSIS We advise clients on important matters lying just beyond their areas of training, experience and/or frames of reference. All business owners and senior managers occasionally need guidance in their dealings with external forces…..such as the news media, the government, advocacy groups, the overall community and unfamiliar new markets. We serve for a day…or for the duration…to help clients successfully manage such encounters. 2
  • 3. Headlines • Specialists in positioning clients in the Miami/South Florida marketplac • Deeply entrenched in all facets of the community and in key economic sectors • Access to high-level decision makers in all areas (media, business, government, politics, civic, philanthropy) • Experienced in a broad range of business sectors (real estate, technology, entertainment, health care, energy, environment, banking and finance) • Focused on revenue generating activities (client development, strategic alliances, direct marketing) 3
  • 4. AREAS OF EMPHASIS AND EXPERTISE Miami We have been significant players in Miami for over twenty years and are widely known as the “Miami Relations Firm” for our ability to help clients from elsewhere in the world enter and succeed in the complex and rapidly changing Miami market We place special emphasis on the region's leadership (news media, government and private sector)……but also have access to and work with the many diverse elements of this cosmopolitan center. We have experience in a number of important industries, but we do not specialize in any particular sector and pursue challenging assignments wherever we find them. Whether the goal involves establishing a strong South Florida presence, launching a marketing campaign or dealing with a business crisis, we quickly determine a client's needs and aggressively implement effective programs to address them. 4
  • 5. Public Affairs Political relevance is very frequently a key determinant of business success and we have the ability to carry a client’s message into every corner of Miami and South Florida…..among senior community leaders, business executives, civic and neighborhood activists and at the grass roots levels. The principals of GDB Miami are deeply embedded in the political structure of South Florida and understand the unique and important nexus that exists among media, government, and the private sector. We help our clients strategically navigate these arenas in order to achieve a wide range of business, consumer and charitable goals. Whether engaging in efforts to influence public policy, undertaking large scale issue-oriented publicity campaigns, fostering alliances between corporations, or cultivating community support for our clients' objectives, we develop and implement high-impact public affairs programs for non-profit as well as for- profit organizations. 5
  • 6. Extraordinary Circumstances (Also known as “Crisis Management”) We don’t use the term “crisis management” because a real crisis is no more “managed” than a hurricane is “controlled.” You either survive it or you don’t and the outcome is determined by your level of preparation and ability to respond intelligently to the mounting threat. Some firms treat this as an exotic specialty. We see it is an ordinary and predictable part of being in this business. In a heartbeat, “business as usual” becomes “business unusual” and if you don’t have the tools to deal with the circumstances, you may be seriously damaged or worse. We help clients deal with such out-of-the-ordinary or unanticipated circumstances through a combination of quick and sober risk analysis, targeted and nuanced media and community visibility and the generation of political support and community acceptance. 6
  • 7. Financial Relations This practice area grew from Seth Gordon’s service as head of marketing and external affairs for Citibank Florida when the bank first established a consumer banking presence in the state in the late 1980s. With a senior staff assembled from across the country and around the world, the bank needed someone to coach them on the peculiarities of the Florida market. We have since have worked for financial institutions such as First Equity of Florida (a full-service broker dealer), Madison Capital (a real estate investment and merchant banking firm) and an array of banks and S&Ls (American Savings, BAC Florida Bank, BankUnited, NationsBank, Espirito Santo Bank, Barclays Bank, Banco Latino International, Credit Lyonnais, Eastern National Bank, AXA Advisors, and ING Financial). 7
  • 8. Healthcare This area of expertise is based upon Seth Gordon’s experience on the staff of the Florida Senate Committee on Health and has led us to serve clients in several areas: - Managed care organizations (including Blue Cross Blue Shield, United Healthcare, HIP Healthplan, and Oral Health Services), - Hospitals (such as Cleveland Clinic, Cedars Medical Center, Parkway Regional and the South Florida member hospitals of Columbia/HCA), - Health-related non-profit organizations such as the American Red Cross, the United Foundation for AIDS, the Health Foundation of South Florida and the Dade County Medical Association. - Early stage health technology ventures o HealthCare.com (an online health insurance marketplace) o MDLiveCare.com (facilitating doctor/patient interactions via web cam) o The WriskWatch (a vital sign monitoring and emergency call device) 8
  • 9. Entertainment With the acquisition of the local office of a L.A.-based entertainment publicity firm, we became the dominant entertainment-oriented marketing firm in Florida with clients such as Planet Hollywood, BillboardLive, WAMI TV (Barry Diller’s attempt to bring back the glory days of local market television), Telemundo, The Lottery Channel and most of the new cable channels aimed at Latin American audiences (Discover Channel, Travel Channel, Weather Channel, MGM Latin America, and others). More recently we have been retained by Pongalo.com (the HULU of Spanish- language film and television) and vGAME BOOTH (new distribution system for video games). In keeping with the firm’s strategy of becoming embedded within the industries we serve, we became very active as an industry leader and Seth Gordon was appointed chair of the Florida Entertainment Commission by the Governor of Florida and chair of the City of Miami Arts & Entertainment Council by the Mayor of Miami 9
  • 10. Technology As the world of technology exploded on the scene in the late 1990’s, we became bridge-builders among Internet startups, venture funds and suppliers of key resources at our monthly Tuesday Network events we. We represented new ventures such as Yupi.com (the first attempt to establish a Yahoo-like portal for the Spanish-speaking world), financial-services sites Dineronet.com and Consejero.com, Internet marketplaces such as FoodTrader.com, EBay wannabe Subasta.com, and the Miami Herald’s efforts to create a community portal at Miami.com. We also worked for established technology players such as IBM, Bellsouth, AT&T, Lucent Technologies, Microsoft, Motorola, and Global Crossing. We presently represent - INCUBATE MIAMI, the leading technology incubator in the region - TECH TUESDAY, a monthly speakers forum/networking events showcasing promising technology start-ups to potential investors, and - MOBIUS, a developer of mobile applications 10
  • 11. Real Estate Throughout the recent urban real estate boom in Miami, we worked with a great many major developers to define their corporate identities, brand their development projects, secure government approvals, support their sales teams and promote the identities of the emerging neighborhoods they created. Clients and their major projects included: - RPC Holdings (Paramount on the Bay, Paramount Beach, Paramount Park) - Boca Developers (Biscayne Landing) - CABI Developers (Everglades on the Bay, Capital at Brickell) - Constructa (Ocean Steps, Mary Brickell Village) - Covin Development (10 Museum Park) - Developers Diversified Realty (Midtown Shops) - Leviev Boymelgreen (Marquis, Soleil, Vitri) - Lionstone Development (The EPIC, Ritz-Carlton South Beach) - Midtown Group (Midtown Miami) - Related Group (Loft I, Loft II and St. Regis Resort & Residences) - Terra Group (Quantum, 900 Biscayne) 11
