L’audit comptable et financier est un examen des états financiers de l’entreprise, visant à vérifier leur sincérité, leur régularité, leur conformité et leur aptitude à refléter l'image fidèle de l'entreprise. C’est une forme moderne de contrôle, de vérification, d’inspection, de surveillance des comptes, en apportant une dimension critique.
De manière générale, le terme « Audit comptable et financier » peut renvoyer à une mission interne (audit interne) ou externe (audit externe).
Dans ce qui nous concerne, ce papier est consacré à l’étude de la démarche d’un audit comptable et financier externe qui débouche sur une certification (ou non) des comptes. Les objectifs recherchés par ce type d’audit visent :
La réalisation d’un examen des états de synthèse par un professionnel compétent ;
L’expression d’une opinion responsable et indépendante ;
La référence à des repères précis à savoir, la régularité, la sincérité et l’image fidèle ;
L’augmentation de la crédibilité de l’information ainsi vérifiée.
On assiste ici à un examen auquel procède un professionnel compétent et indépendant en vue d'exprimer une opinion motivée sur la fidélité avec laquelle les états financiers d'une entité traduisent sa situation à la date de clôture et ses résultats pour l'exercice considéré, en tenant compte du droit et des usages du pays où l'entreprise a son siège.
Par professionnel compétent et indépendant, on entend dire un commissaire aux comptes (CAC) dont la mission principale est la certification des comptes. Les CAC sont nommés par l’Assemblée Générale Ordinaire (AGO). Ils rendent compte de leur mission à cette AGO en présentant un rapport de certification.
… La démarche d’un audit financier est toujours la même, il suffit de l’adapter aux spécificités de chaque mission… L'audit n'est pas un simple travail matériel de pointage, car il intègre un aspect intellectuel essentiel : compréhension de l'entreprise, de son système de contrôle interne et des options retenues pour l'établissement des comptes. Il se dégage 3 phases principales dans la démarche d’un CAC qui précèdent à la formulation de ses conclusions et présentation de son rapport :
1. Acquisition d'une connaissance générale de l'entreprise ;
2. Evaluation du contrôle interne ;
3. Examen direct des comptes et des états financiers.

Protection of aluminium alloys is most commonly done by forming anodic films. Anodic films can also be formed on metals like titanium, zinc, magnesium, niobium, and tantalum. Aluminium alloy parts are anodized to greatly increase the thickness of the natural oxide layer for corrosion resistance. A thin aluminium oxide film, that seals the aluminium from further oxidation when it is exposed to air. The anodizing process increases the thickness of the oxidized surface. Anodizing is accomplished by immersing the aluminium into an acid electrolyte bath and passing an electric current through the medium. In an anodizing cell, the aluminium work piece is made the anode by connecting it to the positive terminal of a dc power supply and the cathode is connected to the negative terminal of the dc source. Sealing is needed to seal the pores in oxide layer to prevent further corrosion. Oxide layer on the anodized aluminium has a highly ordered, porous structure that allows for secondary processes such as dyeing, printing and sealing. Nanowires and nanotubes can be made by using the pores in the oxide layer as templates.

Les sociétés cotées ont développé des principes de gouvernement d’entreprise avec le premier rapport dit « VIENOT » de juillet 1995. Depuis, les recommandations ont été complétées et actualisées successivement en juillet 1999, en septembre 2002, en janvier 2007 et en octobre 2008 sur la rémunération des dirigeants mandataires sociaux1 de sociétés cotées et en avril 2010 sur la présence des femmes dans les conseils. Cet ensemble de recommandations a été élaboré par des groupes de travail de l'Association Française des Entreprises Privées (Afep) et du Mouvement des Entreprises de France (Medef). Il s'agit d'une initiative des entreprises elles-mêmes soucieuses de préciser certains principes de bon fonctionnement et de transparence propres à améliorer leur gestion et à répondre à la demande des investisseurs et du public. Cette nouvelle version a donné lieu à une consultation notamment des autorités publiques, d’organisations représentant les actionnaires individuels et institutionnels ainsi que des agences de conseils en vote (proxy advisors).
Cet ensemble de recommandations, qui constitue le code Afep-Medef, peut être désigné par les sociétés cotées comme étant leur code de référence en application des articles L. 225-37 et L. 225-68 du code de commerce.
Les présentes recommandations s’adressent aux sociétés dont les titres sont admis aux négociations sur un marché réglementé. Il est également souhaitable et recommandé que les autres sociétés appliquent ces recommandations en tout ou partie en les adaptant à leurs spécificités.
Enfin, elles ont, pour la plupart, été écrites par référence aux sociétés anonymes à conseil d’administration. Il convient donc que les sociétés anonymes à directoire et conseil de surveillance, ainsi que les sociétés en commandite par actions, procèdent aux adaptations nécessaires.
